ORDINANCE NQ. 3
AN ORDINANCE CREATING THE POSITION OF TOWN ATTORNEY FOR THE
TOWN OF VAIL AND SETTING FORTH THE DUTIES, RESPONSIBILITIES,
AND QUALIFICATIONS OF SAID POSITION
BE IT ORDAINED BY THE BOARD OF TRUSTEES OF THE TOWN OF VAIL:
SECTION 1. OFFICE AND DUTIES
The Board of Trustees of the Town of Vail hereby creates
the office and position of Town Attorney of the Town of Vail.
The Town Attorney shall be responsible solely to the Board of
Trustees and sha11 act as legal advisor ta, and be the attorney
and counsel for, the Board of Trustees and all administrative
boards, agencies or offices of the Town. The powers, respansibili-
ties and duties of the Town Attorney shall be:
(a) To advise any administrative board, agency or
officer of the Tvwn in legal matters relating to
the afficial duties of such administrative board,
agency or officer when so requested by such
administrative board, agency, officer, or the
Board of trustees, provided, the Board of Trustees
shall have the power to require and instruct the
Town Attorney to withhold his consideration of and
advice as to any question or matter presented to him
by any administrative board, agency or officer of
the Town.
(b) Upon the direction of the Board of Trustees,
to prosecute ordinance violations, and to
represent the Town in cases and actions before
courts, before administrative boards and agencies,

and before other iegaiiy constituted trxbunais,
and to file with the clerk copies of such records
as the Board of Trustees may so direct.
(c} To prepare or review all ordinances, contracts,
bonds and other written documents or instruments
which are requested from or submitted to him
by. the Board of Trustees, and to give his opinion
as to the legal consequences thereof promptl~-.
(d) To call to the attention of the $oard of Trustees
all matters of law, and changes or developments
therein, affecting the Town.
(e) To perform such other duties as may be prescribed
for him by ordinance or state law.
SECTION 2. APPOINTMENT
The Town Attorney shall be appointed by, and serve at the
pleasure of the Board of Trustees, but in no event shall his
appointment continue beyond one week after the qualification of the
members of the Board of Trustees for office following their ele-
ction as prescribed by law. At such time the Town Attorney may be
reappointed.
SECTION 3. QUALIFICATIONS FOR OFFICE
The Town Attorney sha11 be an attorney-at-law admitted
to practice in the State of Colorado.
SECTION 4. COMPENSATION
The compensation of the attorney shall be determined by
resolution of the Board of Trustees.

SECTION 5. SPECIAL LEGAL COUNSEL
Upon the recommendation o~ the Town Attorney, or upon
its own initiative, the $oard of Trustees may retain special
legal counsel to handle any matter in which the Town has an
interest or to assist and counsel with the Town Attorney therein.
Said special counsel sha11 serve under the direction of the Town
Attorney, except that he shall ntit serve at the direction of
the Town Attorney if retained on matters regarding irregularities
found by audit, or alleged der~llction of duties by an officer
or employee of the Town. No compensation to special legal counsel
shall be paid except in accordance with an agreement between the
Board of Trustees and the special cbunSel approved by the resolution
of the board.
SECTION 6. EFFECTIVE DATE
This ordinance shall be in full force and effect within
thirty days after its approval by the Board of Trustees and final
publication as prescribed by law.
SECTION 7. SEVERABILITY
"It is the intention of the ~3oard of Trustees that this
ordinance or any part or provision thereof, shad be considered
severable and, if any provision of this ordinance or the application
thereof to any pexsan or circumstance is Held invalid, such in-
validity shall not affect other provisions or applications of the
ordinance which can be given effect without the invalid provision or
application, and to this end the provisions of this ordinance are
declared to be severable."
