AN ORDINANCE DEFINING TIME-SHARE
BROKER AND TIME-SHARE SALESMAN:
PROVIDING THAT ANY PERSON, FIRM,
PARTNERSHIP, ASSOCIATION OR
CORPORATION THAT ENGAGES IN THE
BUSINESS OR CAPACITY OF TIME-SHARE
BROKER OR TIME--SHARE SALESMAN
MUST OBTAIN A LICENSE FROM THE
TOWN CLERK; SETTING FORTH THE
REQUIREMENTS FOR THE APPLICATION
FOR SUCH LICENSE; PROVIDING FOR
THE DISPLAY OF SUCH LICENSE,
LICENSE FEES AND, SETTING FORTH
STANDARDS AND PROCEDURES FOR THE
SUSPENSION OR REVOCATION OF
SUCH LICENSE .
WHEREAS, the past impact on the Town of Vail. by time-share
projects has indicated a clear and convincing need for restrictions
and regulatory measures; and
WHEREAS, the Town Council has determined that the existing
ordinances and regulations of the Town of Vail are insufficient
to deal with the problems presented by time-sharing; and
WHEREAS, the Town Council of the Town of Vail has deemed
it to be necessary to protect and preserve the public health
safety and welfare of the inhabitants of the Town of Vail that
Time Share Brokers and Time Share Salesman be licensed by the
lawn of Vail.
NOW, THEREFORE, BE IT ORDAINED BY THE TOtiYN COUNCIL OF THE
TOWN OF VAIL, COLORADO, THAT:
Section 1.
Title 5 of the Vail Municipal. Code is amended by a
new Chapter S to read as follows:

BROKERS AND SALESMAN LICENSE
Section 3.010. Definitions.
(A} Time share unit -~ a time--share
unit includes time share estates,
fractional fees and time share
licenses, as those terms are
defined in Chapter 17 of the Vail
Municipal Code relating to subdivisions.
{B) "Time--share Bral~er" means any person,
firm, partnership, association, or
corporation tvho, in consideration of
compensation by fee, commission, salary,
or anything of value ar with the intention
of receiving; or collecting; such cor?apensation,
en ;ages in ar offers or attempts to engage
in, either directly or indirectly, by a
continuing course of conduct or by any
single act or transaction, any of the
following acts :
(1} Selling, exchanging, buying, renting,
or leasing a tune-share unit, or interest
theroin, or improvements affixed thereon;
(2} Offering to se11, exchange, buy, rent,
or lease a time--share unit, or interest
therein, or improvements affixed thereon;
(3) Selling or offering to se11 or exchange
an existingr lease of a time-share unit,
or interest therein, or improvements
affixed the reon;
(~) V~egotiating the purchase, sale, or
exchange of a time--share unit, or interest
therein, or impro~~ements affixed thereon;
(5) Fisting, of fering, atter7pting, or agreeing
to list a t ime-share unit, or. interest
therein, or improvements affixed thereon.
for sale, exchange, rent, or lease;
(S) Perfor~:aing any of the foregoing acts
as an employee of, or in behalf of,
the o;xrner of a time-share unit, or
interest therein, or improvements affixed
thereon at a salary or for a fee,
commission, or other consideration;
(C) "Time-share salesman" or "salesman" means
any person employed or engaged by or on
behalf of a licensed time-share broker to
do or deal in any activity of a time-share
brol~er, as defined in subsection (a) of this
section for compensation or otherwise.
(D) "Time-share salesman" or "time-share broker"
does not apply to any of the following:
(a) Any person licensed by the State of
Calorado as a Pea]. Estate Braker or
salesman;

(b) Any attorney-in-fact acting without
compensation under a power of attorney,
cauly executed by an owner of a time-share
unit;
(c) Any public official in the conduct
of his official duties;
(d) Any receiver, trustee, administrator,
conservator, executor, or guardian
acting under proper authorization;
(e) Any person, firm, partnership, as
associatian acting personally ar ~.
corporation acting through its of#~icer
car its own behalf as principal in
acquiring or in negotiating to aec~uire
~~,ny interest in a time-share unit;
{f) Ar. attorney-at--law in connection with
his representation of clients in. the
13ractice of law;
(g) A natural person acting person~.lly with
respect to property owned or leased by
him or a natural person who is a general
partner of a partnership, an owner of
twenty percent or moro of such partner-
ship, and authorized to se11 or lease
tame-share units owned by such
partnership.
Section 3.020.
1t is unlawful for any person, firm, partnership,
association, ox corporation to engage ir. the business or capacity
of time-share broker or time-share salesman in the Town of Vail
without fas st having obtained n. license from t~-ie Town Clerk.
No person shall be granted a license until he has complied
with the provisions of this section and ryas established that
he bears a good reputation for truthfulness and honesty and
is competent to transact the business of a time-share broker
ox' time-share salesman in such ;Wanner as to safeguard the
a:nterest of the puk~lic and only after satisfactory proof of
such qualifications, together with the application for
such license, i.s filed in the office of the Town Clerk

Section 3.030
1--61-103 Application of license.
(1) All parsons desiring to become a time-
share broker or tirne-share salesman shall
apply to the Town Clerk for a license
under the provisions of this ser.tion.
Application for a license, whether as a.
time-share broker or a tir.~e-share salesman,
sha11 be itiade to the Tow~1 Clerk upon :~orr,~s
prescribed by l~.cense.
{2) Every time-share broker licensed under this
suction shall maintain a place of business
within the Town of Vail.
(3) The Town Clerk is authorized by this section
to require and procure any such proof as is
necessary in reference to the truthfulness
anct honesty of any applicant for a time-share
broker's or time-share salesman's license or,
if the applicant is a partnership or corporation,
of any director, officer, member, or stockholder
(if such stockholcer has or exercises, either
directly or indirectly, a controlling interest
in such applicant), prior to the issuance
of such license.
(~) An applicant for a broker's license shall be
at least eighteen years of age and must,
either have served actively as a duly
licensed zeal estate salesman in the State
of Colorado for at least two years prior to
the filing of the application,
(5) An applicant for a salesman's license shall
be at least eighteen ,years of age. riffs
application shall be accompanied by the
recorrunendation fo the licensed zeal estate
broker or time-share broker by ~vhor.} the
applicant will be employed or placed under
contract, certifying that such broker 4vill
actively supervise and train the applicant
during the period the renuested license
remains in effect.
Section 3.00
Licenses, issuance, contents, display.
(;l ). The Clerk shall issue for each license
a license, The tzme--share broker's
license shall show the name of the business
and address of the license. The time-share
salesman's license sha11 show the name of the
licensee and the name of the time-sham broker
by whore }le is employed. The license of each
time-share salesman shall be delivered or mailed
to the time-share broker by whom such salesman,
is employed or to be employed and shall be
kept in the custody and control of such broker.

(~) Eacr_ person, partnership, or corporation
licensed as a time-share broker shall display
,such broker's license in a conspicuous
place on the premises of the broker's place
of business, and the licenses of the salesman
and broker's employed by the broker shall be
similarly displayed.
Section 3,050 License :>,ee.
Tine license fee for a time-share broker's license
shall be ~ 25.00 the license #'ee for a time-share
salesman's license shall be ~'~ 25.00 License fee
shall be non-refundable.
Section 3.060
section 3.060 Surrender of license.
(1) Immediate notice shall be given in
writing to the Town Clerk by each licensee
of any change of business location. A change
of business address without notification
to the Town Clerk shall automatically
cancel the license theretofore issued.
(2) tiVhen any time-share salesman ar broker
registered with the Town Clerk as being
in the employ of another broker is
discharged or terminates his employment
with the time-share broker by whorl he is
employed, it shall be the duty of the
broker immediately to deliver or send by
r:~ai~l to the Town Clerk such time-share
salesman's or borker's license.
Section 3.070 Term of license,
{,A) Every license issued under this chapter
shall expire at l2 midnight on ?lay 31st
of each year. ^enewal of such license
shall be for one year and shall expire
at 12 midnight on ~~tay 31st a£ the
Following year. Zn the absence of any
reason or condition which might warrant
the refusal of the granting of a license
or the revocation thereof, the Town Clerk
shall issue a new license upon receipt
of the written request of the applicant
and the fees therefor, as required by
this section. Applications for renewal
will be accepted before 3'.iay 1. The renewal
fee far a broker's license shall be
X25.00 and for a salesman's license
^.25.00 .
(B) the suspension, expiration, or revocation
of a t ime--share broker' s license shall
automatically cancel every time-share
salesman's license gr~.nted to any person
in the employ of the broker whose license
has expired or has been suspended or
revo?ced pending a change of employment
and the issuance o:~ a new license.

Section 3.080 Investigation, revocation, actions
against licensee.
{1) The Town 114anager upon his own motion,
may, and, upon the verified complaint
in writing of any person, shall, investigate
the activities of any licensee or any
person tvho assumes to act in such capacity
within the '"own , and the Town :~?anager ,
after the holding; of a hearing, has the
Hower to censure a licensee or to
temporarily suspend or permanently
revoke a license when the licensee has
performed, is performing, or is attempting
to perform any acts and is guilty of:
a violation of the provisions of C.R.S.
12-G1-112(1973) as may be amended.
(2) In the event a firm, partnership, association,
or corporation operating under the license
of a member or officer designated and licensed
as representative of said firm, partnership,
association, or corporation violates the
provisions of C.R.S. 12-61--112, the Town
T,4anager nay suspend or revoke the rzght
of the said farm, partnership, association,
or corporation to conduct its business
under the license of said member or director,
whether or not the designated member or director
had personal, knowledge thereof and whether
or not the Town Tanager suspends or revokes
the individual license of said member or
director.
Section 3,!39Q Nearing.
(A) Upon commencement of suspension of
revocation proceedings, the Town ~~[anager
shall set a time and place for the
hearing on the matter.
(B) iVO later than five days prior to the date
of hearing, the Town Clerk shall give the
licensee notice of the time, place, nature
of the hearing, the authority and
jurisdiction under which it is to be held,
the violations asserted, and/or the good
cause generally asserted as tree grounds.
Such notice shall be served personally
or lay mailing by certified mail, return
receipt requested, to the last address
furnished to the Town by the licensee.
(C) The Town Manager shall have the power to
administer oaths, issue subpoenas, and,
when necessary, grant continuances of the
hearing,

(D } All hearings before the Town Pfianager
for suspension or revocation sha.11 be
public and shal]_ be conducted in accordance
n~ith the rules, and so as to ascertain
.facts affecting the substantial rights
of the parties to the proceedings. evidence
and rec~uirer~~ents of proof shall conform,
to the extent practicable, with those of
civil, non jury cases; however, evidence
not admissible under such rules may he
a,c~mitted if such evidence possesses
probative value cor~cnonly accepted by reasonable
and prudent men in the conduct of their affairs.
Tn all such proceedings, the Town Attorney
shall conduct the investigation and shall
act on behalf of the Town during the hearing,
mhe Town ~fianager may appoint special counsel
to conduct the investigation and act on behalf
of the Town, in which event the Town Attorney
shall act as legal advisor to the Town P3anag:er,
ruling upon matters of admissibility of
evidence and instructing the Town ~~tanager
concerning the applicable lativ. 1111 witnesses
presenting testimony a.t the hearing shall be
sworn and. shall be subject to crass
examination by other parties in interest.
{E} In the event of revocation, suspension,
or cessation of business, no portion of
the license fee shall be refunded.
Section 2.
Tf any part, section, subsection, sentence, clause
or phrase of this ordinance is for any reason held to be
invalid, such decision shall not effect the validity of the
remaining portions of this ordinance; and the Town Council.
hereby declares it would have passed this ordinance, and each
part, section, subsection, sentence, clause ox phrase thereof,
regardless of the fact that any one or more parts, sections,
subsections, sentences, clauses or phrases be declared invalid,
Section 3.
The Tnwn Council hereby fa.nds, determines and
declares that this ordinance is necessary and proper for the health,
safety and welfare of the Town of Vail and the inhabitants thereof.
Section 4.
The repeal or the repeal and reenactment of any
provision of the Vail Municipal Code as provided in this ordinance
shall not affect any right which has accrued, any duty imposed,
and violations that occurred prior to the effective date
hereof, any prosecution commenced, nor any other action or
proceed~.ng as camrraenced under or by virtue of the provision
repealed or rep~:aled and reenacted. The repeal of any provision

hexeby shall not revive any provision or any ordinance previously
repea~.ed or superseded unless expressly stated herein.

(1y Immediate notice shall be given in writing
la the Town Clerk by each licensee of any
chehge o! business location. A change of
buameas address wllhout notification to the
Tov{n Clerk shalt automatically cancel the
license theretofore Issued.
(2) When any tlma-share salesman ar broker
registered with the Town Clerk as being in the
am ploy of another broker is discharged or
terminates hisemployment with the time-share
broker by whom he is employed, it shall be the
duty of the broker Immedlataly to deliver ar
send by mail to the Town Clerk such time-share
salesman's or broksr'a license.
i Section 3.070 -Term of License.
(A) Every license issued under this chapter
shall expire ai 12 midnigh! on May 31st of each
'~ year. Renewal of such license shall be for one

Section 3.080 - Fnvea4gation, Revocation,
Actions Against Ucenaee. '
(1) The Town Manager upon hie own motion,
may, and, uppn theverified complaint in writing
of any person, shall, Investigate the activities of
any licenses or any person who esaumes to act
in such capacity within the Town, and the Town
Manager, after the holding of'a hearing, has the
power to censure a licensee Or to temporarily
suspend or permanently revoke a license when
the licensee has performed, is performing, or is
attemptingtolperformenyactsandis uiltyof:a

the Town Manger auspegds or revokes the
intllvidual license of said member or director.
Section 3.09D -Hearing.
4A) Upon commencement of suspension of
revocation proceedings, the Tawn Manager
shall set a time antl place for the hearing on the
matter.
(B} Na later then five days prior tc the date o}
hearing, the Town Clark shall give the licensee
notice pf the lime, place, nature of the hearing,
the authority arq jurisdiction under which it is
to be held, the vlolaliana asserleo. and/or [rte
good cause generally seaerted as iha grounds.
Such entice shall 6e served personally or py
mailing 6y certifle6 mail, return receipt
requested, to the last address famished to the
Town by thedicensee.
{Cy The Town Manager shaA have the power
io administer oaths, Issue subpoenas, and,
when necessary, grant continuances o1 the
hearing.
{b}Ail hearings before theTown Manager for
suspension or eovocalion shall be public and
shah be cdnducted in accordance with the
rules, acid so es !o ascertain laces affecting the
substantial rights of the parties to the
proceedings. Evidence end requirements of
proof shall conform, io the extent pmcucabfP.

Municipal Code as provided in this ordinance
shall not affect any right which has accrued,
