Eskwith Town Clerk : ~ ~~~ B ~ ndmeyer Thereupon, the following proceedings, among others, were had and taken: Council Member ~ ,LJ introduced the following Ordinance, which was re ~ by title, sufficient copies having previously been made available to the Council and to the public: -1- ~l ~ _) ORDINANCE NO. ~~ Series of 1984 AN ORDINANCE AUTHORIZING AND DIRECTING THE ISSUANCE OF UP TO $20,000,000 AGGREGATE PRINCIPAL AMOUNT OF THE TOWN`S SPORTS FACILITY REVENUE BONDS, EXECUTION AND DELIVERY OF A SPORTS FACILITIES FINANCING AGREEMENT WITH VAIL ASSOCIATES, INC., A BOND PURCHASE AGREEMENT, TRUST INDENTURE AND RELATED DOCUMENTS; AUTHORIZING AND DIRECTING THE EXECUTION AND DELIVERY OF SUCH BONDS; PROVIDING FOR THE PRINCIPAL AMOUNT, NUMBERS, PROVISIONS k'OR REDEMPTION AND MATURITIES OF, AND RATES OF INTEREST ON, THE BONDS, AND AUTHORIZING CERTAIN TERMS TO BE DETERMINED BY SUBSEQUENT RESOLUTION; DETERMINING REVENUES TO BE PAID FOR SUCH PROJECT; REQUESTING THE TRUSTEE TO AUTHENTICATE THE BONDS; AUTHORIZING INVESTMENTS; APPROVING COUNSEL; AUTHORIZING INCIDENTAL ACTION; AND REPEALING INCONSISTENT ACTIONS. WHEREAS, the Town Council by Resolution No. 6, Series of 1981, adapted February 17, 3.981, approved a commerical development and sports and recreational facilities project {the "Project") for Vail Associates, Inc. (the "Company") pursuant to the County and Municipality Development Revenue Bond Act (the "Act"); and WHEREAS, the Company wi11 own, occupy, operate and maintain the Project, and the Project wi13. promote the purposes of the Act; and WHEREAS, the Town has determined to enter into a Sports Facilities Financing Agreement (the "Agreement") with the Company and to finance the Project and its re3.ated costs by the issuance of up to $20,OOD,000 in aggregate principal amount o£ its bonds to be known as "Sports Facility Revenue Bonds (Vail Associates Project), Series 1984" tthe "Bonds") pursuant to a 'rust Indenture (the "Indenture") with a corporate trustee to be designated by the Company, as Trustee (the "Trustee"); and WHEREAS, an institutional purchaser to 6e named by the Company (the "Purchaser") is expected to purchase the Bonds and to enter into a Bond Puzchase Agreement ithe "Bond Purchase Agreement"} relating thereto with the Town, and the Company wi11 join i.n said Bond Purchase Agreement. _2_ ~ • ~ NO(a, TIIEREFORE, SE IT ORDAINED BY THE TOWN COUNCIL OF THE TOjVN OF VAIL, COLORADO, AS FOLLOWS : SECTION 1. CONFIRMATION OF PRIOR RESOLUTUION. Resolution No, 6 of 1981, adopted i'ebruary 17, 1981, including the findings and approvals therein set forth, is hereby ratified and confirmed, and such findings and approvals are hereby incorporated by reference herein the same as if set forth in foil. SECTION 2. APPROVAL, OF AGREEMENT, TRUST INDENTURE AND RELATED DOCUhSENTS. The form of the Agreement between the Town and the Company and the form of the Indenture between the Town and the Trustee presented to this meeting (copies of which shall be filed with the records of the Town) are hereby approved, and the Mayar is hereby authorized to execute, accept or consent ta, and deliver, and (where appropriate) the Town Clerk is hereby authorized to affix the corporate seal of the Town to, and attest, documents in substantially such forms and upon the terms and conditions therein set forth under such date and with such changes therein as such officers shall approve, such approval to be evidenced by their execution thereof. SECTION 3. ISSUANCE OF BONDS; AUT$ORI~ATION TO ENTER INTO BOND PURCHASE AGREE~7ENT. The issuance of the Bonds is hereby authorized. The Mayar or Town Manager and the Town Clerk are hereby authorized and directed to negotiate, execute and deliver, and to affix the Town Seal to and attest,. the Bond Purchase Agreement in accordance with the terms of this Ordinance with such additional terms and conditions therein set forth as such officers shall approve, such approval to be evidenced by their execution thereof. The form of the Bonds set forth in the Indenture is hereby approved; the Bonds shall be executed on behalf of the Town by the facsimile signatures of the Mayor and the Town Clerk of the Tawn which shall be printed on the face of the Bonds in substantially the form approved herein with appropriate insertions and variations, and a facsimile of the corporate seal of the Town is hereby authorized to be printed thereon; and the Mayar, Town Finance Director or Town Clerk is authorized and directed to deliver the Bonds to the Trustee far authentication under the Indenture and, when they have been authenticated, to deliver them or cause them to be delivered to the Purchaser against receipt of the purchase price plus any accrued interest due and to deposit the amount so received with the Trustee as provided in the Indenture. SECTION 4. TERMS OF BONDS. The Bonds shall be dated November 1, 1984 or as of their actual date of authentication and delivery, shall bear interest at a fixed or variable rate, and sha11 be issued as fully registered bonds in the denomination of $5,000 each or whole multiples thereof, payable at the principal. corporate trust office of the Trustee or at any additional or successor paying agent. Pursuant to Section 6 of ~8_ ., ~ w the Act, the maximum net effective interest rate for the Bonds, with which the Bond Purchase Agreement shall comply, shall not exceed 20 ~. The principal amount, numbers, maturities and provisions for redemption of, the rates of interest on, the registration and exchange privileges of and the rights upon default of, the Bonds shall be as set forth in the aforesaid form of such Bonds and in the form of Indenture hereinbefore approved, which forms are hereby incorporated by reference as if set forth herein in full. The final aggregate principal amount, maturity schedule, fixed or variable interest rates or method for determination thereof, redemption prices, and the indexing agent, remarketing agent, trustee, registrar, and paying agents, for the IIonds shall be established by subsequent resolution of the Town Council. adopted pursuant to Section 6 of the Act. SECTION 5. DETERMINATION OF REVENUES. In accordance with the Act, it is hereby determined that {a} no amount is necessary for payment into any reserve fund for retirement of the Bonds and maintenance of the Project and (b} the amounts that will be necessary for the payment af' maturing principal and interest on the Bonds, shall be set forth in a debt service schedule to be approved by subsequent resolution of the Town Council. It is hereby determined that the Company shall. be required, under the .terms of the Agreement, to maintain the Project and carry all proper insurance with respect thereto. Further, it is hereby determined that the Company shall be required under the terms of the Agreement to pay all taxes levied by the State of Colorado and local taxing bodies which such entities are entitled to receive with respect to the Project. SECTION 6. AUTHENTICATION OF BO~~I?S. The Trustee is hereby requested to authenticate the Bonds and to deliver them to, or upon the order of, the Mayor, the Town Finance Director or Town Clerk. SECTION 7. INVESTi~ENT OF FUNDS. The Trustee shall be, by virtue of this Ordinance and without further authorization from the Town, authorized, directed and requested to invest and reinvest all moneys available therefor held by it pursuant to the Indenture, which by the terms of said Indenture may be invested, or to deposit and redeposit such moneys in such amounts as may be permitted by the said Indenture, all subject to the terms and limitations contained in the Indenture. SECTION 8. APPROVAL OF COUNSEL. The firm of Ballard, Spahr, Andrews & Ingersoll is hereby approved as bond counsel in connection with the issuance of the Bonds. SEC~'ION 9. INCTDENTIAL ACTION. The Mayor, Town Manager, Finance Director and Town Clerk of the Town are hereby authorized and directed to execute and deliver such other documents, including acceptances and conveyances of property --4- interests, and to take such other action as may be necessary or appropriate in order to effectuate the execution and delivery of the aforesaid Agreement, Indenture and Bond Purchase Agreement, the performance of the Town's obligations thereunder, and the issuance and delivery of the Bonds, all in accordance with the foregoing Sections hereof. Notwithstanding any other provision of this Ordinance, the Mayor, Town Manager and Town Finance Director are hereby authorized to make or approve such revisions in the Agreement, Indenture and Sand Purchase Agreement as, in the opinion of counsel to the Town, may be necessary or convenient to carry out or assist in carrying out the purposes of: this Urdinance and the financing of the Project, including but not limited to, the actual principal amount of the Bonds, and the fixed or variable interest rates or method for determination thereof on the Bonds. SECTION 10. BONDS SHALL NOT CONSTITUTE A PECUNIARY LTAB~LTTY OP THE TOWN. As required by the Act, the Bonds shall be special, limited obligations of the Town, payable safely From the revenues derived from the Project and shall never constitute the debt or indebtedness of the Town within the meaning of any provision or limitation of the Colorado Constitution, Colorado Statutes, or the Town's Home Rule Charter, and shall not constitute or give rise to a pecuniary liability of the Town or a charge against its general credit or taxing powers. SECTION 11. REPEAL. Any prior ordinances or resolutions or parts thereof inconsistent herewith are hereby repealed. SECTION 12. ORDINANCE IRREPEALA$I,E. This Ordinance is, and sha11 constitute, a legislative measure of the Town, and after the Bands hereby authorized are issued, sold, and are outstanding, this Ordinance shall. constitute a contract between the Town and the registered owner or owners of the Bonds and shall be and remain irrepealable until the Bonds and the interest accruing thereon shall have been fully paid, satisfied and discharged. SECTION 13. RECORDING; EFFECTIVE DATE. This Ordinance, after final passage, shall be recorded in a book kept for that purpose, shall be published as provided in the Home Rule Charter of the Town and shall be authenticated by the signatures of the Mayor and the Town Clerk and by the certificate of publication. This Ordinance shall take effect five days after publication following the final passage upon second reading hereof.
