AN ORDINANCE AUTHORIZING THE CONVEYANCE OF AN EASEMENT BY AND
BETWEEN THE TOWN OF VAIL AND THE EAGLE RIVER WATER AND SANITATION
DISTRICT ON LOT 9, SEC. 18, T. 5 S., R. 79 W., 6th P.M.
WHEREAS, the Town of Vail is the owner of certain property particularly described in
Exhibit A, Easement Agreement, attached hereto; and
WHEREAS, this conveyance of an easement will provide access to the East Vail water tank
which has been built on Town of Vail land acquired from the United States Forest Service pursuant
to the Land Ownership Adjustment Agreement.
NOW, THEREFORE, BE IT ORDAINED, BY THE TOWN COUNCIL OF THE TOWN OF
VAIL, COLORADO that:
1. The Town Council hereby approves the conveyance of an easement to the Eagle River
Water and Sanitation District pursuant to the terms and descrption of the easement more fully set
forth in the Easement Agreement attached hereto as Exhibit A.
2. -The easement on the Town of Vail property to be conveyed is described as follows:
Lot 9, Sec. 18, T. 5 S., R. 79 W., 6th P.M.
3. The Town Manager is hereby authorized and directed to execute such instruments of
conveyance as are appropriate to convey an easement from the Town of Vail to the Eagle River
Water and Sanitation District.
4. If any part, section, subsection, sentence, clause or phrase of this ordinance is for any
reason held to be invalid, such decision shall not affect the validity of the remaining portions of this
ordinance; and the Town Council hereby declares it would have passed this ordinance, and each part,
section, subsection, sentence, clause or phrase thereof, regardless of the fact that any one or more
parts, sections, subsections, sentences, clauses or phrases be declared invalid.
5. The Town Council hereby finds, determines, and declares that this ordinance is
necessary and proper for the health, safety, and welfare of the Town of Vail and the inhabitants
thereof.
6. The repeal or the repeal and reenactment of any provision of the Municipal Code of
the Town of Vail as provided in this ordinance shall not affect any right which has accrued, any duty

imposed, any violation that occurred prior to the effective date hereof, any prosecution commenced,
nor any other action or proceedings as commenced under or by virtue of the provision repealed or
repealed and reenacted. The repeal of any provision hereby shall not revive any provision or any
ordinance previously repealed or superseded unless expressly stated herein.
7. All bylaws, orders, resolutions, and ordinances, or parts thereof, inconsistent herewith
are repealed to the extend only of such inconsistency. This repealer shall not be construed to revise
any bylaw, order, resolution, or ordinance, or part thereof, theretofore repealed.

ON FIRST READING this lst day of December, 1998, and a public hearing shall be held on this
Ordinance on the 15th day of December,

by and between the TOY~T OF VAIL, a home rule town duly o~~anized and
existing under the lava of the State of Colorado (`Grantor'), and
EAGLE RIVES WATER AMID SA~11nTIQDT DISTRICT, a qua8i-muzzicipal
corporation and political subdivision of the State of Colorado vrithin
the County of Eagle ('District').
That for and in cousideratiais of the sum of Thirty Thousand
Dollars (530, 0000.00) and other y.,.,3 and valuable consideration paid
by District to Grantor, the receipt of which is acknavledged, the
Grantor grants and conveys unto the District, its successors and
assigns, a perpetual easement, together with the right of +*+c-ress atld
e~+~ss to construct, install, remove, replace, add to, maintain,
repair, operate, change or alter a water storage tank, aver, under
and across the p~.....iaes, situated in the County pf Eagle, 6tate of
Colorado, described and depicted in the attached Exhibit A.
Together with all arsd siagu].ar hereditameuts and appurtenases
thereto belonging, or is anywise appertainipg, and the _t.~rsiou and
reversions, remaira~T and re~aaa.adera, rents, issues and profits
thereof; and all the estate right, title interest, claim and demand
whatsoever, of the Grantor, either in law or in equity, of, in and to
the above-bargained real property interest, with the heredita..~~.ts
and appurtenances.
Grantor warrants that the Grantor has the lawful right to grant
such easement, and that Grantor, its heirs, successors andfor
assigns, shall not erect or place any permanent building, structure,
improvement,.fs'*+~e or tree on the above-described easement without
the prior consent of the District, which consent will not be
unreasonably withheld_
This Eas~...:...t is for the benefit of the District, its agents,
ea~loyees and contractors for the purposes set forth herein.
District shall not permit arty other persons, entities or utilities to
use the Eas.:.~..:nt without the express written coa.sent of Grantor.
Following any entry by the District ur.,.. said easement for the
purpose of replacement, addition to, mainter~^^e, repair, operation,
change or alteration of the water storage tank, the D~strict shall
restore the premises to substantially the same condition existing at
the time of the entry the+"...., except for trees, shn~bs, plants,
sidewalks, driveways or parking areas thA*~eoa located or damaged
thereby.

AMENDMENT TO THE EXCHANGE AGREEMENT
between
THE TOWN OF VAIL
and
THE UNITED STATES OF AMERICA
Dated February I9, 1997
This Amended Land Exchange Agreement, made this 24 ~ day of November, 1997,
between the Town of Vail, a municipal corporation, whose address is 75,,South
Frontage Road, Vail, Colorado 81645, hereinafter referred to as the Landowner,,. _
and the United States of America, acting by and through the Forest Service,
Department of Agriculture, is for the purpose of clarifying the Exchange
Agreement dated February 19, 1997:
Schedule B, page 7, Reservation to the united States ~2, shall bE deleted and
the following Reservation shall be inserted as a replacement therefor:
2. Reserving to the United States and its assigns, an exclusive
right-of-way for the existing road over and across Lot 9, sec. 18, T. 5 S.,
R. 79 W., 6th P.M., the easement being 20 feet in width, lying equally on
each side of the centerline; provided, however, that the Town of Vail and
the Eagle River Water and Sanitation District shall have motorized access
along this road to the East Vail water tank.
IN WITNESS WHEREOF, the Landowner, by its duly authorized representative, and
the Regional Forester, acting for and on behalf of the Forest Service, USDA,
