DECLARATION OF RESTRICTIVE COVENANT
(No Vertical Construction/No Build Restrictions)
THIS D�CLARATION OF RESTRICTIVE COVENANT (this "Declaration") is made
as of the �� day of � u, n-e. , 2008 by THE VAIL CORPORATION, a Colorado
corporation, whose address is 137 Benchmark Road, P.O. Box 959, Avon, Colorado 81620. _,,;� /_
Recitals
A. The Vail Corporation is the owner of Lot 2, Lionshead Sixth Filing, according to
the recorded plat thereof, County of Eagle, State of Colorado (hereinafter referred to as "Lot 2").
As used in this Declaration, all references to the term "Owner" shall refer to The Vail
Corporation in its capacity as the owner of Lot 2.
B. The Vail Corporation is also the owner of that certain condominium unit
designated as Condominium Unit G1 located within the Vail/Lionshead Centre Condominiums,
according to the First Amendment to the Vail/Lionshead Centre Condominium Map recorded
October 26, 1995 in Book 679 at Page 358, County of Eagle, State of Colorado, which
condominium unit is currently known and operated in part as a ski school and lift ticket office,
and collectively referred to herein as the "Lionshead Ticket Office." As used in this Declaration,
the term "Applicant" shall refer to The Vail Corporation in its capacity as the owner of the
Lionshead Ticket Office.
C. Applicant has applied to the Town of Vail (the "Town") for permission to
remodel the exterior of the lower level Lionshead Ticket Office. As a condition to the Town's
approval of such remodeling by Applicant, the Town has required Applicant to obtain from
Owner a 20-foot wide vertical no build easement/restrictive covenant along the northerly
property boundary of Lot 2 extending the width of the Lionshead Ticket Office. Owner has
agreed to so restrict the use of a portion of Lot 2 as more particularly described in this
Declaration.
Declaration
NOW, THEREFORE, in consideration of the benefit which will be received by
Applicant/Owner upon approval by the Town of Applicant's application for the remodel of the
Lionshead Ticket Office, and other good and valuable consideration, the receipt and sufficiency
of which are hereby acknowledged, Owner hereby declares as follows:
1. Use Restrictions. The portion of Lot 2 generally depicted but not legally
described on Exhibit A attached hereto and incorporated herein by this reference (the "Restricted
Parcel"), shall not be used for the construction of any building, or for the above ground
construction of any fixed improvement or any other above ground permanent vertical structure.
Notwithstanding the foregoing use restriction, the construction and/or maintenance of any and all
below ground improvements (such as utilities) shall be specifically permitted within/under the
Restricted Parcel by or with the written approval of Owner, and the construction and/or
installation and maintenance by Owner of any and all landscaping elements and hardscaping

elements (including but not limited to asphalt, cement, pavers, gravel or other surface cover)
shall also be specifically permitted on the Restricted Parcel. In addition, any overhang or
extension of the roof elements of the remodeled Lionshead Ticket Office building which
encroach onto (but are not constructed on) all or any portion of the Restricted Parcel shall also be
specifically permitted by this Declaration, as long as such overhang/encroachment(s) is/are
evidenced by an encroachment agreement executed by Owner.
2. Real Covenants• Bindin� Effect. The Restricted Parcel will, from and after the
date of this Declaration, be owned, held, conveyed, encumbered, leased, improved, used,
occupied and enjoyed subject to the covenants, conditions, restrictions and other provisions set
forth in this Declaration.
3. Miscellaneous.
3.1 Recordin�. This Declaration shall be recorded by Applicant/Owner in the
real property records of the County of Eagle, State of Colorado.
3.2 Severabilitv. If any term or provision of this Declaration shall, to any
extent, be invalid or unenforceable, the remainder of this Declaration (or the application
of such term or provision to persons or circumstances other than those with respect to
which it is invalid or unenforceable) except those terms or provisions which are made
subject to or conditioned upon such invalid or unenforceable term or provision, shall not
be affected thereby, and each other term and provision of this Declaration shall be valid
and enforceable to the fullest extent permitted by law.
3.3 Governin�Law. The terms and provisions of this Declaration shall be
construed and enforced in accordance with the laws of the State of Colorado.
3.4 Binding upon Owner's Heirs Successors and Assi�ns. Each of the
covenants, terms, provisions and agreements contained in this Declaration shall be
binding upon Owner and Owner's successors and assigns.
3.5 Covenant Runs with Land/Enforcement. Owner hereby agrees that the
restrictive covenant contained in this Declaration shall inure to the benefit of and be
enforceable by Applicant, the Town and their respective successors and assigns, and shall
run with the title to the Restricted Parcel and be a burden upon the use of the Restricted
Parcel and all ongoing and future use or enjoyment of the Restricted Parcel, alone or in
combination with the use of the remainder of Lot 2.
3.6 Modification Termination and Waiver. No purported modification ar
termination of the terms of this Declaration shall be binding without the consent of
Owner, Applicant and the Town, and then only as specifically set forth in a written
instrument executed by Owner, Applicant and the Town.
3.7 No Merger. The use restriction created hereunder shall not merge with
any fee or other interests owned in common with such use restriction by Owner,
Applicant, the Town, or any other party, either presently or in the future, but shall remain
separate and distinct property rights, unless and until such use restriction is expressly

released by all parties owning the saine at the time, and written evidence of such release
is executed by each of such parties and recorded in the real property records of the
County of Eagle, State of Colorado.

Recitals
A. Grantee is the owner of that certain real property described as Condominium
Unit C-1, Vail/Lionshead Centre Condominium, according to the First Amendment to
Vail/Lionshead Centre Condominium Map, recorded October 26, 1995 in Book 679 at Page 358
and as defined and described in the Condominium Declaration recorded October 15, 1970 in
Book 218 at Page 901 and First Amendment to Condominium Declaration recorded October 11,
1972 in Book 225 at Page 711, County of Eagle, State of Colorado (the "Benefited Parcel").
B. Grantor is the owner of that certain real property described as Lot 2, Lionshead
Sixth Filing, according to the recorded plat thereof, County of Eagle, State of Colorado (the
"Burdened Parcel").
C. In order to ensure that there is and remains sufficient access to and from that
certain Pedestrian/Bicycle Access Easement described in that certain Pedestrian/Bicycle Access
Easement Agreement recorded in the public records of Eagle County, Colorado on December 31,
2007 at Reception No. 200733761, as the same may be amended from time to time (hereinafter
referred to as the "Public Way"), over a portion of the Burdened Parcel, to provide access
(ingress and egress) between the Public Way and the southerly entrances of the Benefited Parcel,
Grantor desires to create, declare, and to impress upon and burden the Burdened Parcel with an
access easement for the benefit of the Benefited Parcel.
A¢reement/Declaration
NOW THEREFORE, in consideration of the premises, and for other good and valuable
consideration, the receipt and sufficiency of which are hereby acknowledged, Grantor, as the
owner of the Burdened Parcel, hereby declares that the Burdened Parcel shall be, and is hereby
impressed with and shall hereafter be burdened by, a perpetual, nonexclusive access easement
(the "Access Easement") in, over and across the area of the Burdened Parcel generally depicted
but not legally described on Exhibit A attached hereto and incorporated herein by this reference
(the "Access Easement Parcel"), for the purposes of providing access (ingress and egress) for
pedestrians (but excluding the use thereof by motorcycles or other motorized or self-propelled
vehicles of any nature, bicycles, skateboards, scooters and other similar means of locomotion) to
the southerly entrances of the Benefited Parcel from the Public Way, on the following terms and
conditions:
1. Runs with the Land. The Access Easement shall constitute a covenant running
with the land and shall be binding upon the Access Easement Parcel, the owners thereof, and any

and all persons now holding or hereafter acquiring any ownership interest therein and shall inure
to the benefit of the Benefited Parcel, the owners thereof, and any and all persons now holding or
hereafter acquiring any ownership interest therein, and all of the heirs, legal representatives,
successors and assigns of each of the foregoing.
2. No Oral Modification. The Access Easement created hereby may be amended,
modified, terminated or extinguished only pursuant to a written instrument duly executed by all
of the then owners of the Benefited Parcel and the Burdened Parcel, placed of record in the real
estate records of Eagle County, Colorada
3. Maintenance. The Access Easement Area shall not be required to be improved by
either Grantor or Grantee. Grantor shall, at all times, maintain the Access Easement Area in a
condition which is suitable for access from the Public Way to the southerly entrances of the
Benefited Parcel by the perrnitted users of the Access Easement. If such Access Easement is
ever improved by Grantor (such as the installation by Grantor thereon of pavers, or a concrete or
asphalt pathway), then Grantor shall be required at all times to maintain the Access Easement in
good repair and all costs and expenses of such maintenance shall be paid by Grantor or the then
current owner of the Burdened Parcel.
4. Purpose and Permitted Uses. The Access Easement is created for the sole purpose
of providing access, ingress and egress, to and from the southerly entrances of the Benefited
Parcel and the Public Way. The benefits of such permitted use shall be extended to and may be
enjoyed by any owners and lessees of the Benefited Parcel and their respective agents,
employees, guests, licensees and invitees.
5. Access Easement is Nonexclusive. The Access Easement shall be nonexclusive
and Grantor shall have and retain the right to use the Burdened Parcel for any uses and purposes
which are not inconsistent with the use and enjoyment of the Access Easement as provided
herein.
6. No Public Grant or Dedication. Nothing herein shall be deemed or construed as a
grant or a public dedication of any fee ownership interest in or to the Burdened Parcel and
Grantor shall retain fee ownership interest in such parcel in all respects, it being the intent
hereunder that the sole property interest conveyed by this instrument is and shall be the Access
Easement, as the same is governed by the other provisions hereof.
7. Governing Law. This Declaration shall be governed by and construed in
accordance with the laws of the State of Colorado.
8. No Merger. The Access Easement created hereby shall not merge with any fee or
other interest owned in common by Grantor, Grantee or any other party, either presently or in the
future, but shall remain separate and distinct property rights, unless and until released or
otherwise terminated by all parties owning the same at the time, and written evidence thereof is
executed by each of such parties and recorded in the real property records of Eagle County,
Colorado.
9. Recordin�. This Declaration shall be recorded by Grantor or Grantee in the real
property records of the County of Eagle, State of Colorado.

Response: A 1.1 Architectural site plan has been updated. The 5'-8" was not a
dimension to the property line. The current building separation from the
Arrabelle has been identified and the imaginary property line (center IineJ has
also been dimensioned. The openings have been calcvlated and noted on the
site plan. Per the corrected imaginary property line IBC Table 602 states that
the exterior wall for a type 118 that is greater than 10' but less than 30' has a
required fire rating of 0 hovrs.
10 Storage rooms with an area of 100 s.f. or greater are considered an incidental use area
per IBC table 302.1.1 and shall be separated as described in IBC section 302.1.1.1 in a
sprinkled building. Revise plans and code summary.
Response: A2.1 Floor plon now shows the walls to the storage rooms to go to
structure, and A 10.1 Door schedvle shows door hardware to accommodate the
smoke barrier per IBC section 302.1.1.1 in a sprinkled building. Door hardware
specifications have been updated to reflect this change.

indicates UL G510. This UL assembly is a gypsum board assembly. The RCP shows a
grid ceiling. Revise plans.
Response: The section is cut at gridline B in the sales area. This ceiling condition is
in fact gyp. Bd. Section marks have been added on A3.1 Reflected Ceiling plan
to clarify the location of the detail. A51 #4 has addressed the UL design
number to more closely match the exist. Structural condition. Please see ASI #
4 induded with this clarification set.
15 Door D013 hardware shows keypad access. This door may not be used as an exit.
Revise egress plans. IBC 1008.
Response: A2.1 Floor plan has been updated showing the location of the keypad
on the copy area side of the door instead of the corridor side. Free passage
with a lever set is provided in the direction of the path of egress.
16 Include a statement of special inspection per IBC 1704.1.1 Include a list of all required
special inspections and the name of the firm or individual who will be performing the
special inspection.
Response: Asbestos test performed by Benchmark Environmental Consultants to be

wall and the new window openings and existing door openings on the west side of the
building. The fire separation distance to the property line is labeled as 5'-8". Refer to IBC
table 602 for e�erior wall ratings and table 704.8 for maximum allowable openings in the
wall.
Response: A1.1 Architectural site plan has been updated. The 5'-S" was not a
dimension to the property line. The current bvilding separation from the
Arrabelle has been identified and the imaginary property line (center IineJ has
also been dimensioned. The openings have been calcvlated and noted on the
site plan. Per the corrected imaginary property line IBC Table 602 states that
the exterior wall for a type IIB that is greater than 10' but less than 30' has a
required fire rating of 0 hours.

Response: The section is cut at gridline 8 in the sales area. This ceiling condition is
in fact gyp. Bd. Section marks have been added on A3.1 Reflected Ceiling plan
to clarify the Iocation of the detail. ASI #4 has addressed the UL design
number to more closely match the exist. Structural condition. Please see ASI #
4 included with this clarification set.

Owner anticipates that ce�rtain c�f the ren�adeled roof elements ��i11 extend beyo��id the baundary �
of the property o�vned by the Association (the "Roof �verhang") and itlto that portion of Lot 2
generally depicted but iiot legally described on Exhibit A attached hereto.

Overhan� aver Lot 2.

l. Consent to Eneraachment. Grantor hereby consents to the encroachznent of the
Roof Overhang over the portion of Lot 2 generally depieted but not tegally desci•ibed on
Exhibit A attached hereto and inco�•�o��atee3 herein by this reference (the "Encroachment Area").
Ariy and ali riglits granted to Grantees ��nder this Agc•eement shall be exercised at the sole cost,
risk and expetise of Ski Scltool Owner, silall be subject to the domi�iant and cantinuing right of

2. Use of Encroachment Area, Grantor hereby consents to the use by Ski School
Owner of the Encroachment Area solely for the purposes of the constructian, maintenance,
repair, replacement, operation, use and enjoyment oi the Roaf Overhang, and for no other
purpose, and Ski School Owner agrees that it will utitize the Encroachment Area solely for such
permitted purposes.
3. Term, This Agreement shall remain in force and effect unless and until the
termination he�•eof by the recording of a document in ihe real property records of Eagie County,
Colorado, executed by both Grantor and Ski School Owner, or untii the improvements and
facilities which are the subject of this Agreement are removed fi•om the Encroachment Area.
4. Successors and Assi�ns. The rights and obligations of this Agreement shall be
appurtenant to the Lionshead Ski School and deemed ta run with the Grantor's land (Lot 2) until
such time as this Agreement is ter�ninated or is otherwise extinguished as described above in
paragraph 3.
5. Integrated Agreement. This Agreement contains the entire understanding
between Grantor and Grantees with respect to the subject nnatter hereof. There are no
representations, agreements or understandings (whether oral or written) between or among the
parties hereto relating to the subject matter of this Agreeinent which are not fully expressed
he�•ein.
6. Governing Law. This Agreement shall be governed and construed in accordance
with the laws of the State of Calorado.
7. No Merger. This Agreement, or any rights created hereunder, shall not mei•ge
with any fee or other uiterest owned in common by Grantor, Ski School Owner, or any other
person, either presently or in the futui'e, but shall remain separate and distinct, unless the consent
granted herein is expressly released by all parties owning the same at the time, and written
evidence of such release is executed by each of such parties, and recorded in the real property
recards of Eagle County, Colorado.
