Dear George:
Enclosed you will find the following material relative to the proposed major subdivision
of the Core Site:
1. Application form,
2. Filing fee of $1,500,
3. Major subdivision plat and existing conditions map,
4. Adjacent property owners list and stamped envelopes, and
5. Title report
The balance of this letter further describes this proposal in accordance with submittal
requirements for a major subdivision. While only three parcels will be created or
modified by this plat, application for a major subdivision has been made because one of
the lots will not have frontage on a public right-of-way.
Background on Request
The re-subdivision of this property was contemplated in the original redevelopment plans
for the Core Site. The two main reasons for this subdivision are 1) to consolidate existing
Vail Resort-owned parcels into two parcels, and 2) to create three new parcels from the
Town's Tract C that will ultimately be conveyed to Vail Resorts and made a part of the
Arrabelle parcel.
The approved Development Agreement between the Town and Vail Resorts has
acknowledged, or approved in concept, the conveyance of three small portions of Tract C
to Vail Resorts. As such, this subdivision involves both Vail Resorts and Town of Vail
property.
Description of Proposed Subdivision
The approved development plan for Arrabelle at Vail Square is located on all or a portion
of the following parcels:

The proposed subdivision will create two lots. Lot 1 is 2.842 acres in size and will
accommodate the Arrabelle. Lot 2 is 2.007 acres in size and will include the ski yard,
Gondola Building and related improvements and facilities. As has been done numerous
times throughout the town, the plat will include a not indicating that for zoning purposes
the two lots will be regarded as one development site.
The total area of the three parcels to be created from the Town's Tract C is .7,871 sq. ft.,
or.180 acres. These three parcels will be conveyed to Vail Resorts and incorporated into
proposed Lot 1. Two of these three currently owned Town of Vail parcels have been
slightly modified from the exhibit that was included in the Development Agreement. In
both cases this is due to design refinements to the building. On the east side of the
building the area to be conveyed to Vail Resorts has been reduced (from 1,223 sq. ft. to
865 sq. ft.), in large part because basement stairs have been eliminated from the plan. On
the north side of the building the area to be conveyed to Vail Resorts has been increased
slightly (4,698 sq. ft. to 4,981 sq. ft.) in order to include the stairway that leads to the ice
rink from the north mall.
Other Considerations
The subdivision requirement for an environmental impact report has been satisfied by the
EIR submitted as a part of the Exterior Alteration review process.
Requirements for pedestrian easements through the Arrabelle have been made a condition
of approval for the project. These easements will be defined as an element of the
condominium plat. This plat will be done after the buildings are constructed thereby
allowing for a more accurate and efficient means of defining the easement areas.
There are a few portions of the building that extend beyond the proposed property lines.
In every case this occurs below grade (footers) or on second level and above (planter
boxes, trellises, balconies and eaves. License agreements for these encroachments will
be proposed. Plans depicting the building in relationship to proposed property lines have
been prepared and are included in this submittal.

SUBJECT: A request for final review of a final plat for a major subdivision, pursuant to
Chapter 13-3, Major Subdivisions, Vail Town Code, to allow for a
resubdivision of the Lionshead Core Site, located at 616 Lionshead Place/(a
complete legal description is available for inspection at the Town of Vail
Community Development Department upon request), and setting forth details
in regard thereto. (PEC05-0008)

I. SUMMARY
The applicant, Vail Resorts, represented by Braun Associates, Inc., is requesting a
final review of a major subdivision application to create the "Final Plat, Lionshead
Sixth _Filinq, a resubdivision of Tracts C and D. Lot 4, Block 1, Vail/Lionshead
First Filing, and Lot 2, Block 1, Tracts G, H, and a portion of Tract C,
Vail/Lionshead Third Filing, Sections 6 and 7, Township 5 South, Range 80
West of the 6t P.M., Town of Vail, County of Eagle, State of Colorado". As a
result of the subdivision, Lots 1, 2, & 3, and Tract C will be created. Staff is
recommending approval of the applicant's development review application with the
conditions as listed in Section VI of this memorandum.
II. DESCRIPTION OF REQUEST
The applicant, Vail Resorts Development Company, represented by Braun
Associates, Inc., is requesting final review of a major subdivision application to
create the "Final Plat, Lionshead Sixth Filing, a resubdivision of Tracts C and D.
Lot 4, Block 1, Vail/Lionshead First Filing, and Lot 2, Block 1, Tracts G, H, and
Colorado". As a result of the subdivision, Lots 1, 2, & 3, and Tract C will be created.
The purpose of the final plat is to subdivide Tracts C and D, Block 1 Vail/Lionshead
First Filing and Lot 2, Block 1, Tracts G, H, and a portion of Tract C, Vail/Lionshead
Third Filing, Sections 6 and 7, Township 5 South, Range 80 West of the 6`h P.M., to
create Lots 1, 2, & 3, and Tract C, Lionshead Sixth Filing. Once completed this final
subdivision plat will allow for the transference of property and the creation of a
metropolitan district ("metro district") as contemplated in the "Core Site
Development Agreement" ("Agreement"), effective November 8, 2004, Section 4,
b, (ii) and as discussed during the review of the Lionshead Core Site Hotel major
C exterior alteration.

According to Section 4, b, (ii) of the "Agreement",
"The Town will convey to Vail Associates fee title to those portions of Tract C,
Vail /Lionshead First Filing, and Tract C, Vail/Lionshead Third Filing that are
presently owned by the Town and ultimately will be encroached by the Core
Site Project improvements, as set forth in the development plans for the Core
Site Project approved by the Town's Planning and Environmental
Commission and Design Review Board."
III. BACKGROUND
On September 27, 2004, the Town of Vail Planning & Environmental Commission
approved a request for a major exterior alteration and approved development plan
for the Lionshead Core Site Hotel. Upon approving the request, the Commission
placed the following conditions upon the approved development plan,
"The Developer shall address the following conditions of approval prior to the
issuance of a building permit by the Town of Vail Community Development
Department: (note: A grading permit shall constitute a building permit.)
1) That the Developer prepares a Developer Improvement Agreement for
Off-Site Improvements, as depicted on the Approved Development Plan,
for review and approval by the Vail Town Council. Upon approval of the
Agreement, the Developer and the Town of Vail shall legally execute the
Agreement.
2) That the Developer receives final approval of the major subdivision
application and records the final plat with the Eagle County Clerk &
Recorder's Office as contemplated above."
On February 28, 2005, the Town of Vail Planning & Environmental Commission
tabled the final review of the major subdivision application, at the request of the
applicant, to create the Lionshead Sixth Filing Subdivision. The reason for tabling
the application was to allow the applicant an opportunity to meet with their adjacent
property owners and Town staff to resolve questions about distances between
buildings and building code requirements prescribed by the 2003 International
Building Code.
On March 10, 2005, the Town staff facilitated a meeting with the applicant and
several adjacent property owners to resolve questions about distances between
buildings and building code requirements prescribed by the 2003 International
Building Code. Upon conclusion of the meeting, concensus was reached by all
parties present. As a result of the meeting, no revisions were required to be made to
the proposed final plat application.

V. CRITERIA AND FINDINGS
Chapter 3, Major Subdivision, Title 13 Subdivision Regulations, of the Vail Town
Code prescribes the review criteria for a request for a major subdivision. Pursuant to
Section 13-3-6, Final Plat, Vail Town Code, the criteria for reviewing the final plat
shall be as contained in Section 13-4-2 of the Subdivision Regulations. According to
Section 13-4-2C, Review And Action On Plat,
"The Planning and Environmental Commission shall review the plat and
associated materials and shall approve, approve with modifications or
disapprove the plat within twenty one (21) days of the first public hearing on
the minor subdivision or the minor subdivision will be deemed approved. A
longer time period for rendering a decision may be granted subject to mutual
agreement between the Planning and Environmental Commission and
subdivider"
The purpose of the final plat is to resubdivide Tracts C and D, Block 1 Vail/Lionshead
First Filing and Lot 2, Block 1, Tracts G, H, and a portion of Tract C, Vail/Lionshead
Third Filing, Sections 6 and 7, Township 5 South, Range 80 West of the 6th P.M., to
create Lots 1, 2, & 3 and Tract C, Lionshead Sixth Filing. Once completed this final
subdivision plat will allow for the transference of property and the creation of a
metropolitan district ("metro district') as contemplated in the "Core Site
Development Agreement" ("Agreement"), effective November 8, 2004, Section 4,
b, (ii) and as discussed during the review of the Lionshead Core Site Hotel major
exterior alteration.
According to Section 13-3-4, Commission Review of Application; Criteria, Vail Town
Code,
"The burden of proof shall rest with the applicant to show that the application
is in compliance with the intent and purposes of the Chapter, Zoning
Ordinance and other pertinent regulations that the Planning and
Environmental Commission deems applicable. Due consideration shall be
given to the recommendations made by public agencies, utility companies
and other agencies consulted under subsection 13-3-3C above. The
Planning and Environmental Commission shall review the application and
consider its appropriateness in regard to Town policies relating to subdivision
control, densities proposed, regulations, ordinances and resolutions and
other applicable documents, environmental integrity and compatibility with
surrounding land uses and other applicable documents, effects on the
aesthetics of the Town."
One of the basic premises of subdivision regulations is that minimum standards for
the creation of a new lot must be met. This project will be reviewed under the Major
Subdivision Criteria, pursuant to Section 13-3-4, Subdivision Regulations, Vail Town
Code.
The first criterion to be considered by the Planning and Environmental Commission
for a Major Subdivision application is:
Lot Area - The Zoning Code requires that the minimum lot or site area for a
lot located in the Lionshead Mixed Use I (LMU-1) zone district shall be 10,000
square feet of buildable area.
Staff Response - All parcels created by the major subdivision meets this
requirement.
The second set of criteria to be considered by the Planning and Environmental
Commission for a Major Subdivision application is the subdivision purpose
statements. The subdivision purpose statements are as follows:
To inform each subdivider of the standards and criteria by which development and
proposals will be evaluated and to provide information as to the type and extent of
improvements required.
Staff Response - The review of this request has followed the regulations prescribed
for major subdivisions of land.
2. To provide for the subdivision of property in the future without conflict with
development on adjacent properties.
Staff Response - The subdivision will not conflict with future development on
adjacent properties.
3. To protect and conserve the value of land throughout the municipality and the value
of buildings and improvements on the land.
Staff Response - Staff does not believe that the proposed subdivision request will
have any negative impacts on the value of land or the value of buildings and
improvements on the land.
4. To insure that subdivision of property is in compliance with the Town Zoning
Ordinance, to achieve a harmonious, convenient, workable relationship among land
uses, consistent with municipal development objectives.
Staff Response - The proposed subdivision meets the intent and purpose of the
Zoning Regulations for the parcel of land and will not prevent the harmonious,
convenient or workable relationship of uses consistent with the Town's municipal
objectives.
5. To guide public and private policy and action in order to provide adequate and
efficient transportation, water, sewage, schools, parks, playgrounds, recreational and
other public requirements and facilities and generally to provide that pubic facilities
will have sufficient capacity to serve the proposed subdivision.
Staff Response - Staff does not believe the requested major subdivision will have
any adverse impacts on the above-described criteria.
6. To provide for accurate legal descriptions of newly subdivided land and to establish
reasonable and desirable construction, design standards and procedures.

Staff Response - The proposal will result in an accurate legal description of the
subdivided land.
7. To prevent the pollution of air, streams, and ponds, to insure adequacy of drainage
facilities, to safeguard the water table and to encourage the wise use and
management of natural resources throughout the municipality in order to preserve
the integrity, stability and beauty of the community and the value of land.
Staff Response - Staff does not believe the proposed major subdivision will have
any negative impacts on the above-described criteria.
Staff has reviewed the application for the major subdivision. Upon review of the
proposed final plat, staff finds that the proposal complies with the criteria prescribed
for a major subdivision application.
A reduced copy of the proposed final plat has been attached for reference
(Attachment B).
VI. STAFF RECOMMENDATION
The Community Development Department recommends that the Planning and
Environmental Commission approves the final review of a final plat, pursuant to
Chapter 3, Title 13, Subdivision Regulations, Vail Town Code, to allow for a major
subdivision to create the Final Plat, Lionshead Sixth Filing, a resubdivision of
Tracts C and D, Lot 4, Block 1, Vail/Lionshead First Filing, and Lot 2, Block 1,
of Eagle, State of Colorado. Staff's recommendation is based upon the review of
the criteria outlined in Section V of this memorandum and the evidence and
testimony presented, subject to the following findings:
"Upon review of the request for a major subdivision to create the Final Plat,
Lionshead Sixth Filing, a resubdivision of Tracts C and D, Lot 4, Block 1,
Vail/Lionshead First Filing, and Lot 2, Block 1, Tracts G, H, and a portion of
Tract C, Vail/Lionshead Third Filinq, Sections 6 and 7, Township 5 South,
Range 80 West of the 6th P.M., Town of Vail, County of Eagle, State of
Colorado the Planning and Environmental Commission finds that the request
complies with subdivision regulations and standards as adopted by the Town
of Vail"
Should the Planning and Environmental Commission choose to approve the major
subdivision application, staff recommends that the following conditions be placed
upon the approval:
The Subdivider shall address the following condition(s) of approval to the satisfaction
of the Town of Vail prior to the issuance of a building permit (1305-0016) by the Town
of Vail Community Development Department for the Lionshead Core Site Hotel:
(note: A grading permit shall constitute a building permit.)

1. The Subdivider shall revise the proposed Final Plat to include a note describing
the purpose of the plat, as reviewed and approved by the Town of Vail
Community Development Department, and duly record the Final Plat upon
approval with the Eagle County Clerk & Recorder's Office.
2. The Subdivider shall execute and simultaneously record a license agreement, or
similar document as determined to be appropriate by the Town Attorney, with the
Eagle County Clerk & Recorder's Office, for the subterranean and above-grade
encroachments of the Lionshead Core Site Hotel onto Town of Vail-owned lands,
as depicted on the Approved Building Permit Set of Plans, prior to the issuance
of a building permit for the Hotel.

AN ORDINANCE FOR THE CONVEYANCE TO THE VAIL
CORPORATION, DB/A VAIL ASSOCIATES, INC., OF CERTAIN
PORTIONS OF TRACT C, VAIL/LIONSHEAD FIRST FILING, AND
TRACT C, VAIL/LIONSHEAD THIRD FILING, WHICH ARE OWNED BY
THE TOWN OF VAIL, AND FOR THE VACATION AND TERMINATION
OF CERTAIN EXISTING PUBLIC UTILITY AND DRAINAGE EASEMENTS
WITHIN VAIL/LIONSHEAD, FIRST AND THIRD FILINGS, ALL IN
CONNECTION WITH THE DEVELOPMENT OF THE LIONSHEAD "CORE"
SITE, A/K/A ARRABELLE AT LIGI t SQUARE.

WHEREAS, the Town of Vail (the "Town"), Vail Reinvestment Authority, and
The Vail Corporation, d/b/a Vail Associates, Inc. ("Vail Associates") are parties to that certain
Core Site Development Agreement dated as of November 8, 2004 (the "Development
Agreement"); initially capitalized terms used but not defined herein shall have the meanings
ascribed thereto in the Development Agreement; and
WHEREAS, acting through the Town's applicable departments and agencies,
including the Town Council, the Director of Community Development, and the Director of
Public Works, and in furtherance of the execution of the terms under the Development
Agreement, including the Town's obligations, the Town has determined to convey to Vail
Associates those portions of Tract C, Vail/Lionshead First Filing, according to the recorded plat
thereof ("First Filing"), and Tract C, Vail/Lionshead Third Filing, according to the recorded plat
thereof ("Third Filing"), that are owned by the Town, and that, pursuant to development designs
and plans approved by the Town (acting through its Planning and Environmental Commission),
fall within the building envelope and improvements areas for the pending development project
being undertaken by Vail Associates, generally referred to as the "Core" project and also as
"Arrabelle at Lion Square," and governed by the Development Agreement (the "Core Project");
this conveyance shall be effectuated by granting to Vail Associates the interests of the Town in
and to such building envelope and improvements areas, which are to be platted as and constituted
by Lot 1, Lionshead Sixth Filing ("Sixth Filing"), according to the plat thereof as ultimately
approved and adopted by the Town (said Lot 1 being referred to herein as the "Core Site"); and
WHEREAS, again in furtherance of the undertaking of the Core Project and the
execution of the Development Agreement, the Town has determined to terminate certain pre-
existing utility and drainage easements within certain portions of First Filing and Third Filing,
which easements are being replaced and/or reconfigured in connection with the Core Project; and
WHEREAS, the Town of Vail gave and published proper and timely notice of the
date and time of the public hearing for Town Council's consideration of the adoption of this
Ordinance, and Town Council duly held and conducted such hearing in accordance with
applicable laws.
NOW, THEREFORE, BE IT ORDAINED BY THE TOWN COUNCIL OF THE
TOWN OF VAIL, COLORADO as follows:

Section 1.
The Town shall convey to Vail Associates all of the Town's right, title and interest in and to the
Core Site, as held by the Town as of the making of the Development Agreement and presently,
and hereby authorizes the Town Manager, in consultation with the Town Attorney, to execute a
quitclaim deed (the "Town Core Site Deed") and such other documents and instruments as the
Town Manager may consider to be necessary or appropriate for purposes of completing that
conveyance; provided, however, that the completion of the conveyance shall be subject to the
following terms:
(a) The conveyance is and shall be conditioned upon, and completed as part of and
contemporaneously with, the completion of the Closing under the terms of the
Development Agreement.
(b) The Town Core Site Deed will expressly reserve to the Town the Town's interests
under the Termination Easements (defined below) that fall within the Core Site,
subject expressly to the termination of the reservation upon the satisfaction of the
Termination Conditions (again as defined below).
The Town Core Site Deed will be recorded following the recordation of the Sixth Filing Plat, and
the Town will join in the Sixth Filing Plat in its proprietary capacity as an owner. In addition, if
any portions of the property conveyed under the Town Core Site Deed are located within the
Lionshead Mall access way, those portions shall be included within the courtyard access public
easements to be granted under paragraph 10 of the Development Agreement for purposes of
permitting pedestrian and, if applicable, emergency vehicle access over the surface of such
portions.
Section 2.
The Town hereby vacates, abandons, relinquishes, releases and terminates (the "Termination")
certain utility and drainage easements in accordance with and subject to the following
provisions:
(a) The easements that are the subject of the Termination are identified as follows: all
utility and drainage easements within Tract C, First Filing, and Tract C, Third
Filing; within Lot 4, Block 1, First Filing; and within Tracts G and H, Third
Filing, all of which easements were originally dedicated and granted to the Town
on First Filing or Third Filing, as applicable (the "Termination Easements"). All
utility and drainage easements set forth within the platted properties on Sixth
Filing will constitute Termination Easements (except for any utility easements
expressly in favor of any utility supplier other than the Town).
(b) Th T rmination of the Termination Easements will be subject to the following
cones, ions and requirements:
(i) The Termination will not become effective prior to the completion of the
Closing under the Development Agreement.

(ii) As a condition to the effectiveness of the Termination, replacement
easements must be established in favor of the Town, by grant to the Town
pursuant to the terms of the Sixth Filing Plat and/or pursuant to other
record dedications, to accommodate the pertinent utility and drainage
facilities as they are to be configured or reconfigured in connection with
the Core Project (the "Replacement Easements"). Replacement
Easements to be located within Town-owned properties will be granted by
the Town, subject to the applicable terms of the Development Agreement.
(iii) As a further condition to the effectiveness of the Termination, the existing
utility and drainage facilities within the Termination Easements must be
relocated and/or reconfigured within the Replacement Easements in
accordance with the ordinary installation requirements of the Town or
pertinent utility supplier, as applicable.
The foregoing conditions and requirements set forth in subparagraphs (i), (ii) and
(iii) above are sometimes referred to hereinafter collectively as the "Termination
Conditions."
(c) The Town Manager, in consultation with the Director of Public Works and the
Town Attorney, is hereby authorized to execute and record an acknowledgment of
the satisfaction of the Termination Conditions when the Town Manager
determines that the Termination Conditions have been satisfied, which recorded
acknowledgment shall attach a copy of this Ordinance; the execution and
recordation of such acknowledgment shall be conclusive that the Termination
Conditions have been satisfied, and thereupon the Termination will be fully
effective, such that the Termination Easements are of no further force or effect.
(d) The termination of the Termination Easements pursuant to the provisions of this
Ordinance shall be referenced on the face of the Sixth Filing Plat.
(e) Upon the satisfaction of the Termination Conditions, the Town Manager, in
consultation with the Town Attorney and in addition to executing and recording
the acknowledgment of the satisfaction of the Termination Conditions, shall
execute such further quitclaim deeds and other documents and instruments as Vail
Associates may reasonably request to confirm and evidence the Termination of
the Termination Easements.
Section 3.
If any part, section, subsection, sentence, clause or phrase of this ordinance is for any reason held
to be invalid, such decision shall not affect the validity of the remaining portions of this
ordinance; and the Town Council hereby declares it would have passed this ordinance, and each
part, section, subsection, clause or phrase thereof, regardless of the fact that any one or more
parts, sections, subsections, clauses or phrases be declared invalid.

Section 4.
The Town Council hereby finds, determines and declares that this ordinance is necessary and
proper for the health, safety and welfare of the Town of Vail and the inhabitants thereof.
Section 5.
All bylaws, orders, resolutions and ordinances, or parts thereof, inconsistent herewith are
repealed to the extent only of such inconsistency. This repealer shall not be construed to revise
any bylaw, order, resolution or ordinance, or part thereof, theretofore repealed.
INTRODUCED, READ ON FIRST READING, APPROVED, AND ORDERED
PUBLISHED ONCE IN FULL, this 15th day of March, 2005. A public hearing on this
ordinance shall be held at the regular meeting of the Town Council of the Town of Vail,
Colorado, on the 5th day of April, 2005, in the Municipal Building of the Town.
