This budgeting process provides the foundation to establish advertising rates for 2021 as described in a partnership agreement with Colorado Mountain News Media. The agreement is for up to $90,000 to be spent across all departments which is over 50% off community rates. I n accordance with town policy, the Town Council must authorize the Town Manager or its designee to enter into agreements above $50,000. Staff Recommendation: Authorize the Town Manager to enter into the Professional Service Agreement with Vail Daily in a form approved by the Town Attorney not to exceed $90,000. 3.4.Vail 2021 Crack Seal Contract Award February 16, 2021 - Page 1 of 103 Action Requested of Council: Authorize the Town Manager to enter into an agreement with Superior Asphalt LC to complete the Vail 2021 Crack Seal project. Background: Staff received 2 bids for the Vail 2021 Crack Seal project from Superior Asphalt and A-1 Chipseal. The project is budgeted with the Capital Street Maintenance budget and is within the engineer ’s estimate. The project includes crack filling on all asphalt roads, recreation paths and trailhead parking lots in the Town of Vail. The project is scheduled to be completed by J une 11, 2020 Staff Recommendation: Authorize the Town Manager to enter into an agreement, in a form approved by the Town Attorney, with Superior Asphalt LC to complete the Vail 2021 Crack Seal project in the amount not to exceed $155,000.00 3.5.Public Works Shop Construction Project Contract Award Hyder Construction Background: The Public Works Shop expansion was approved within the 2021 budget process. On J anuary 5, 2021 the Town Council awarded a limited preconstruction package to Hyder Construction. On February 2, 2021 the Town Council awarded the financing for the project. This award is the total construction contract which includes the previously awarded preconstruction work to Hyder Construction in the amount of $16,197,970. Staff Recommendation: Authorize the Town Manager to enter into an agreement, in a form approved by the Town Attorney, with Hyder Construction for the construction of the Public Works Shop project in the amount of, and not to exceed, $16,197,970. Contingent on final closing of the project financing, scheduled for February 17, 2021. 4.Town Manager Report 4.1.Update about Eagle County Public Health 5 Star Certification Program 5 min. It shows who you are dealing with at Booth Heights. February 16, 2021 - Page 5 of 103 The self -appointed spokesperson for the Council, Jenn Bruno, told everybody that condemnation is off the table. With that assurance, how are you going to deal with Broomfield Resorts? The bottom line is that we are getting two ugly developments in town. One by Triumph at Middle Creek and another one by Broomfield Resorts at Booth Heights. And what about the Bighorn Sheep? Every one of you has expressed environmental concerns. Now you have to show that you mean it . If you’re no longer in a position to buy the property, condemn it and put it in open space so we have bighorn sheep for the rest of our lifetimes and the lifetimes of our children and grandchildren. I have had no response to the question nor to whether or not my email was received. I'd like to relate an experience that my family had on a bright sunny day Sept. 9 2019. We live on Bighorn Rd. There was construction on east bound Vail pass and an accident occurred. We had plans down valley but could not get out of our driveway for nearly 1 hour due to the blockage at that underpass and turn lanes and extensive cars all over the neighborhood. Our family made other plans because we could, because no one had a life threatening emergency around that time. All traffic from the south side of East Vail must pass through that underpass to exit the neighborhood by frontage road which is February 16, 2021 - Page 7 of 103 frequently necessary due to interstate closures. I'd like to remind council of some details regarding the Booth Heights location and the underpass. -- The BH property is roughly the distance from the #180 exchange as is the distance from Vendettas to the covered bridge (for visualization purposes) -- Triumph's plans were for up to 458 residents with 156 planned parking spots -- CDOTs major overhaul of the west side of Vail pass is imminent. The proximity of the underpass to such high density along with significant increase in traffic volume, near-term construction, emergency vehicle access and pedestrian safety all need accurate data and a serious comprehensive safety evaluation. I will argue that public safety is the main responsibility of town government. Developers don't care about pedestrian safety unless they are forced to do so and CDOT knows the EVUP is antiquated and are willing to help but won't initiate improvements. The liability for EVUP lies with TOV. In CO, all physicians are mandated to carry malpractice insurance. Most of us use our CO based company (COPIC) which continually educates and informs physicians on how to avoid or handle a case with a bad outcome. If I had a case with a bad outcome AND IF- February 16, 2021 - Page 9 of 103 - I had misrepresented numbers regarding the case (Triumph said BH would house 200-250 occupants, the real number is 458) - I had utilized a study that was pointed out to be inaccurate (McDowell traffic report) - I had not adhered to community standards ( The EVUP is an outlier in Vail) THEN, I would most likely not be covered by my policy regarding that case because it would be hard to defend. This is why I say that liability for an injurious accident involving the EVUP could be indefensible for the TOV. Please do not allow for any loopholes in negotiations in which VR could obtain "approved development plans". Thank you for your efforts . My comments about what the community needs with regards to our local press is- more help to keep on top of what town council does behind closed doors. Their lack of transparency is confounding and some investigative techniques might help the community be more informed. I believe the lack of transparency comes from the close ties to VR who intentionally hides stats on skier visits, injuries, types of injuries, data on collisions etc. The overall culture is one of hiding anything not fitting the narrative "happy valley "and "greatest show on earth" or whatever. I also feel TOV hides data that may be helpful to the community. For example, when motor vehicle accidents occur, an exact location may be helpful and some gradation of severity if injuries. Nothing to conflict with HIPPA regs, but knowledge and information may have some motorists slow down in an area of recent accidents or some mention of injuries to gain attention for safety awareness. Another secret kept by the town or maybe CDW, is the tally of wildlife deaths in our valley by motor vehicles and by hunters. What are the numbers and species of animals killed? Were there human injuries as well? This information helps with safety awareness and why protections for our wildlife migration are important. And of course, there is the town council's propensity to act on open space with little advance warning to the community. After real time experience with Covid, all should realize that more knowledge, information and facts are what is needed, not more lack of transparency and hidden information. The now over 50 years of success has been facilitated by both. Continued balance between the integrity and resources of the spectacular surrounding environment and the need to maintain economic viability is critical to success going forward. Likewise, effective partnerships with other municipalities, Eagle County and Vail Resorts (VR) are vital to its implementation. The Booth Heights development plan has highlighted both development/environment and partnership balance dilemmas. To distinguish the Vail Valley from a metroplex, respect for and access to untouched forest, including wildlife and recreational facilities are crucial. Placing a high-density development with wildlife and traffic impacts that impede recreational access is challenging, e.g. workers four to seven miles from jobs and shopping and folks trying to reach the Pitkin trailhead and bikers heading up Vail Pass. Perhaps these impacts could be offset with on and offsite mitigation, which leads to one important aspect of partnership…Who pays for impact mitigation? Over time, based on the Planning and Zoning codes, developers have been held responsible for on and off -site impacts of this magnitude, a critical outcome from the Town’s perspective. In an after- the -approval effort to address community concerns, the Council’s negotiation with Vail Resorts (VR) resulted in a questionable outcome from the Town’s perspective, given VRs intention to keep the BH property, in- spite of Middle Creek and Timber Ridge projects, which were originally intended as substitutes but have become stand-alone projects that themselves warrant assurance of adequate on and off -site mitigation. The effective partnership dynamic with VR goes far beyond the Booth Heights/Middle Creek examples. Historically, the Ski company has been a partner with the Town by making financial contributions to infrastructure (e.g. main Vail Roundabout), marketing support and timely communication regarding company decisions that impact the community. Unfortunately, that level of cooperative partnership seems to have decreased over time and to be fading today with a crescendo of situations in which there appear to be minimal equity offsets for the Town. Merv Lapin in his memo of Feb 1, 2021 did an outstanding job of enumerating specifics of an increasingly one-sided partnership with VR and further suggested one legal option worthy of exploring regarding Booth Heights. Additional current impacts in need of partner participation to facilitate mitigation include frontage road parking overflow and lift lines down Bridge St even during a “limited access” period that result in infrastructure overload and safety concerns. The Council needs to take action to rectify these partnership disparities or expect a continued slide to the disadvantage of the Town. Unfortunately, when a partner declines to participate or even to communicate crucial, timely information in these high-stakes scenarios, serious consideration of action based on solid legal advice and grounded on the Town’s Charter, Ordinances and Regulations becomes necessary. February 16, 2021 - Page 17 of 103 The role of the Council is to provide leadership that focuses on these critical issues of balance, both between development and environment and cooperative power sharing and responsibility for problem solving and implementation. While it is to be expected that VR is committed to stockholder friendly outcomes and that developers are operating for profit, the Council’s role is to represent the big picture interests of the Community, exercising its legal standing when necessary. It is always more pleasant to go along than to push back, but firm push back is sometimes necessary to maintain the environment/development and partnership implementation balances that have been and will continue to be critical to Vail’s success as a resort and a community. Upgrades are needed to keep the system up to date and to meet Federal NG911 standards. This system was paid for and is maintained entirely by the Eagle County E911 Authority Board. Staff Recommendation: Authorize the Town Manager to enter into an agreement with Motorola Solutions in an amount not to exceed $260,913. Award of a construction contract to construct improvements for the renova tion of the landscaping around the Ford Park Playground. Background: The landscaping of the area around the Ford Park Playground and basketball court is in poor condition due to erosion and foot traffic. Renovation of the landscape is included in the 2020 RETT Capital Budget. The Design Review Board has approved the plan of the renovation. The project was publicly bid with GH Daniels and Associates submitting the low bid. Staff Recommendation: Authorize the Town Manager to enter into an agreement, in a form approved by the Town Attorney, with GH Daniels III and Associates, Inc. to construct improvements relative to the Ford Park Playground Landscape Renovation in the amount not to exceed $69,054.00. Town Manager Report Robson started his report to the council congratulating Municipal Judge Buck Allen upon his 42nd year. He reported the town had been lobbying for state changes in transit capacity. Robson stated as a result of executive session, earlier that afternoon, a pre-development agreement between the town and Triumph Development w ould be presented to council at the next public meeting on Jan. 19. The pre-development agreement was intended to facilitate deed-restricted residential development on Lot 3, Middle Creek and the redevelopment of the Timber Ridge Village Apartments. Additionally, Robson provided an update on the vaccination process in Eagle County . Most of Vail's emergency service workers had been vaccinated and the county was now working to vaccinate those 70 and older. The county remained in the orange COVID-19 risk level. The town had been busy over the holidays and the events including Revely Vail, Winterfest, Holidays in Vail and Magic of Lights Vail, and the fireworks were all well received. Gift card redemption program was also successful. Robson also thanked the Police Department for their heavy lift in safely accommodating the Vice President's trip during the holidays. 4. Ordinance No. 1, Series of 2021, First Reading, An Ordinance Repealing and Reenacting Chapter 2 of Title 6 of the Vail Town Code Regarding Procedures for Disposing on Unclaimed Property in the Town Presenter(s): Craig Bettis, Vail Police Commander Action Requested of Council: Approve, approve with amendments, or deny Ordinance No. 1, Series of 2021 upon first reading Background: Ordinance No. 1, Series of 2021 would update the Vail T own Code to reflect the recent updates to Unclaimed Property Act, C.R.S. §§38-13-101, et seq. (the "Act"). Staff Recommendation: Approve, approve with amendments, or deny Ordinance No. 1, Series of 2021 upon first reading Matt Mire, Town Attorney, reviewed Ordinance No. 1, Series of 2021 with council explaining this ordinance was more for code cleanup based on opting out of the Unclaimed Property Act, C.R.S. §§ 38-13-101, et seq. due to the administrative burden it has placed on staff in the past. This utilization of Town of Vail property would be subject to the terms of a construction license agreement. Background: Dead Drift Development, represented by Jack Snow of RKD Architecture, requests a Construction License Agreement to install temporary soil nails in Town of Vail property in the open space strip of land separating 1390 and 1469 Greenhill Ct. Staff Recommendation: The Community Development Department recommends that the Vail Town Council instructs the Town Manager to: Sign the Construction License Agreement on behalf of the property owner. Spence introduced the topic to council stating the request was for a Construction License Agreement to install temporary soil nails in Town of Vail property in the open space strip of land separating 1390 and 1469 Greenhill Ct. A new two-family residence was currently under construction on 1469 Greenhill Ct. The purpose of the soil nails was to increase the project efficiency and safety while reducing cost and minimizing site disturbance. Kassmel, stated this could set precedence setting by putting soil nails in open space. The only other location where that was previously allowed was the Solar Vail Housing development. Council asked questions concerning the pros and cons of leaving the soil nails in the ground permanently . Mire stated if council was in favor of moving forward the motion would be to direct staff to enter into a license agreement for the temporary construction in a form approved by the attorney; Stockmar stated so moved; Coggin seconded the motion passed (7-0). Town Staff has engaged Resort Entertainment to program ambient entertainment for the winter season with a budget approved up to $120,000. Staff Recommendation: Authorize the Town Manager to enter into an agreement with Resort Entertainment Group in an amount not to exceed $120,000 for the Ambient Ent ertainment program to run through April 15, 2021. Children's Garden of Learning Modular Vendor Contract Award Background: The Town of Vail is planning on relocating the Children's Garden of Learning from Middle Creek Lot 3 to the Lionshead Oversize Parking Lot for the next 3-5 years. A Request For Proposals was issued for a Modular Vender to construct 5 Modular Buildings for this temporary move. Staff Recommendation: Authorize the Town Manager to enter into a contract with Palomar Modular Buildings in an amount not to exceed $760,000; and to not pursue the VCG deduct option in consideration of the overall quality and design of the building, and the efforts the town is taking to make sure it does not look or feel like a modular building. Public Works Shop Project Xcel Energy Upgrades Expenditure Authorization Background: The Public Works Shop expansion was approved within the 2021 budget process. In order to stay on schedule for a spring 2021construction start. The Xcel Energy infrastructure serving the Public Works complex needs to be upsized. The Town Staff worked with Xcel Energy designers to ensure this upgrade will not only serve the current project but will accommodate all future masterplan elements including additional housing. The work will take place from intersection of Vail Valley Drive and Sunburst Drive to the Town of Vail Shop Building. Authorizing the expenditure now facilitates scheduling with Xcel energy a s construction schedule and priorities are based on actual payment in advance of the construction. The cost of the work is $ 245,000. Staff Recommendation: Authorize the Town Manager to enter into an agreement, in a form approved by the Town Attorney, with Xcel Energy to upgrade utility facilities serving the Public Works Shop complex in the amount not to exceed $245,000. Vail Destination Straw Poll Report (short -term occupancy report) Mia Vlaar, Economic Development Director, reviewed the Vail Destination Straw Poll Report stating this poll will provide a new weekly data from 10 lodges. Vlaar explained Vail businesses may find the information helpful for staffing, food ordering and other planning within the business community. Council requested the report be posted on the town’s webpage for all business to see and use? Vlaar stated it would be posted every Wednesday afternoon and it will be a great tool for the town businesses. 5. Presentations / Discussion 5.1. EC Alert Update Presenter(s): Marc Wentworth, Vail Public Safety Communications Center Director Action Requested of Council: Listen to discussion and ask questions. Background: Everbridge was selected as the messaging vendor by the E911 Authority Board in 2014, chosen to replace the previously used ‘Roam Secure’ software. This contract and billing model is set to change with our contract renewal in March 2021, we must change our messaging practices to avoid an approximate tripling of that cost. Since the cost increase is due to the sheer volume of SMS messaging that the communication center sends out, the simplest and most efficient way to make these changes is to use the Everbridge App which allows us to send the same volume of messaging as we do currently through the app, with no added cost. WHEREAS, the Town requires professional services; and WHEREAS, Contractor has held itself out to the Town as having the requisite expertise and experience to perform the required professional services. NOW, THEREFORE, for the consideration hereinafter set forth, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows: I. SCOPE OF SERVICES A. Contractor shall furnish all labor and materials required for the complete and prompt execution and performance of all duties, obligations, and responsibilities which are described or reasonably implied from the Scope of Services set forth in Exhibit A, attached hereto and incorporated herein by this reference. B. A change in the Scope of Services shall not be effective unless authorized as an amendment to this Agreement. If Contractor proceeds without such written authorization, Contractor shall be deemed to have waived any claim for additional compensation, including a claim based on the theory of unjust enrichment, quantum merit or implied contract. Except as expressly provided herein, no agent, employee, or representative of the Town is authorized to modify any term of this Agreement, either directly or implied by a course of action. II. TERM AND TERMINATION A. This Agreement shall commence on the Effective Date, and shall continue until Contractor completes the Scope of Services to the satisfaction of the Town, or until terminated as provided herein. B. Either Party may terminate this Agreement upon 7 days advance written notice. The Town shall pay Contractor for all work previously authorized and completed prior to the date of termination. If, however, Contractor has substantially or materially breached this Agreement, the Town shall have any remedy or right of set-off available at law and equity. III. COMPENSATION A. In consideration for the completion of the Scope of Services by Contractor, the Town shall pay Contractor an amount not to exceed $90,000. This maximum amount shall include all fees, costs and expenses incurred by Contractor, and no additional amounts shall be paid by the Town for such fees, costs and expenses. Contractor shall not be paid until the Scope of Services is completed to the satisfaction of the Town. Contractor hereby warrants that it is qualified to assume the responsibilities and render the services described herein and has all requisite corporate authority and professional licenses in good standing, required by law. B. The work performed by Contractor shall be in accordance with generally accepted professional practices and the level of competency presently maintained by other practicing professional firms in the same or similar type of work in the applicable community. The work and services to be performed by Contractor hereunder shall be done in compliance with applicable laws, ordinances, rules and regulations. C. The Town's review, approval or acceptance of, or payment for any services shall not be construed to operate as a waiver of any rights under this Agreement or of any cause of action arising out of the performance of this Agreement. D. Because the Town has hired Contractor for its professional expertise, Contractor agrees not to employ subcontractors to perform any work under the Scope of Services. V. OWNERSHIP Any materials, items, and work specified in the Scope of Services, and any and all related documentation and materials provided or developed by Contractor shall be exclusively owned by the Town. Contractor expressly acknowledges and agrees that all work performed under the Scope of Services constitutes a "work made for hire." To the extent, if at all, that it does not constitute a "work made for hire," Contractor hereby transfers, sells, and assigns to the Town all of its right, title, and interest in such work. The Town may, with respect to all or any portion of such work, use, publish, display, reproduce, distribute, destroy, alter, retouch, modify, adapt, translate, or change such work without providing notice to or receiving consent from Contractor. VI. INDEPENDENT CONTRACTOR Contractor is an independent contractor. Notwithstanding any other provision of this Agreement, all personnel assigned by Contractor to perform work under the terms of this Agreement shall be, and remain at all times, employees or agents of Contractor for all purposes. Contractor shall make no representation that it is a Town employee for any purposes. VII. INSURANCE A. Contractor agrees to procure and maintain, at its own cost, a policy or policies of insurance sufficient to insure against all liability, claims, demands, and other obligations assumed by Contractor pursuant to this Agreement. At a minimum, Contractor shall procure and maintain, and shall cause any subcontractor to procure and maintain, the insurance coverages listed below, with forms and insurers acceptable to the Town. The policy shall be applicable to all premises and operations, and shall include coverage for bodily injury, broad form property damage, personal injury (including coverage for contractual and employee acts), blanket contractual, products, and completed operations. The policy shall contain a severability of interests provision, and shall include the Town and the Town's officers, employees, and contractors as additional insureds. No additional insured endorsement shall contain any exclusion for bodily injury or property damage arising from completed operations. 3. Professional liability insurance with minimum limits of $1,000,000 each claim and $2,000,000 general aggregate. C. Such insurance shall be in addition to any other insurance requirements imposed by law. The coverages afforded under the policies shall not be canceled, terminated or materially changed without at least 30 days prior written notice to the Town. In the case of any claims-made policy, the necessary retroactive dates and extended reporting periods shall be procured to maintain such continuous coverage. Any insurance carried by the Town, its officers, its employees, or its contractors shall be excess and not contributory insurance to that provided by Contractor. Contractor shall be solely responsible for any deductible losses under any policy. D. Contractor shall provide to the Town a certificate of insurance as evidence that the required policies are in full force and effect. The certificate shall identify this Agreement. VIII. INDEMNIFICATION Contractor agrees to indemnify and hold harmless the Town and its officers, insurers, volunteers, representative, agents, employees, heirs and assigns from and against all claims, liability, damages, losses, expenses and demands, including attorney fees, on account of injury, loss, or damage, including without limitation claims arising from bodily injury, personal injury, sickness, disease, death, property loss or damage, or any other loss of any kind whatsoever, which arise out of or are in any manner connected with this Agreement if such injury, loss, or damage is caused in whole or in part by, the act, omission, error, professional error, mistake, negligence, or other fault of Contractor, any subcontractor of Contractor, or any officer, employee, representative, or agent of Contractor, or which arise out of a worker's compensation claim of any employee of Contractor or of any employee of any subcontractor of Contractor. Contractor's liability under this indemnification provision shall be to the fullest extent of, but shall not exceed, that amount represented by the degree or percentage of negligence or fault attributable to Contractor, any subcontractor of Contractor, or any officer, employee, representative, or agent of Contractor or of any subcontractor of Contractor. If Contractor is providing architectural, engineering, surveying or other design services under this Agreement, the extent of Contractor's obligation to indemnify and hold harmless the Town may be determined only after Contractor's liability or fault has been determined by adjudication, alternative dispute resolution or otherwise resolved by mutual agreement between the Parties, as provided by C.R.S. § 13-50.5-102(8)(c). By entering into this Agreement, Contractor hereby certifies that, at the time of this certification, it does not knowingly employ or contract with an illegal alien who will perform work under this Agreement and that Contractor will participate in either the E- Verify Program administered by the United States Department of Homeland Security and Social Security Administration or the Department Program administered by the Colorado Department of Labor and Employment to confirm the employment eligibility of all employees who are newly hired to perform work under this Agreement. B. Prohibited Acts. Contractor shall not knowingly employ or contract with an illegal alien to perform work under this Agreement or enter into a contract with a subcontractor that fails to certify to Contractor that the subcontractor shall not knowingly employ or contract with an illegal alien to perform work under this Agreement. C. Verification. 1. If Contractor has employees, Contractor has confirmed the employment eligibility of all employees who are newly hired to perform work under this Agreement through participation in either the E-Verify Program or the Department Program. 2. Contractor shall not use the E-Verify Program or Department Program procedures to undertake pre-employment screening of job applicants while this Agreement is being performed. 3. If Contractor obtains actual knowledge that a subcontractor performing work under this Agreement knowingly employs or contracts with an illegal alien who is performing work under this Agreement, Contractor shall: notify the subcontractor and the Town within three days that Contractor has actual knowledge that the subcontractor is employing or contracting with an illegal alien who is performing work under this Agreement; and terminate the subcontract with the subcontractor if within 3 days of receiving the notice required pursuant to subsection 1 hereof, the subcontractor does not stop employing or contracting with the illegal alien who is performing work under this Agreement; except that Contractor shall not terminate the subcontract if during such three days the subcontractor provides information to establish that the subcontractor has not knowingly employed or contracted with an illegal alien who is performing work under this Agreement. D. Duty to Comply with Investigations. Contractor shall comply with any reasonable request by the Colorado Department of Labor and Employment made in the course of an investigation conducted pursuant to C.R.S. § 8-17.5-102(5)(a) to ensure that Contractor is complying with the terms of this Agreement. E. Affidavits. If Contractor does not have employees, Contractor shall sign the "No Employee Affidavit" attached hereto. If Contractor wishes to verify the lawful presence of newly hired employees who perform work under the Agreement via the Department Program, Contractor shall sign the "Department Program Affidavit" attached hereto. This Agreement shall be governed by the laws of the State of Colorado, and any legal action concerning the provisions hereof shall be brought in Eagle County, Colorado. B. No Waiver. Delays in enforcement or the waiver of any one or more defaults or breaches of this Agreement by the Town shall not constitute a waiver of any of the other terms or obligation of this Agreement. C. Integration. This Agreement constitutes the entire agreement between the Parties, superseding all prior oral or written communications. D. Third Parties. There are no intended third-party beneficiaries to this Agreement. E. Notice. Any notice under this Agreement shall be in writing, and shall be deemed sufficient when directly presented or sent pre-paid, first class United States Mail to the party at the address set forth on the first page of this Agreement. F. Severability. If any provision of this Agreement is found by a court of competent jurisdiction to be unlawful or unenforceable for any reason, the remaining provisions hereof shall remain in full force and effect. G. Modification. This Agreement may only be modified upon written agreement of the Parties. H. Assignment. Neither this Agreement nor any of the rights or obligations of the Parties hereto, shall be assigned by either Party without the written consent of the other. I. Governmental Immunity. The Town and its officers, attorneys and employees are relying on, and do not waive or intend to waive by any provision of this Agreement, the monetary limitations or any other rights, immunities, and protections provided by the Colorado Governmental Immunity Act, C.R.S. § 24-10-101, et seq., as amended, or otherwise available to the Town and its officers, attorneys or employees. J. Rights and Remedies. The rights and remedies of the Town under this Agreement are in addition to any other rights and remedies provided by law. The expiration of this Agreement shall in no way limit the Town's legal or equitable remedies, or the period in which such remedies may be asserted, for work negligently or defectively performed. K. Subject to Annual Appropriation. Consistent with Article X, § 20 of the Colorado Constitution, any financial obligation of the Town not performed during the current fiscal year is subject to annual appropriation, shall extend only to monies currently appropriated, and shall not constitute a mandatory charge, requirement, debt or liability beyond the current fiscal year. Development at this location could be initiated as early as September 2021, necessitating the relocation of the children’s center. The Charter Bus Lot has been chosen due its location, access and relative ease of development. The existing use of oversized vehicles will be relocated to West Vail south of the Fire Station #3. The Charter Bus Lot property is a part of the Civic Area planning effort with future development anticipated. APPLICABLE DOCUMENTS Staff finds that the following provisions of the Vail Town Code are relevant to the review of this proposal: Title 14 – Design Review Standards and Guidelines, Vail Town Code 14-1-1: PURPOSE AND INTENT: It is the purpose of these rules, regulations, and standards to ensure the general health, safety, and welfare of the community. These rules, regulations, and standards are intended to ensure safe and efficient development within the town of Vail for pedestrians, vehicular traffic, emergency response traffic, and the community at large. The development standards will help protect property values, ensure the aesthetic quality of the community and ensure adequate development of property within the town of Vail. 14-1-2: APPLICABILITY: Unless specifically exempted, the provisions of this title shall supplement any and all existing laws and shall apply to all persons, without restriction, and to conditions arising after the adoption thereof, to conditions not legally in existence at the time of adoption of this title, and to conditions which, in the opinion of the fire chief, the building official, or the town engineer, constitute a distinct hazard to life or property. The development standards shall apply to new development, as well as to modifications and additions to existing developments, unless specifically exempted herein. 14-1-6: APPEALS: Appeals from decisions made concerning the development standards shall be in accordance with title 12, chapter 3 of this code. 14-10-1: PURPOSE: This chapter provides the design review standards and guidelines for development in the town of Vail. Actions of the staff and the design review board shall be guided by the objectives prescribed herein, the Vail Village urban design considerations and guide plan and the Lionshead redevelopment master plan, February 16, 2021 - Page 54 of 103 Town of Vail Page 4 and by all of the applicable ordinances of the town and by the design guidelines in this chapter. 14-10-2: GENERAL COMPATIBILITY A. Structures shall be compatible with existing structures, their surroundings, and with Vail's environment. It is not to be inferred that buildings must look alike to be compatible. Compatibility can be achieved through the proper consideration of scale, proportions, site planning, landscaping, materials and colors, and compliance with the guidelines herein contained. B. Any building site in Vail is likely to have its own unique landforms and features. Whenever possible, these existing features should be preserved and reinforced by new construction. The objective is to fit the buildings to their sites in a way that leaves the natural landforms and features intact, treating the buildings as an integral part of the site, rather than as isolated objects at odds with their surroundings. 14-10-3: SITE PLANNING: A. The location and configuration of structures and accessways shall be responsive to the existing topography of the site upon which they are to be located. Grading requirements resulting from development shall be designed to blend into the existing or natural landscape. Any cuts or fills shall be sculptural in form and contoured to blend with the existing natural undisturbed terrain within the property boundary. B. Building siting and access thereto shall be responsive to existing features of terrain rock outcroppings, drainage patterns, and vegetation. C. Removal of trees, shrubs, and other native vegetation shall be limited to removal of those essential for development of the site, those identified as diseased, those essential for creating defensible space, and those found to impact view corridors as further regulated by title 12, chapter 22, "View Corridors", of this code. Mitigation may be required for tree removal. D. All areas disturbed during construction shall be revegetated. If necessary, the design review board may designate allowable limits of construction activity and require physical barriers in order to preserve significant natural features and vegetation upon a site and adjacent sites during construction. 14-10-5: BUILDING MATERIALS AND DESIGN (in part) A. Intent: The town is situated within the wildland urban interface where community values intersect with the potential consequences of wildland fires. Wildland fires both big and small have the potential to destroy homes and February 16, 2021 - Page 55 of 103 Town of Vail Page 5 neighborhoods within the town. The architecture and chosen materials of a building greatly affect the survivability of that structure in the face of a wildfire. The use of class A roof coverings and ignition resistant building materials decrease the hazards to the individual structure as well as the surrounding homes. A. Colors: Exterior wall colors should be compatible with the site and surrounding buildings. Natural colors (earth tones found within the Vail area) should be utilized. Primary colors or other bright colors should be used only as accents and then sparingly such as upon trim or railings. All exterior wall materials must be continued down to finished grade thereby eliminating unfinished foundation walls. All exposed metal flashing, trim, flues, and rooftop mechanical equipment shall be anodized, painted or capable of weathering so as to be nonreflective. B. Ignition Resistant Materials: The use of ignition resistant building materials and designs intended to prevent the spread of fire are highly encouraged. Vail fire and emergency services is available to provide more information on the use of ignition resistant materials and designs. Predominantly natural building materials shall be used within the town. The exterior use of wood, wood siding, native stone, brick, concrete, stucco, and EIFS may be permitted. Concrete surfaces, when permitted, shall be treated with texture and color; however, exposed aggregate is more acceptable than raw concrete. The exterior use of the following siding materials shall be prohibited: stucco or EIFS with gross textures or surface features that appear to imitate other materials, simulated stone, simulated brick, plastic and vinyl. The exterior use of any building material, including those not specifically identified by this section, shall only be permitted, unless otherwise prohibited by this code, where the design review board finds: 1. That the proposed material is satisfactory in general appearance, quality over time, architectural style, design, color, and texture; and 2. That the use of the proposed material complies with the intent of the provisions of this code; and 3. That the use of the proposed material is compatible with the structure, site, surrounding structures, and overall character of the town; and 4. That the material is noncombustible or aids in the prevention of fires. February 16, 2021 - Page 56 of 103 Town of Vail Page 6 E. Roof Forms: The majority of roof forms within Vail are gable roofs with a pitch of at least four feet (4') in twelve feet (12'). However, other roof forms are allowed. Consideration of environmental and climatic determinants such as snow shedding, drainage, fire safety and solar exposure should be integral to the roof design. F. Rooflines: Rooflines should be designed so as not to deposit snow on parking areas, trash storage areas, stairways, decks and balconies, or entryways. Secondary roofs, snow clips, and snow guards should be utilized to protect these areas from roof snow shedding if necessary. VI. REQUIRED ACTION Pursuant to Section 12-3-3, Appeals, Vail Town Code, the Vail Town Council shall uphold, uphold with modifications, or overturn the Design Review Board’s January 20, 2021 decision. The Project is scheduled to be constructed this spring 2021 and consists of 4,700 square feet of modular buildings clad in natural wood siding and architectural roof elements to complement the surrounding Lionshead Entry, Transit Center, and Welcome Center buildings. It also includes 4,500 square feet of play area for the children. On January 20, 2021, the Design Review Board denied 3-1 the CGL project based on criteria we believe is inconsistent with Section 14-10-2 General Compatibility, of the Vail Town Code. The applicant, in this case the Town of Vail, is seeking an appeal of this decision, to overturn the decision, pursuant to Section 12-3-3 Appeals of the Vail Town Code based on the following arguments. (1) The project, as required by the design guidelines, uses 100% natural wood siding and colors that complements the surrounding Lionshead buildings (See architectural plans). (2) The project uses both modern roof elements and extended parapet walls to hide the flat roof of the building from all surrounding ground levels, which provide a welcoming entry and feel for the building and is consistent with similar type school buildings in Vail, particularly as compared to Red Sandstone Elementary. (3) The project removes ~9000 square feet of asphalt surface parking and replaces it with 4700 square feet of building and 4500 square feet of paver and mulched play area, a significant aesthetic improvement to the area. February 16, 2021 - Page 59 of 103 Town of Vail Page 2 (4) The project is temporary in nature as the Town has signed a Memorandum of Understanding with CGL to help them find a long-term permanent location within the next 3-5 years and ensure the repurposing and relocation of the buildings. The project was presented to the DRB on three occasions and at each meeting the design team received minor constructive comments on the architectural design of the building. Most comments received concerned the temporary site for the Children’s Garden of Learning facility and the need to relocate the facility. We encourage the Town Council to listen to the three DRB meetings to understand the context and comments provided by the board. In our opinion the summary of the three meetings are as follows: November 18th, 2020: Project was initially presented to the board for preliminary feedback on the building, specifically the type of roof structure that would be most appropriate for this single story 4700 square foot school building. Two roof types were presented; a traditional gabled roof over the entire structure and a more modern roof structure that allowed for significant flat roof area, with smaller (~500 to 1000 SF) modern roof elements that complemented the more modern roof structures of the Lionshead Welcome Center and Transit Centers. The feedback we heard was to move forward with the more modern roof option, that the parapet wall should be extended to develop greater interest in the building and add roof elements at the rear of the building. A large portion of the comments received from the DRB members concerned their opposition to the relocation of CGL and its relationship to the Booth Heights project, issues that were clearly not the purview of the DRB. January 6th, 2021: The project returned to the DRB with a revised proposal, addressing the architectural comments provided at the previous meeting. Specifically including significantly more modern roof elements (~3,000 SF) in order to provide a much- improved entry along the north side and a much-improved view from the south. In addition, an extended parapet wall was added to the roof to extenuate the presence and interest of the building and hide the flat roof from all ground level views. Also, high quality vintage natural wood siding was adding to the entire building, as well as, heavy timber columns to support the more modern roof elements to complement the Lionshead Entry Canopy and the Lionshead Transit and Welcome Centers. At this meeting the board was asked to specifically review the window design elements as this was critical in finalizing a price from the modular building vender. With no exceptions taken to the window design, the applicant also asked if there were any elements that would preclude a final approval at the next DRB meeting. The building materials sheet was reviewed as well as the timber columns and retaining wall system and material. No additional architectural comments were provided other than to change the retaining wall material. January 20th, 2021: The project returned for final approval. No changes were made, other than a change in material to the retaining wall along the south and west sides. February 16, 2021 - Page 60 of 103 Town of Vail Page 3 The wall material changed from the “CDOT” Redi-Rock block wall style to a more traditional Keystone block wall that matches the existing wall at the current CGL location. No concerns were initially conveyed from the board, and Chairman Doug Cahill stated initially that he had no issues with the building architecture but had general reservations about the project. Another board member, John Rediker, proceeded to make a motion to approve, but there was no second. Member Pete Cope then made a motion to deny, on the grounds that it was inconsistent with the required standards of Chapter 14 and that the board should not allow this project to be held to a lessor standard than others due to temporary nature and economic constraints. This motion was seconded by member St. John. Prior to the vote, the applicant reminded the board that at the previous DRB meeting the applicant had asked for any comments on the project that would preclude a final approval, but there were none. The applicant also stated that the building meets the required standards by complimenting the surrounding Lionshead buildings modern mountain architectural style, by being clad in 100% natural and natural colored materials, and by being consistent with similar school type buildings, specifically the Red Sandstone Elementary School within close proximity, being modern and with a predominately hidden flat roof. Board mem ber Rediker asked his fellow members what changes would need to be made to obtain approval. The response was that the applicant would have to start over and not be fiscally constrained. It would appear, based on a review of all three public hearings, that the majority of the DRB was unwilling to properly review the architectural and site planning elements of the project due to their general opposition to the relocation of CGL, again an issue that is not in DRB’s purview. The design team, acting as the applicant’s representative, feels the CGL building will not only fit well within this location, but will also be a building that will aesthetically and functionally complement the site. Despite the negative connotation modular buildings may have to some, the applicant and design team have gone to great lengths to make sure this temporary building does not look or feel like a temporary modular building. We believe this is clearly evident in the renderings provided. SUMMARY The Town of Vail is temporarily relocating the Children’s Garden of Learning (CGL) from its current location at 129 North Frontage Road to the “Charter Bus Lot” at 330 South Frontage Road to allow for the existing CGL site to be made available for the development of employee housing. This new location is anticipated to be a temporary CGL site for 3-5 years, until such time that a suitable final location can be found and/or the Civic Area Master Plan moves forward with planned improvements for this area. The existing “Charter Bus Lot”, currently utilized as parking for oversized vehicles, will be removed a few years sooner than originally expected as identified in the Civic Area Master Plan. Oversized vehicles will be directed to drop off passengers at the Vail Village or Lionshead Transit Centers and then park in an alternate outlying location (i.e. West Vail) and take a Vail Transit bus back into town. II. EXISTING SITE The existing site, also known as the “Charter Bus Lot”, is zoned General Use and is a relatively flat site which functions as an asphalt parking lot for oversized vehicles. The site has been identified in the Civic Area Master Plan as an underutilized site and is planned to be redeveloped as a part of a new Civic hub for Vail. Planning for this redevelopment has not yet begun and will take several years to complete before any permanent facilities are constructed. In the meantime, this site can be better utilized as a temporary location for CGL. III. REDEVELOPMENT PLAN The Children’s Garden of Learning is a children’s pre-school facility that accommodates 14 toddlers and 43 pre-school age children, with 19 staff members. The facility was built in 2006 as a part of the Middle Creek Housing Project. The site that CGL currently sits on has now been identified as an ideal location for additional housing, considering February 16, 2021 - Page 63 of 103 Town of Vail Page 2 its proximity to employment areas and the existing Middle Creek Housing development. Staff has worked with CGL for the past several months on evaluating alternate locations for CGL. The “Charter Bus Lot” has been identified as the best temporary alternate location because it is Town owned land, is readily available, can meet the spatial requirements of CGL, its existing use as oversize parking is planned to be relocated in the future as a part of the Civic Area Master Plan, the temporary nature of this relocation fits in well between now and the Civic Area Master Plan redevelopment, and it has favorable;  Proximity to parking  Proximity to the Town of Vail Library, Dobson Ice Area, Middle Creek, Gore Creek, Gore Valley Trail, Lionshead Village, Lionshead Welcome Center, Lionshead Transit Center, Lionshead Open Space and Parks  Easy Access from the South Frontage Road and I-70  Separation from other uses compared to other alternatives The decision to relocate CGL to this temporary site at this time is due to the opportunity to expand housing onto the existing CGL site as soon as September 2021, meaning CGL needs to be relocated, opened and operating before the end of August 2021. As a result of the tight time constraints, the construction has been determined to be best served by modular construction which will allow the relocation to be expedited and also allow the temporary building to be relocated and/or repurposed in the future. Five modular units are planned to be fabricated and installed to provide one single-story 4700 square feet building which will be wrapped in siding and architectural elements to fit the aesthetics of the surrounding area. In addition to the building, the site will be regraded to provide over 4500 square feet of play area, up to 10 parking spaces and an additional informal “nature trail” on the adjacent hillside. Parking for staff and teachers will be provided for in the Lionshead Parking structure Monday through Friday, while parent drop-off and pick-up will be available within the 10 parking spaces adjacent to the building. A traffic and parking memo has been provided by staff and is attached for review. IV. OVERSIZE VEHICLES The displacement of the existing 11 oversize vehicles will cause a shift in current operations, a shift that will need to occur regardless at some point when the Civic Area Master Plan and Civic Hub are implemented. On a typical day the lot is half full, and generally with RV type vehicles and a couple vehicles with trailers, with the summer being more full with RV type vehicles. During special events it can be full with RV’s and Special Event Vehicles. In general, these designated areas would be in West Vail, either in front of Safeway/City Market or just west of the West Vail Fire Station. From these locations the driver may then ride the West Vail Express, Red or Green bus to their desired destination. Charter buses will be directed to park in the Charter bus parking across from City Market (300’ of parking). RV’s and vehicles with trailers will be directed to park west of the WV Fire Station during the ski season (2100’ of parking), and likely across from Safeway (1300’ of parking) during the summer months. Both these areas have capacity during the identified seasons, except on rare occasions, like the Charter Bus Lot. These could be first come first serve spaces just like the Charter Bus Lot is now; and could also be by permit only for overnight parking. The no camping regulation, as is enforced now at the Charter Bus Lot, would be maintained. Special Event vehicles could do the same, with additional potential to provide space for Special Event vehicles at the expanded Public Works facility once completed and as needed for certain events.
