We had wanted to amend the master lease, which Todd didn’t really respond to. I’ve sent the
master lease to Matt to make the following changes, but we need VR’s agreement on the parking
spot:
1)Change Exhibit A to remove unit P-12 and replace with K-04
2)Add storage space use, at no-charge
3)reduce parking spots by 1

Do we have the VR storage letter resolved or does that need to be on this month’s agenda?

Hi TROC members. Please see the below communications with Vail Resorts regarding the one
additional parking space we requested. I will be out of town for the next TROC meeting, but this
topic should be on the agenda to discuss next steps. Thanks

Good afternoon David and Kathleen,
Apologies for the delay in returning these messages - I’ve been pretty sick over the last few weeks
and this is my first official day back in the office.
I did elevate the parking space question and at this point we cannot justify losing any spots. We
really struggle with parking and pay per spot for overflow parking so it’d be difficult to lose even one
space. We hope you understand!
Thank you,

Good morning Todd,
I apologize for the delayed response, we have been very busy working on the renovation projects. I
have exhausted all other reasonable options that is why I have come to Vail Resorts for assistance.
Hopefully this will soften the blow on the parking spot, P-12 has been pre-leased to one of your
employees. With that being the case, Vail Resorts will truly be gaining three more beds for
employees as P-12 is usually never fully occupied. Please let me know if you will be able to work
with us on the parking spot.
Thanks and Have a great day!

Hi Todd – the reason we’re asking for the one parking space is to accommodate the town adding a
unit to our rental stock that was previously vacant. Based on the parking usage for VR’s master
leased units we were hoping this wouldn’t be too big of an ask. Thanks for your consideration.
Have a great weekend!

Good morning David,
Great news about the renovations beginning in May - thank you for making that happen!
#2 is totally fine with us and makes sense, however #3 might be a challenge since we already
struggle with limited parking spaces. Are there any other options at this point? More than happy to
work with you on that, just want to ensure all avenues have been exhausted.
Thank you!

Good morning Todd,
Hope all is well. We have a few updates to discuss:
1) We will be able to start renovations on May 15th, 2018 in Building M. As of now, no delays
are expected. Building Permits have been submitted and approved, we are just waiting on
Electrical permit approval. I will construct a comprehensive timeline for your team in the
coming days. We will update weekly on the project status via email and will promptly notify
Vail Resorts of any delays. The contractor we have selected renovated Building K in 2016
and we our confidence in completing the project on time.
2) As of 2/28/2018, we have confirmed that K-04 will be able to be renovated and put back
into the rental pool. We are proposing a K-04 and P-12 apartment swap. K-04 would
become the 54th unit in Exhibit A and P-12 would be returned to the Town of Vail. We are
anticipating bringing K-04 on line on May 1st in conjunction with the renewal of the master
lease. If we are delayed, we will notify Vail Resorts as soon as possible with a new turnover
date.
3) We request that Vail Resorts return one parking space for the Town of Vail’s use to
accommodate a new unit being introduced into the rental pool. Vail resorts would then
have 45 parking spaces plus the 4 office spots. We hope this is agreeable as we feel we have
made quite a few accommodations to Vail Resorts such as free rental for a business office,
maintenance shop and storage areas.
Please feel free to contact me at your earliest convenience with any feedback.

Good afternoon Todd,
We have spent the entire day working with contractors to come up with a solution to start on May
15th. I am fairly confident we will be able to accomplish a 15th start date but will have a more
definitive answer for you Monday or Tuesday at the latest. Please be patient as the general
contractors check on the availability of their subcontractors. I will update you as soon as my GC’s
get back to me.
Thanks and Have a great day!

Good morning Cicely,
While we’d prefer abatement for the entire time, we will go along so we can get done this summer.
No need to post pone.
Thank you!

Hey Todd,
The abatement would only be for 45 days, regardless of the start date of renovations.
With the construction landscape as it is, we are finding that qualified contractors have been booked
early, leaving our project with an anticipated start date of June 1-15.
We have a meeting with the operating committee next week and can discuss the idea of putting off
the remaining 18 units until 2019 if you think that this is a better solution to accommodate your
sub-lessors for this summer.
Let us know.

Hi Cicely,
I’m really asking if there’d be an abatement for the entire duration (from May 1 to whenever the
renovations are complete) since we won’t be able to sublease those units in the month of May?
Feel free to give me a call to discuss if that’s easier!
Thank you,
Todd

Todd,
The abatement will still cover 45 days. Are you asking to still take the abatement from May 1 – June
14? That will certainly not be a problem.

Good afternoon Cicely,
Logistically, this shouldn’t have much impact. Budget wise, since we’ve already planned on having M
cleared out by the end of April and didn’t forecast any income from that building, will the
abatement still reflect that for May? If that’s the case no concerns from our side!

Good morning!
Wanted to give you an update on our renovation schedule for the 18 remaining units in Building M.
At this time we are looking at contractor availability to begin renovations no sooner than June 1st,
possibly as late at June 15th. Does this pose any issue for you all? The turnaround is still scheduled
for 45 days.
