LEASE AGREEMENT
l. PARTIES - The prties to this agreement are:
a. VAIL VILLAGE INN PI/,ZA PHASE m CONDO ASSOCIATION' a
Colorado nonprofit corporation ("Landlord");
b. GEROCA, S.C., aMexico coryoration ("Tenant");
collectively referenced herein as the "Parties."'
2. PREMISES - In consideration of the promises and paymeirts provided for
herein, the prties agree thd l-andlord shall lease to Tenant the following real propedy in
the Town of Vail, Eagle County, Colorado:

3. PIIRPIOSE - The purpoae of this lrase is to pr,ovide T€na$t with th€ Irased
Premises locarcd on Association General Common Eleme'lrts.
4. TERM - (a) The initial term of this lease shall be forty-nine (49) yers md
cloulm€nee on January 1, 2005 (the 'Commencement O*"), ad end at 11:59 p.m'
Mormtain Time on December 31, 2054 (the "Term")" unless otherwise extended in
writingby Lmdlord ad Tenant
5- TENANT AFID LAIIDLORD OBLIGATIONS.
(a) Tenant shall pay reasonable legal fees incurred by the Association io
comection with negotiation and execr$ion of this Lease, real and personal Foperty taxes
on and subseque,nt to the Commeircernent Date, and my sales taxes directly resulting
from this tansaction. T€nant shall bear all constnrction costs relafed to the hased
Premises. Tenaftwill be responsible for obtaining any md all Tourn of Vail permits and
for any fees required by the Town of Vail to secrre these permits-
@) Tenant shall have the rmilateral right to oftsnd the initial term of this lease by
three or-six mont'hs, as Tenant may choose, by grving notice to landlord not later than
two weeks before the end of ths initial term. If Tenant does not give srch notice,
Tenmt's leasehold rights will terminate d the end of the initial term.
(c) If Tenant holds over aftsr the termination of any agr€€d leasehold t€rm' with
Landlord's acquiesce,nce, Tenant's occupdion of the Subject Premises shall continue to
be governed by fhis agreement; excePt that the t€nancy herermder sball be a month to

month tenancy, and require two weeks' prior notice by either party for tffmination'
except for cause Ers established in this lease agreement.
(d) I.andtord r€pres€nts and warrants to Tenant that Landtord has full authority to
enter iritp this Lease and grant to Tenant the riglts herein- kndlord firther
acknowledges and agrees that-Tenaff may make any and all allerations, additions and
improvemJnts to thi Leased Premises; provide4 however, that TenanJ obtains the
t"q,riritr governmental approvals prior to alry alterations, additions and improve'nents.

Tenant s cost and expense, the coments of the Leased Premises. The Parties acknowledge
and agree that fhe Ir"*d Premises shall be treate4 for all purposes, as an extension of
Teirmfs Condominium Unit Nos. l0l and 102, Village km Plaza
6. A$SIGNABIIITY. TIIIS LEASE IS FI.]LLY ASSIGNABLE A}\ID
TRA}iISFERABLE BY TENAI{T IF TENA}{TS REAL PROPERTY IMMEDIATELY
ADJACENT TO THE LEA,SED PREMISES IS SOLD. Any such assignment or transf,er
shall not require Lmdlord's consenq provide4 however, that the new tetrant
acknowledges-and agrees to abide by aU of the terms and conditions set fo(h in this
Lease.
7. RnNT - As rent for fte Leased Prcmises, Tenant shall pay to l-mdlord the sum
of $125,000 upon mgfiral execution of this Lease, vrhich rent represents payment to
Lmdlord for the entirety of the Term- In the event of any default by Landlord hereunder,
Landlord shall prorate on a daily basis, and refund the prorated anount of r€lrt to T€nant
from the date ;f tandlord's d;failt Landlord acknowledges and agrees that tbe rent
collected from Tenantincludes homeowner association dues forthe Leased Pr€mises, alrd
Tenant shall not be required to pay any homeolvner association dues in cnnnection with
this Lease-
8- DEFAI'LT. Asy ftilure by either of the Ptrties hersto to abide by tbe terms
and conditions set forth herein strall constitute a default. If legal proceeding5 are brought
by either Prty concerning the failue of either of them to obsen'e the obligtions
itirpot",t by thi" t ease, the frty fornd to be at no fault shall bc €qtitled to rccov€r its
reasonable attorneys' fees incurred in such proceeding-
9. APPLICABILITY - This Lease shall bind and benefitthe parties hereto, their
respective heirg sucsessors and assigns-

Pursuant to our meetal€ on luly 22,2007, this letter will act as confirmation that Mr. Grlos Rojas,
Geroca, S.C., a1\llexican Corporation, has leased -Exhibit f from theYvl, Phase lll, Homeownerf s
Association tor a period of Forty-NineYears from Janua ry 9, z0fJ/l. A Copy of Memorandum of
Understanding signed by Joseph Staufer on Behalf of the Association is incorporated herein and
attached hereto.
This Agreement permits Mr. Rojas to vacate the Property line between Unit 101 and that portion of the
condominium plat which is Common to the Association.
This Memorandum of Undertanding has the full authority and backing of the llomeowners Association.
I am the Attorney for the Association and can attest to the validity of the lease.

LEASEAGREEMENT
l. PARTIES - The parties to this agreement are:
a. VAIL VILLAGE INN PLAZA PHASE III CONDO ASSOCIATION: and
b. CARLOSROJAS
2. PREIdISES - In consideration of the promises and payments provided for
herein, the parties agree that Landlord shall lease to Tenant the following real
property in the Town of Vail, Eagle County, Colorado:
Description: Space to be leased consists of "Exhibit A", as defined in Memorandum
ofUnderstanding signed and executed on January 9b,z}O4,between Village Inn
Plaza III Condo Association and Carlos Rojas attached hereto and incorporated
herein).
With all improvements and personal property of Landlord located thereon,
hereinafter designated the SUBJECT PREMISES, subject to the terms and
conditions set forth herein.
3. PITRPOSE - The purpose of this lease is to provide Mr. Rojas with a bedroom
and bathroom.

(b) Tenant (Rojas) s responsible for costs associated with this transaction,
including but not limited to legal fees, taxes, insurance, etc-, that may be a
consequenoe ofthis transaction. Tenant will be responsible for all costs of
remodeling and fees, including attorney's fees. Tenant will be responsible for
obtaining any and all Town of Vail permits and for any fees required by the Town
ofVail to sccure these permits.
(c) Tenant shall have the right to extend the initial term ofthis lease by three or
six months, as Tenant may choose, by giving notice to Landlord not later than two
weeks before the end of the initial term. If Tenant does not give such notice,
Tenant's leasehold rights will terminate at the end of the initial term.
(d) If Tenant holds over after the termination of any agreed leasehold term, with
Landlord's acquiescence, Tenant's occupation ofthe Subject Premises shall
continue to be governed by this agreement; except that the tenancy hereunder shall
be a month to nonth t€nancy, and require two weeks' prior notice by either party
for termination, except for cause as established in this lease agreement.
THIS LEASE IS TRA}ISFERRABLE IF PROPERTY IS SOLD.
5. RENT - As rent for the Subject Prenises, Tenant shall pay to Landlord the sum
of $125,fiD payable in advance, due upon er(ecution of this agreement.
6. ATTORNEY'S FEES - If legal proceedings are brouqht by Landlord concerning
the failure of Tenant to observe the obligations imposed by this agreement,
Landlord shall be entitled to recover from Tenant the reasonable attornev's fees
incurred by Landlord in those proceedings.
7. APPLICABILITY - This agreement shall bind and benefit tbe parties hereto,
their respective heirs, snccessors and assigns-
