between Vall Village Inn, fnc., a Colorado Corporation("Sellern) and Red Sands Corporatlon' a Delaware Corporation
( ttPurchasertt ) .
WHEREAS, Seller is conveying to Purchaser concurrently with
the execution of this Agreement, Units 25 and 26, VaiJ- Village
Plaza Condominiums. according to the. amended condominiun maP
recorded ln the offlce of the Clerk and Recorder, Eagle County,
Coloradoi
WHEREAS, SeIIer ls the developer.of the VaiL Vlllage Plaza
Condomlniums and the vail Village Inn Condominiums and as a
developer has certain density rights for the development;
WIIEREAS, Purchaser desires to obtain certaln of those
density rights ln order to add gome additional- sguare footage to
his unit;
NOW THEREFORE, in conslderation of rlen Dollarg and other
good and valuable conslderation, the recelpt and sufftciency of
whlch i,s hereby acknowledged, the pafties agree as follows:
1. The Seller agrees to convey'tothe addltional density needed to allowin his units whlch would not exceed 400

4. Both parties acknowledge that part of the conslderationfor thls conveyance ls the purchase by Purchaser from Seller of
Condonlnium Units 25 and 25 VaiI Vil}age Plaza Condominlums, andthis Agreement is a materlat inducement for Purshaser to

purchase said Units from Seller on thls 14th day of April, 1989for the agreed upon purchase price.
5. SeIIer hereby represents and vtarrants to Purchaser that
as of the date hereof, Seller owng and posEessea the necessary
denslty rights and SeIIer has the full right, power and
authorlty to transfer and convey said density rlghts to
Purchasei as provided in this contract. Seller also has thefull right, power and authority to carry out its obJ.lgations
hereunder.
6. Purchaser shalt have the right of speclfic performance
of thls Contract, or damages or both, in the event of any
Litlgation arising out of thie Contract, the Court may award theprevilling party ill reasonable costs and expenses, lncluding
attorneyrs fees.
7. The parties bereto expressly agree that the terms and
conditions h6reof and the subiequent performance hereunder sha1l
be construed and control.led by the laws of the State of
Colorado.
