The following numbered items are referenced on the attached drawing sheet labeled "Proposed
Grading Vista Bahn Ski Yard" prepared by Alpine Engineering, dated 5.8.07. This list has been
previously addressed in a meeting between George Ruther (ToV) and Jarvie Worcester (VRDC)
on May 8, 2007.
Vail's Front Door - Plaza Revisions - Agenda Items:
1. Fire Pit / Fountain:
The previously approved fire pit/fountain has been removed from the design as there
will be a new fire pit/fountain located in Seibert circle
Currently the VFD project will be proposing this location for the AIPP placement
which is part of the VFD DIA with the ToV.
2. Seibert Memorial:
• The Seibert Memorial is being proposed to be moved to the north adjacent to the Hill
Building. The memorial will maintain its present elevation which will be rebuilt by
Gallegos Corporation (Previous Builders).
• Accompanied with this memo is written approval from Pete Seibert Jr. and Mrs. Hill.

3. Kiosk:
• The previously approved kiosk has been removed from the plaza for path-of-travel
concerns.
4. Hill Building Landscaping:
• The previously approved landscaping located on the west side of the Hill building has
been removed.

• The existing Los Amigos stairway entry has been relocated to remove the stairway and
relocate the restaurant entrance to the south.
• George Ruther requested the addition of a small planter along this revised wall location.

6. SSB South plaza. (Short-wall rail):
• The semi-circle wall to the south of the Skier Services building has been redesigned to
accommodate drainage. The wall has been decreased to a short wall with a railing with a
drainage opening directly to the south.
7. Ticket Windows:
• The automated ticket machines (ATM's) have been relocated from the north portion of
the building to the east portion of the building to accommodated the people gathering
which will occur at the ticket windows.
• Additionally a portion of the landscaping to the east, where the ATM's are now located
has been reduced to accommodate the machines.
8. Art Pedestal:
• The previously approved art pedestal located at the east end of the plaza has been
removed due to the relocation of the proposed AIPP.
9. Widening of Stair:
• The stair located at the western portion of the plaza stepping up to the ski yard has been
widened to accommodate path-of-travel from the ticket windows to the Vista Balm Lift.

Re: Hill Building - Plaza Work
Dear Diane,
This letter will confirm our meeting at your office on Tuesday, June 5, 2007. Mrs. Hill would like usto
address the following issues:
1) The placement of Pete's Memorial.
2) The existing concrete plaza on and adjacent to the southeast corner(see Paragraph 2 of Rick
Caudel's letter dated May 22, 2007)
3) Removal of existing metal railing and timber wall along the east and south side of Mrs. Hill's
property. (see Paragraph 3 of Rick Caudel's letter dated May 22, 2007) Mrs. Hill's property
needs to be protected and we have a few suggestions to insure her protection and safety from
unruly guests of Vail Resorts and the Town of Vail.
4) Vail Resorts lighting plan for the Plaza. The Hill Building has been Mrs. Hill's home for more
than 45 years and proper consideration must be given to the convenants which run with her
property vis a vis the Town of Vail and Vail Resorts Development Company.
5) Existing fir and flowering crab apple trees along the east and south sides of Hill Building. (Refer
to Temporary Construction License Agreement) Paragraph 3 B. A guarantee of five (5) years
after planting is acceptable to Mrs. Hill.
6) In our meeting with Bill Jensen and Rick Caudel on May 4, 2007, we expressed great concern for
the affect of the heavy equipment, digging, and disturbance to the land caused by this massive
construction project. We are concerned with the integrity of the Hill Building structurally and
esthetically. Mr. Jensen and Mr. Caudell and Mr. Fernandez through Mr. Caudel, have
guaranteed no harm would come to the Hill Building. On May 26th at 7:00 a.m. until 1:30 p.m., a
generator was placed not 5 feet from Mrs. Hill's residence and black smoke was blasted directly
into the residence at ten second intervals. Hyder Construction and Vail Resorts Development
gave no notice to Mrs. Hill and did not stop until I called Rick Caudel at his home. You are on
notice the building will most definitely need complete painting and daily cleaning as a result of

the construction. I am keeping track of the time Mrs. Hill's staff has cleaned since early May.
You have agreed to pay these bills, as well as attorneys fees.
7) Mrs. Hill has remained in her residence since early May and has no intention of leaving unless
the stress and infliction of emotional distress affects her health. If she does have to relocate
until the construction is complete, we expect Vail Resorts Development Company and Vail
Resorts to pay for alternative, comparable living arrangement.
8) The rest of the issues regarding the Temporary Construction License Agreement are as follows:
The grant of the term is "revocable", not "'irrevocable'; "Property Improvement" License-Non-
Exclusive. Strike" CLV may preclude the Owner until the end of the Paragraph." rage 2.
Finally, when Rick Caudell asked for permission to complete the pavers on the west side of the building,
it was given that day. In that spirit, we look forward to working with you on the issues mention in our
negotiations as well as future issues as they arise.

Dear Ann,

It is my understanding that you have had some follow up with George
Ruther at the Town of Vail and have come to some positive conclusions on
the outstanding issues between the Front Door project and Mrs. Hill's
residence. Below is my understanding of the resolution on these issues.
1) Mrs. Hill has agreed to allow the Front Door team (VRDC and Hyder)
to remove the existing pavers adjacent to the east side of her building
and replace them with ToV approved pavers, with a snowmelt system
underneath. These pavers will start at the existing pavers at the top of
Bridge street and will terminate up to Mrs. Hill's existing brick wall.
2) Mrs. Hill has agreed to allow the Front Door team and its
subcontractors to make the necessary repairs to the Eagle River Water
and Sanitary District's existing water line which lies in the area of
plaza between Mrs. Hill's building and the Bridge Street Lodge building.
3) Mrs. Hill has agreed to allow the Front Door team to underground
Mrs. Hill's downspouts to connect with the existing underground
storm-water system.
4) Mrs. Hill has agreed to allow the Front Door team to construct the
ToV approved site wall to begin at the termination of the existing brick
wall and to continue outside of the existing timber and stucco wall. It
is also agreed that the Front Door team, with assistance of it's
landscape architect will incorporate the existing railing into the new
wall.
Further, George has informed me that you would like for the agreement,
previously sent to you, to be in place prior to the commencement of work
on the existing pavement. I respect your request to have the agreement
in place prior to the commencement of work, but as you know, the sooner
we are able to start this work, the sooner the inconvenience of
construction will be over for Mrs. Hill. I would like to propose, that
with your confirmation of the above items, you allow the front door team
to begin the above referenced work, with the legal agreement execution
to follow. Please keep in mind that this email would serve solely as a
memorandum of understanding, with the condition of the official legal
agreement to be facilitated through the standard VRDC legal process.
I am grateful to you and George Ruther, for your time and assistance to
bring this situation to conclusion. Please feel free to reply to this
email to confirm your concurrent understanding of the outstanding
issues.
