STR88TSCAPE UTILITY AND SNOW~QLT IMPE~OVLMENT਍ഀ INSTALLATION.਍ഀ A. The Recipient hereby accepts the Town's offer to਍ഀ install streetscape utility and snowmelt improvements਍ഀ .on the Property in conjunction with the Town's਍ഀ installation of the Project. The streetscape utility਍ഀ and snowmelt improvements shall be of a design, number਍ഀ and quality as depicted on Exhibit 8, which is attached਍ഀ hereto and made .a part hereof. The improvements are'਍ഀ designed to include a snowmelt system to provide heat਍ഀ to the pavers as a method of melting snow.਍ഀ B. The Recipient hereby agrees that the streetscape਍ഀ utility and snowmelt improvements shall be installed in਍ഀ that portion of the Property as depicted on Exhibit C.਍ഀ C. The cost to the Recipient for the labor, equipment and਍ഀ materials for installation of the streetscape utility਍ഀ and snowmelt improvements is $8,755.00, which amount਍ഀ sha 1 be paid in the following manner:਍ഀ [7The Recipient shall pay the full amount owed to the਍ഀ Town within thirty days,of receipt of a payment notice਍ഀ from the Town.਍ഀ [ ) The Recipient shall pay the amount owed to the Town਍ഀ in installment payments as set forth in Exhibit D. The਍ഀ Recipient will execute a promissory note in favor of਍ഀ the Town in form attached as Exhibit E.਍ഀ D. The streetscape utility and snowmelt system shall਍ഀ become the property of the Recipient upon installation.਍ഀ E. The Town warrants the quality and workmanship of the਍ഀ materials and installation for a period of two years਍ഀ from the date of snowmelt system operation start-up,਍ഀ except for normal wear and tear. Notice of any defect਍ഀ must be received by.the Town within two years from the਍ഀ date of operation start-up. Defective streetscape and਍ഀ snowmelt improvements will be replaced by the Town,਍ഀ F. The installation of the streetscape utility and਍ഀ snowmelt improvements shall be performed in accordance਍ഀ PFK\A41\471141.2 2਍ഀ with the Project documents including the plans and਍ഀ specifications prepared by the engineers of record for਍ഀ the project.਍ഀ G. The streetscape utility and snowmelt improvements shall਍ഀ be installed by the Town within 18 months of execution਍ഀ of this Agreement.਍ഀ H. If the Recipient has not made payment to the Town as਍ഀ set forth in paragraph 3 C, the Town, after notice sent਍ഀ to the Recipient by certified mail, may proceed to਍ഀ collect the amount owed through any legal means,਍ഀ including placing a lien for the amount owed against਍ഀ the Property. Said lien shall have priority over other਍ഀ liens except general taxes. The Treasurer of Eagle਍ഀ County shall collect the assessment in the same manner.਍ഀ as other taxes are collected.਍ഀ 4. GRANT OF EASEMENT.਍ഀ A. The Recipient hereby grants to the Town, its਍ഀ contractors, agents, and all others deemed necessary by਍ഀ the Town, a temporary easement for construction and਍ഀ maintenance purposes over, under, across, and through਍ഀ the Property, together with the right to enter upon਍ഀ said premises and upon so much of the adjoining਍ഀ premises of Recipient as may be reasonably required for਍ഀ the purposes of constructing, installing, operating,਍ഀ maintaining and replacing the streetscape utility and਍ഀ snowmelt improvements for which this easement is਍ഀ granted.਍ഀ B. It is understood and agreed by the Parties hereto that਍ഀ this easement shall commence upon execution of this਍ഀ Agreement and expire and terminate twenty four਍ഀ (24)months thereafter. In addition the Town will have਍ഀ the right to enter the property to remedy any warranty਍ഀ work during the warranty period. The Town may, at its਍ഀ discretion and upon written notice to Recipient, extend਍ഀ this easement for up to an additional twelve(12)਍ഀ months, in one (1) month increments.਍ഀ C. The Recipient covenants and agrees that no building,਍ഀ structure, or other above or below ground obstruction਍ഀ that may interfere with the purposes aforesaid, will be਍ഀ placed, erected, installed, or permitted upon the਍ഀ Property during the period of construction; and further਍ഀ covenants and agrees that in the event the terms of਍ഀ this paragraph are violated by the Recipient, or any਍ഀ person in privy with Recipient, such violation will be਍ഀ ,PFK\A41\471141.2 3਍ഀ i਍ഀ 5. HEATING COSTS.਍ഀ A. The Recipient hereby agrees to pay its proportionate਍ഀ share of the costs of the operating the snowmelt system਍ഀ of the streetscape utility and snowmelt improvements on਍ഀ its Property. The cost of operating the snowmelt਍ഀ system to the Recipient shall: be based on the਍ഀ Recipient's proportionate' share of square footage of਍ഀ streetscape utility and snowmelt improvements in਍ഀ relation to the square footage of streetscape utility਍ഀ and snowmelt improvements installed within the Town,਍ഀ including the combined square footage of the਍ഀ streetscape utility and snowmelt improvements located਍ഀ in the public right of way and streetscape utility and਍ഀ snowmelt improvements located on privately owned real਍ഀ property.਍ഀ B. The Recipient shall pay,the "down or Town utility for਍ഀ the cost of operating the snowmelt system within 30਍ഀ days of receiving notice of payment due.਍ഀ corrected and eliminated immediately upon receipt of਍ഀ notice from the Town, or that the Town shali.have the਍ഀ right to correct and eliminate such violation.਍ഀ D. It is understood that all work performed by the Town in਍ഀ connection with this easement shall be done with care,਍ഀ and the surface of any property damaged during਍ഀ construction shall be restored reasonably similar to਍ഀ its original condition following completion of the਍ഀ improvements for which this easement is granted.਍ഀ 6. MISCBLLANSOVS.਍ഀ A. Governing Law. This Agreement shall be governed by,਍ഀ and construed in accordance with, the laws of the State਍ഀ of Colorado and shall be.subject to the limitations, if਍ഀ any, that are applicable under the Charter. or਍ഀ ordinances of the Town.਍ഀ B. Notices. Successors and Assigns. This Agreement shall be਍ഀ recorded with the Clerk and.Recorder'of Eagle County਍ഀ and the rights and benefits created, granted,,਍ഀ bargained, sold and conveyed hereby shall constitute a਍ഀ perpetual burden upon the Recipient and shall run with਍ഀ the land and be binding upon the Recipient, and its.਍ഀ heirs, successors and assigns.਍ഀ E. Authority. Recipient covenants and agrees that, as of਍ഀ the date hereof, Recipient.is well seized of the਍ഀ Property and has full power and authority to enter into਍ഀ this Agreement and to grant the temporary easement਍ഀ described herein.਍ഀ F. Effective Date. The terms of this Agreement shall਍ഀ become binding on all parties hereto on the recordation਍ഀ of this Agreement in the records of the Clerk and਍ഀ Recorder of Eagle County, Colorado.਍ഀ G. No Waiver. No waiver of any of the provisions of this਍ഀ Agreement shall be deemed or constitute a ,waiver of any਍ഀ other provisions herein, nor shall such waiver.਍ഀ constitute a continuing waiver unless otherwise਍ഀ expressly provided, nor shall the waiver of any default਍ഀ hereunder be deemed a waiver of any subsequent default.਍ഀ hereunder.਍ഀ H.
