This office ,represents the Mill Creek Court Condominium Association and it has come to theഀ
attention of the board of directors of the association that an application far, substantialഀ
modifications to the Rucksack Building, 288 Bridge Street, Vail, Colorado, has been filed. Tഀ
understand that the application is by Jeffrey Selby, represented by Jay Peterson.ഀ
The board has requested that I represent them in connection with this matter, and I would like toഀ
meet with you in order to review the proposed plans, particularly in connection with their impactഀ
on my association's adjoining property. A proposed bridge over Mill Creek connecting to theirഀ
property is a major concern.ഀ

I had a phone conversation this morning with Tyson at Fritzlen Pierce Architects regarding the Rucksackഀ
redevelopment.ഀ
He is working through several issues that will effect Bridge Street and probably Kindel Park. He is tryingഀ
to get fire egress to the east. His preferred option is to go north to the paver area to Gore Creek Drive.ഀ
The alternative is a bridge across Mill Creek to Kindel Park. He's aware of the required flood plain studiesഀ
and that he will need to include modifications to Kindel Park. He wants to add fire sprinklers to theഀ
building which will require upgrading the water service in Bridge Street to 4". He is also modifying theഀ
north entrance which will effect the paver plaza area between the Rucksack and Red Lion. Tyson is gongഀ
to call me next week to arrange a meeting which will include looking at the snowmelt zone layout onഀ
Bridge Street. I'll contact you all to determine a time and day.ഀ

CONDITIONSഀ
1. DEFINITIONSഀ
(a) "Mortgage" means mortgage, deed of trust or other security instrument. (b) "Public Records"ഀ
means title records that give constructive notice of matters affecting your title - according to theഀ
state statutes where your land is located.ഀ
2. LATER DEFECTSഀ
The Exceptions in Schedule B - Section II may be amended to show any defects, liens orഀ
encumbrances that appear for the first time in the public records or are created or attached betweenഀ
the Commitment Date and the date on which all of the Requirements (a) and (c) of Schedule B -ഀ
Section I are met. We shall have no liability to you because of this amendment.ഀ
3. EXISTING DEFECTSഀ
If any defects, liens or encumbrances existing at Commitment Date are not shown in Schedule B, weഀ
may amend Schedule B to shown them If we do amend Schedule B to show these defects, liens orഀ
encumbrances, we shall be liable to you according to Paragraph 4 below unless you knew of thisഀ

4. LIMITATION OF LIABILITYഀ
Our only obligation is to issue to you the policy referred to in this Commitment when you have metഀ

THIS AGREEMENT is made and entered into this /7=day ofഀ
2005, by and between the Town of Vail, Colorado, aഀ

Colorado, whose address is 75 South Frontage Road, Vail,ഀ
Colorado, 81657, sometimes hereinafter referred to as the "Town,"ഀ
and Rucksack Condominium Association, whose address is 288 Bridgeഀ
Street, sometimes hereinafter referred to as "Recipient."ഀ

WHEREAS, the Town has commenced a utility improvement andഀ
beautification project (the "Project") consisting generally ofഀ
improvements to the public right of way relating to streetഀ
lighting, changes to the streetscape, changes to utilityഀ
connections, installation of planters, installation ofഀ
landscaping , installation of pavers, installation of a snowmeltഀ
system and improvements to other public amenities; referred to asഀ
the streetscape utility and snowmelt improvements; and,ഀ
WHEREAS, the Town has offered those persons' or entitiesഀ
owning real property adjacent to the public right of way which isഀ
subject to the Project to participate in the Project; and,ഀ
WHEREAS, the Recipient has agreed to participate in theഀ
Project as set forth more fully herein, which participation willഀ
generally consist of the Town installing streetscape utility andഀ
snowmelt improvements on the Recipient's real property adjacentഀ
to the public right of way; and,ഀ
WHEREAS, the Recipient has agreed to reimburse the Town forഀ
the one-time cost of installation of the streetscape utility andഀ
snowmelt improvements and for the continuing expense of itsഀ
proportionate share of the cost of operating the snowmelt system.ഀ

B. The Recipient hereby agrees that the streetscapeഀ
utility and snowmelt improvements shall be installed inഀ
that portion of the Property as depicted on Exhibit C.ഀ
C. The cost to the Recipient for the labor, equipment andഀ
materials for installation of the streetscape utilityഀ
and snowmelt improvements is $8,755.00, which amountഀ
sha 1 be paid in the following manner:ഀ
[7The Recipient shall pay the full amount owed to theഀ
Town within thirty days,of receipt of a payment noticeഀ
from the Town.ഀ
[ ) The Recipient shall pay the amount owed to the Townഀ
in installment payments as set forth in Exhibit D. Theഀ
Recipient will execute a promissory note in favor ofഀ
the Town in form attached as Exhibit E.ഀ
D. The streetscape utility and snowmelt system shallഀ
become the property of the Recipient upon installation.ഀ
E. The Town warrants the quality and workmanship of theഀ
materials and installation for a period of two yearsഀ
from the date of snowmelt system operation start-up,ഀ
except for normal wear and tear. Notice of any defectഀ
must be received by.the Town within two years from theഀ
date of operation start-up. Defective streetscape andഀ
snowmelt improvements will be replaced by the Town,ഀ
F. The installation of the streetscape utility andഀ
snowmelt improvements shall be performed in accordanceഀ

with the Project documents including the plans andഀ
specifications prepared by the engineers of record forഀ
the project.ഀ
G. The streetscape utility and snowmelt improvements shallഀ
be installed by the Town within 18 months of executionഀ
of this Agreement.ഀ
H. If the Recipient has not made payment to the Town asഀ
set forth in paragraph 3 C, the Town, after notice sentഀ
to the Recipient by certified mail, may proceed toഀ
collect the amount owed through any legal means,ഀ
including placing a lien for the amount owed againstഀ
the Property. Said lien shall have priority over otherഀ
liens except general taxes. The Treasurer of Eagleഀ
County shall collect the assessment in the same manner.ഀ
as other taxes are collected.ഀ
4. GRANT OF EASEMENT.ഀ
A. The Recipient hereby grants to the Town, itsഀ
contractors, agents, and all others deemed necessary byഀ
the Town, a temporary easement for construction andഀ
maintenance purposes over, under, across, and throughഀ
the Property, together with the right to enter uponഀ
said premises and upon so much of the adjoiningഀ
premises of Recipient as may be reasonably required forഀ
the purposes of constructing, installing, operating,ഀ
maintaining and replacing the streetscape utility andഀ
snowmelt improvements for which this easement isഀ
granted.ഀ
B. It is understood and agreed by the Parties hereto thatഀ
this easement shall commence upon execution of thisഀ
Agreement and expire and terminate twenty fourഀ
(24)months thereafter. In addition the Town will haveഀ
the right to enter the property to remedy any warrantyഀ
work during the warranty period. The Town may, at itsഀ
discretion and upon written notice to Recipient, extendഀ
this easement for up to an additional twelve(12)ഀ
months, in one (1) month increments.ഀ
C. The Recipient covenants and agrees that no building,ഀ
structure, or other above or below ground obstructionഀ
that may interfere with the purposes aforesaid, will beഀ
placed, erected, installed, or permitted upon theഀ
Property during the period of construction; and furtherഀ
covenants and agrees that in the event the terms ofഀ
this paragraph are violated by the Recipient, or anyഀ
person in privy with Recipient, such violation will beഀ

5. HEATING COSTS.ഀ
A. The Recipient hereby agrees to pay its proportionateഀ
share of the costs of the operating the snowmelt systemഀ
of the streetscape utility and snowmelt improvements onഀ
its Property. The cost of operating the snowmeltഀ
system to the Recipient shall: be based on theഀ
Recipient's proportionate' share of square footage ofഀ
streetscape utility and snowmelt improvements inഀ
relation to the square footage of streetscape utilityഀ
and snowmelt improvements installed within the Town,ഀ
including the combined square footage of theഀ
streetscape utility and snowmelt improvements locatedഀ
in the public right of way and streetscape utility andഀ
snowmelt improvements located on privately owned realഀ
property.ഀ
B. The Recipient shall pay,the "down or Town utility forഀ
the cost of operating the snowmelt system within 30ഀ
days of receiving notice of payment due.ഀ
corrected and eliminated immediately upon receipt ofഀ
notice from the Town, or that the Town shali.have theഀ
right to correct and eliminate such violation.ഀ
D. It is understood that all work performed by the Town inഀ
connection with this easement shall be done with care,ഀ
and the surface of any property damaged duringഀ
construction shall be restored reasonably similar toഀ
its original condition following completion of theഀ
improvements for which this easement is granted.ഀ
6. MISCBLLANSOVS.ഀ
A. Governing Law. This Agreement shall be governed by,ഀ
and construed in accordance with, the laws of the Stateഀ
of Colorado and shall be.subject to the limitations, ifഀ
any, that are applicable under the Charter. orഀ
ordinances of the Town.ഀ
B. Notices. All notices and other communicationsഀ
hereunder shall be sufficiently given and shall beഀ
deemed given when delivered or mailed by first classഀ

G. No Waiver. No waiver of any of the provisions of thisഀ
