entrance.
The association•approves of these plans and the intention is for this letter to verify that

LEASE AGREEMENT
THIS LEASE AGREEMENT is entered into this 49 day of 4 0 OU0 ,
2D , by and between West Vail Associates, Ltd. ( "), and
bci 4, ( "Tenant ").
WITNESSETH; That
I. LEASED PREMISES AND TERM
1.1 Leased Premises Landlord is the owner of the commercial condominium
units in what is known as the Vail Das Schone Shopping Center located in Vail, Eagle
County, Colorado ( "the Center "), which Center contains both commercial and residential
condominium units. in consideration of the rent, covenants and agreements set forth in
this Lease to be performed by Lessee, Landlord hereby leases to the Lessee the store
premises described on Exhibit "A" attached hereto and made a part hereof, which are part
of condominium unit C - - , Vail Das Schone Condominiums, according to the map
thereof recorded March 24, 1978 in Boom 268 at Page 366 and Amendment to Map
recorded April 24, 1978 in Book 269 at Page 262 and as defined and described in
Declaration recorded March 24, 1978 in Book 268 at Page 365, County of Eagle,
Colorado.
f j 1.2 Term The term of this Lease shall commence at 12.00 o'clock noon on the

o'clock noon on the ;3I s� ay of r ,�i subject to acceleration or
extension or early termination as provided below.
1.3 Delivery and Acceptance of Premises Except as provided on Exhibit "B"
attached hereto and made a part hereof, Tenant shall accept the premises in the present
condition, the Landlord having no obligation or duty with respect to remodeling,
refurbishing, alterations or additional construction, Tenant being responsible for all of
said work. Any such Tenant work shall be at the sole cost and expense of Tenant, and
Landlord shall have the right to post a notice in an appropriate place stating that the
owner of the real property has no responsibility for any payments due to contractors or
sub - contractors pursuant to the Colorado Mechanic's Lien Law.
1.4 Lease Year The term "Lease Year" as used in this Lease shall mean the
following: (i) From the commencement date to December 31 of the same year; (ii) each
full calendar year during the term hereof; and (iii) any portion of the calendar year in
which this Lease expires.

16.10 House and {Ground Rules Tenant agrees to abide by all house and
ground rules and parking regulations which may from time to time be adopted and
approved by the Condominium Association and by Landlord.
16.11 Attornment to Mortgage Holders Tenant understand that there are or
from time to time will be one or more Deeds of Trust, mortgages, or other encumbrances
upon part or all of the lands and/or part or all of the buildings and other improvements
comprising the condominium units owned in the Center by Landlord. In the event for any
reason any such Deed of Trust, mortgage or other encumbrance is foreclosed or a Deed or
other instrument of conveyance is given in lieu of foreclosure, Tenant covenants and
agrees to attorn to the then owner of the property due to the foreclosure, and, in such
event, this Lease shall remain in full force between Tenant hereunder and the new owner.
16.12 Security Deposit Simultaneously with the execution and delivery of this
Lease, Tenant shall deposit with Landlord the sum of $ '.t YU as security for the full
and faithful performance by Tenant of each and every covenant, condition or agreement
to be performed by Tenant. In the event that Tenant defaults in performing any such
covenant, condition or agreement, including but not limited to payment of rents, Landlord
