Putnam ("Declarant") is the owner in fee simple of the following-described real estate ("subject property") situate in the County of Eagle, State of CoLorado, to wit: Lots I, 2, 31 4 and 5, a resubdivision of Lot 11,Block 10, Vail Intermountain Subdivision, according to the recorded plat thereof, County of Eagle andState of Colorado. WHEREAS, Declarant hereby acknowledges that there is, con- structed on the subject property, two duplex buildings consisting of two units each and known as Unit L and Unit 2. Building A, Twin Spruce Townhouses, which units are separated by a conmon wall within Building A hereinafter referred to as the "party wall", and also known as Units 3 and 4 of Building B, Twin Spruce Townhouses, which units are also separated by a party wa11 hrithin Unit B and that there. are no improvements on that portion of the property designated as Lot 5, but the same shall be held in common by the owners of the undivided units. WHEREAS, Declarant wishes to provide for separate owner- ship of such units and a division of the land into four separate ownership parcels, and to create easements relating to that certain separately owned property, and the party walls (placed equally divided on the cotnmon boundary separating such units), the fooLings underlying such party walls, and the roof over such party wa1ls and for conmon ownership in undivided interests in Lot 5 NOW THEREFORE, in consideration of the premises, the Declarant hereby makes, publishes and declares the following easements and restrictions which shall hereafter run with the land and be binding upon and inure to the benefit of Declarant, his heirs, successors and assigns forever: 1. The subject property is hereby divided into five lots, known as: Lot I of said resubdivision LoX 2 of said resubdivision Lot 3 of said resubdivision Lot 4 of said resubdivision Lot 5 of said resubdivision 2. The subject property, together with alt improvements thereon, is hereby divided into four separate estates as follows: Unit I, Building A, Twin Spruce Townhouses, con-sisting of Lot 1, all improvements thereon, aII easements and rights-of-way appurtenant thereto asprovided herein, and an undivided one-suarter in-terest in Lot 5. Unit 2, Building A, Twin Spruce Townhouses, con-sisting of Lot.2, aLL improvements thereon, all easements and rights-of-way appurtenant thereto asprovided herein, and an undivided one-quarter in-terest in Lot 5. Unit 3, Building B, Twin Spruce Townhouses, con-sisLing of Lot 3, all improvements thereon, all easements and rights-of-way appurtenant thereto asprovided herein, and an undivided one-quarter in-terest in Lot 5. Unit 4, Building B, Twin Spruce Townhouses, con-sisting of Lot 4, all improvements thereon, all easements and rights-of-way appurtenant thereto asprovided herein, and an undivided one-quarter in-terest in Lot 5. 3. AII such separate estates shall 6e held subject hereto and may for all purposes by conveyed and described as Unit 1, Building A, Twin Spruce Townhouses, Unit 2, Building A, T\din Spruce Townhouses, Unit 3, Building B, Twin Spruce Townhouses and Uni.t 4, Building B, Twin Spruce Townhouses, pursuant to this Declaration, respectively. Such separate estates shalI be inseparable and none of said units shall be partitioned or otherwise divided, and the easements created hereunder shall run with and not be severable from said units. -2- e- 4. t'Owner" as used herein, unless a contrary intention clearly appears, shall, in the case of Building A, mean either the party or parties holding title to Unit 1, Building A, or the party or parties holding title to Unit 2, Building A, as the case may be and "other A owner" shall mean the party or parties holding title to the other such A unit; and in the case of Building B, sha1l mean either the party or parties holding title to Unit 3, Building Br or the party or parties holding title to Unit 4, Building B, as the case may be and,'other B owner" shall mean the party or parties holding title to the other such B unit. 5. No owner shall make or suffer any structural or design change (including a color scheme change), either permanent or impermanent and of any type or nature whatever to the exterior of any improvement on the property without obtaining the prior written consent thereto from the other A or B owner, as the case may be, which consent shall not be unreasonably withheld or delayed. In case of damage to or destruction of improve- ments on either Building A or Building B, the owner of the other half of such building may, within ten days of such damage or destruction, demand repair or reconstruction of the damaged portion to condition to that prior to the damage and if the owner of such damaged improvements does not conrmence such repair or reconstruction with 30 days, such other A or B o$tner, as the case may be, may do so; provided, however, that such repair or reconstruction shall not be undertaken without prior notice to any holder of a mortgage or deed of trust encumbering the improvements damaged or destroyed and further, provided. that such mortgagee may by reasonable notice, refuse to consent to such repair or replacement. Costs of any such repair or reconstructj-on shal1 be paid for by insurance applicable to the damaged improvements. If the cost of repair or reconstruction exceeds such insurance, the excess shall be paid for by the owner of the damaged improvements and in the event he fails to so pay, such other owner of the -3- damaged improvements may make payment, may charge such non- paying owner of the damaged improvements, and may impose a lien on the portion of the subject property owned by the non- paying ovrner of such damaged improvement,s in the amount of the paying olrnerrs payments plus interest at ten per cent (l0B) per annum, costs and attorney's fees. 5. The said party wall shall be construed as a party wall bbtween such townhouses under the laws of the State of Colorado, except as specifically herein provided. 7. Each owner shall have a perpetual reciprocal easement in and to that part of the subject property owned by the other A or B Building owner on which said party wall is }ocated, for party wall purposes, including maintenance, repair and inspection. 8. If any encroachment by the improvements now located hereon, or any minor encroachment deriving from replacement thereof, exists upon any parcel, a valid easement therefor and for maintenance thereof shall be created and exist in the owners of said building. 9. The cost of maj.ntaining each party wall shal1 be borne equally by both owners thereof. Maintenance of external- appear- ance and of roofs shall be und€rtaken with the unanimous consent of both A or B owners, as the case may be, and at the egual expense of both unless the owners unanimously agree to the con- trary. 10. In the event of damage to or destruction of either of said party walls from any cause' the owners thereof shall, at joint expense, repair or rebuild said party wall, and each owner, his heirs, personal representatives, successors and assigns, shall have the right to the full use of said party wall so repaired and rebuilt. If the negligence of any owner or parties claiming under him shall cause damage to or destruction of said party wall, such negligent owner shall bear the entire cost of such repair or reconstruction. If an owner, at any time, of either unit shall neglect or refuse -4- to pay his share, or all of such cost in the case of negtigence, the other owner may have such party wall repaired or restored and shaIl be entitled to have a lien on the premises of the owner so failing to pay for the amount of such repair or re- placement costs, interest at ten per cent (10?) per annum, costs and attorney's fees. 1I. Each A and B o\,\rner shall obLain and maintain at all times, insurance against loss or damage by fire and such other hazards as are generally covered in the area under standard extended coverage provisions for at least the full insurable replacement cost of improvements on the subject property owned by them. Proof of such insurance shall be supplied by each owner upon the reasonable request of the other A or B owner. Each A or B owner may, at any time one year or longer after the last appraisal, damand of the other A or B owner an appraisal for insurance purposes of the improvements, or may have such appraisal made; in case of any such appraisal, the parties shall share the costs thereof equally. Failure to obtain said insurance, or to cause the other A or B owner to obtain said insurance, shall not relieve either party hereto of its obligation to repair, restore or replace said party wall as herein otherwise required. Said insurance may be purchased jointly if the parties so agree. L2. Except as otherwise specifically provided in writing, each owner shall be responsible for all expenses, liabilities and general upkeep responsibilities with respect to his unit. All the owners shall undertake such landscaping and general outdoor improvement as they may unanimously deem proper for the harmonj.ous improvement of all units. A11 four unit ovrners shall share the use, maintenance obligation and non-exclusive right to use the property designated as Lot 5, which shall be owned by them as tenants in common with each owning an undivided one-quarter interest therein. Each owner shall have equal reciprocal rights to use the other unj"ts for the purposes of -5- access and for all purposes reasonable r.irith respect to any easements, utility service lines which may be necessary to serve their unit. 13. A11 maintenance and repaj.r work, with respec.t to sewer, vrater and other common utility connections, common facilities or other equipment and property, if any, located on the property of any olrner, but used in common with the one or any of Lhe other oerners, shall be accomplished at the joint expense of aI1 effected owners. In all cases, aI1 the other owners shall have all reasonable rights to inspect, repair and maintain such cornmon property. 14. The parking for Units 1, 2,3 and 4, as required by County regulations ' shall be located on the respective lots and parking spaces 1 and 10 as shown on the Final PIat shall be jointly maintained for the non-exclusive benefit of all four unit owners and each owner is granted hereby a perpetual reciprocal non-exclusive easement for the use of parking spaces I and 10 as shown on the Final" PIat. 15. The easements and restrictions hereby created shall run with and bind the land for a term of 20 years from the date hereof, after which time they sha1l automatically be extended for five successive periods of ten years each. Each and every person accepting by deed or otherwise any portion of the subject property shalL be deemed to have accepted the same with the understanding that he is bound hereby and entitled to the benefits hereof and that any other Present or future owner by deed or otherwise is sinilarly bound hereby and entitled to the benefit hereof' all to the same extent as though such person had signed this instrument. The undersigned, in executing and delivering deeds to the above-described premises may provide, by reference' in said conveyances, that the same are subject to the terms' conditions, reservatj.ons, restrictions and covenants herein contained, and may designate the book and page of the record in which this inst.rument is recorded. -5- 16. These easements and restrictions may be amended or revoked only upon the recording of an instrument duly executed and acknowledged by all of the then record owners of the subject premises and all holders of recorded mortgages or deeds of trust thereon. L7. If any provision of this instrument or any section, sentence, clause, phrase or word or the application thereof in any circumstance, is held invalid, the validity of the remainder of this instrument and of the application of any such provision, section, sentencer clause r phrase or word in any other circumstance shaI1 not be affected thereby. 18. Any disputes arising hereunder, not otherwise settledt shall be settled pursuant to the Rules of the American Arbitra- tion Association. The costs of enforcement of any provision hereof by one or more owners or the Declarant against any other owner or owners shall- be recoverable by suit wherein recovery shall be made for costs, attorney's fees and damages and also for monies paid out by one of the foregoing for the obligation of another plus interest at the rate of ten per cenL (f0E) Per annum. 19. Any ohrner shall have the right to enforce, by any proceeding at law or in equity, all restrictions, conditions, covenants, l-iens and charges now or hereafter imposed pursuant to this Declaration. Failure by any owner to enforce any covenant or restriction herein contained shall in no event be deemed a waiver of the right to do so thereafter. In any enforcement proceeding, the prevailing party shal1 be entitled to its cost and attorneyts fees, including. but not limited to, the cost of injunction bonds. 20. AI1 owners of any interest in the property by accepting a deed to any interest thereto waive the homestead exemption or any other exemption of the State of Colorado or any federal law only as it related to any lien filed by any owner pursuant to this Declaration. otherwise, such exemptions are not hereby waived. Or 2L. Any lien filed by an ovrner pursuant hereto shall be subordinate to the lien of any first mortgage or deed of trust on the unit and the lien for real property taxes on said unit. 22. Each owner shall register his mailing address with the other three owners and all notices or demands intended to be served upon owners shall be in writing and sent by certified mail, postage prepaid, addressed in the name of the owner at such registered mailing address. In the alternative, notices may be delivered in writing, personally to otvners. prospective purchasers of units sha11 be entitled to determine if a selling owner is in default with resqect to any maintenance obligation or any other obligation under these covenants by delivering a written inquiry with respect thereto to the owner(s) of the other unit(s). If no response is received to such inquiry within 30 days of the d.ate said notice is received, the non- selling owner(s) sha1l be deemed to have waj-ved any claim of lien or claim for damage. The existence of a recorded notice of lien, however, shall constitute notice to a prospective purchaser of a claim by an owner of the other unit and shall not be affected by the foregoing request for information.
