Community Development Department 970.479.2138 970.479.2452fax July 12,2011 RE: 799 Potato Patch Drive/Lot 28, Block 1, Vail Potato Patch Dear Mrs. Wilhelm, I am writing this letter in response to your inquiry regarding the remaining Gross Residential Floor Area (GRFA) for 799 Potato Patch, which you have listed for sale. As you are aware there was not a single source from which I was able to identify the existing GRFA for the structure on the site. In order to obtain this estimate of remaining GRFA I utilized documents found in the Town's archives which included the 1994 Snowdon and Hopkins set for a deck enclosure and a garage expansion (garage expansion does not appear to have occurred), the 2004 Architectural Services set for a remodel of the structure and additions to Unit B (this set did not show the entirety of Unit A), and finally a set of calculation from Architectural Services which contained data, such as basement deduction calculations. Furthermore, I utilized our meeting on site to determine what level of accuracy this plans contained and to verify vaulted areas in Unit A. The single detail which I was not able to confirm was the amount of vaulted areas in Unit B which should be counted towards GRFA. The analysis I performed has resulted in the following: Unit B (Primarv) 4,486.6 s.f. -2,805 s.f. (does not include vaulted area) -1,681 s.f. As discussed these numbers are estimates and a detailed analysis will need to be performed in conjunction with any application to construct an addition to the structure. This new analysis will confirm the basement deduction of 47%, vaulted areas which count towards constructed GRFA, and contain complete floor plans of each unit. RECTTALS A. The Torn is the owner of that certain parcel of land located in the Tom of Vail described ae Vail Potato Patc*r, Trad A and depft:ted on E*tiUt A attacied hereto and by this reference made a part hereof (the'Town Land"). B. Or,rmer is the owner of property described as Lot 28, Block 1 Vail Potato Patch according to the remrded plat thereof (the "Propertt'). C. The Prope$ is adjacent to the Toum Land. D. Subject to the terms hereof, the Owner desires to maintain landscaping for the Property which in part encroadres onto the Town Land. E. The Tonn is willing to permit the improvements to be an encroachment on the Town Land in consideration of certain undertakings by the Owner as set forth herein. AGREEMENT NOW THEREFORE, in consideration of the Recitals, the mutual promises contained herein and other good and valuable consideration, the receipt and sufficienry of wfrich is hereby acknowledged, the parties agree as follows: The Town hereby grants to the Ovner the dght to consfuct, maintain and use the improvements on, over, under, across and through the Tom Land in the locations shorn on, and in accordance with the approved plan provided to the Town by the Owner, a copy of which is attached hereto and incorporated into this Agreement as Exhibit A (the 'Plan'). The encroachment rights granted by this Agreement shall be strictly limited to and solely for (i) the construction, maintenance and use of the improvements as depicted on the Plan, (ii) the benefit of Orvner ard the ourners of the duplex units slluated on the Property, and their respective guests, tenants and invitees (collec{ively, the'PermitteesJ and (iii) those acilivities reasonably necessary for the performance of the obligations undertaken by the Orvner under this Agreement. Acceptance of the encroachment rights by the Owner shall constitute the Owne/s agreement and consent as follorrvs: 1. lmorovements. (a) The improvements shall be construc{ed, maintained, replaced and operated by the Owner at Orvne/s sole cost and expense, and the Orner shall bear all risk of loss with respect thereto. The Owner agrees that, prior to commencement of constuction of I the improvements, plans and specifications for the lmprovements shall be submitted to and approved by (i) the Town in Town of Vail's sole discretion and (ii) all applicable local, state and federal regulatory authorities having jurisdiction over the lmprovements or the Town Land. Once conitucted, the lmprovements shall be kept in good order, condition, repair and appeaftmce. (b) The Orrmer"s initial construciion of the lmprovements and all maintenance, repairs or replacements to the tmprovements shall be accomplished in a reasonable manner so as to minimize interference with the activities of the public on the Town Land. (c ) The lmprwements shall be instalted, maintained and operated in a first class manner consistent with this Agreement. (d) The lmprovements construded and instalted by the Ownerwithin the Town Land shall remain the property of the Owner and therefore their responsibility. (e) Any damage or losE to the lmprovements caused by or arising from the Town or its guests', invitees', licensees' or employees' use of the Town Land shall be bome by the Owner at the Orne/s sole cost and expense. 2. Reversion. In the event the lmprovements and the encroachment rights thereto shall be abandoned, the Owne/s real property interest in the Town Land in connection with this Agreement shall automatically revert to and be thereafter merged with the then-cunent owner of the Town Land. The Owner shall, at its sole cost and expens€, prepare and execute such documentation that the Town deems necessary or appropriate to effest such reversion in a form and content acceptable to the Town wtrich document shall thereafter be recorded in the real property records of Eagle County, Colorado. In tfie at/ent the lmprovements and the encroachment rights thereto are abandoned, The Omrer shall remove or cause to be removed the lmprovements (and all of its personal ProPerty, if any) from the Town Land' 3. Indemnity. The Owner agrees to indemniff, defend and hokt harmless the Totwr, its subsidiaries and affiliates, their respective agents, officers, direc'tors, servants and employees of and from any and all liability, daims, liens, demands, ac*ions and causes of action whatsoever arising out of or related to any loss, cost, damagc or injury, induding death, of any person or damage to property of any kind resulting in connection wtth the encroachment of the lmprovements on the Town Land, including wfiout limilation, those caused by the Orne/s opemtions orthe misconduct or negli,gent acts, Erors or omissiong of thE Owner, its subcontrac,tors, the Permittees or any person directly or indirec{ly employed by them, or any of them, While engaged in any activity on the Town Land. 4. Easement Aoourtenant. Unless terminated or suspended as provided in paragraphs 11 and 12 hereof, the encroachment rights shall run wtth the land and shall be appurtenant to the Property so that a transfer of title to the property shall automatically transfer the burdens and benefits of the encroachment righte under this Agreement. 5 Liabilitv for lniurv. The Town shall not be liable to the Owner or to any other person whomsoe\rer or entity whaboever for or on account of any injury or damage to persons or property occasioned by reason of the OrvneCs or the Permittees' use of the lmprovements on the Town Land. 6. Retention of Riqhts. Subject to the terms and provisions of this Agreement, the Town specifically retains all its dght, tiUe and interest in and to the Town Land. 7. Successors and Assions. The terms, covenants and conditions of this Agreement shall be binding on the successors and assigns of all parties hereto' 8. Termination. The Town shall have the rigtrt to terminate this Agreement by gMng the Orner thirty days written notice and the Orner shall thereafter promptly remove or cause to be removed the lmprovements from the Town Land. The Omrer shall, at i'ts sole cost and expense, prepap end execute such doqrmentation that the Town deems necessary or appropriate to efiect sucfr termination in a form and content acceptable to the Town which document shallthereafter be recorded in the real property records of Eagle County, Colorado. After sudr termination, Torrm and the Orvner shall hare no further obligations under this Agreement. This Consent shall be in fullforce and effect for as long as the Ornner is in compliance with the terms of this Consent; horlever, if any of the conditions of this Consent fail to occur or if any obligations are breached by the Owner or if the Orner is in any way in default hereunder (collec{ively, the "I}efaulf), then, upon vyriften notice from the Town to the Ornar of a Defauft, the Ownershall have the rightto curethe Defaultwithin a period of thirty days. lf the Omter cures the Defaull written notice of such cure shall be provided by the Torvn. lf the Ovrner does not cure the Default within sucfi thirty days, then, (i) if the Default is specific to a oertain landscaping element (the Violation), the Orvner shall promptly remove the Molation (or the Town may remove the Vrolation if the Ovrner does not implement such removal) or (ii) if the Default is otherthan specified in (i) above, then this Consent shallbe considercd automatically terminated by itsterms and become null and void and of no furtherforce and efiec{, and the Owner shall have no encroachment dghts hereunder, and, further, the Orvner agrees to execute suctr documents as may be necessary to efrecf the termination of this Consent. 9. Entire Aoreement This Agreement contains the entire agreement and understanding of the parties wifi res@ to the entire su$ect matter heraol and there are no repres€ntations, inducements, prornises or agreemenb, oral or othenrvise, not embodied herein. This Agreement specifically supersedes any and all prior discussions, agreements, proposals, negotiations and rapresentations relating hereto. 10. Countemarts: Facsimile Transmission. This Agreement may be executed by facsimile atld,lor in any number of counterparls, any or all of wtrich may contain the signatures of less than all the Parties, and all of which shall be construed together as but a single instntment and shall be binding on the Parties as though originally executed on one originally exeatted document. All facsimile counterparts shall be promptly followed with delivery of original executed counterparts. 11. Miscetlaneous. (a) tf any clause or provision of this Agreement shall be held to be invalid in whole orin part then the remaining clauses and provisions, or portions thereof, shall nevertheless be and remain in full force ard effect (b) No amendment alteration, modificdion of or addition to this Agreement shall be vatid or binding unless expressed in writing and signed by the parties to be bound thercby. (c ) The captions of each sec{ion are added as a matter of convenience only and shall Oe considired of no efiecl in the construction of any provision of this Agreement. (d) lf any party hereto shall bring any suit or action against another for relief, declaratory or othenrise, ariiing dut of this Agreement, the prevailing pafi shall have and recover against the other party, in addition to all court costs and disbursements, such sum as the Court may adjudge to be reasonable attomeys'fees' (e) This Agreement shall be govemed by and interpreted in accordance with the laua oJ the State of Colorado. 111 Any and allwananties, provisions, rights and obligations of tftg parties herein describ€d anci agreed to be performed subsequent to the termination of this agreement shall survive the termination of this Agreement. Two framing connections at the floor framing plan were affected by these changes. The first one is the connection of the 6x6 posts to the built-r4 beam. To pick rp addirional bearing under the new micro=lams, insall a 5flx318" seat angle. Bolt this to the post with three l/2" diameter bolts through the 5u vertical leg of the angle. The other connection is the hangers for the new 4-2x10 beams off of the existing beam. You originally ryplied two LUS2fO hrngers to the two outside members in lieu of the HUS4IOTF hangers qpecified on the plan. Add an L90 fi:aming angle on each side of this connection and an L50 on the bottom of the beam to achiwe the frrll capacity required for this joint. Elevations were snot and djstance of driveway measured. The garage to road cut elevat'itrn arrcl disiarrce came out to be about an B% s1ope. Hov.rever, the garage elevation is aoove (aoout a foot) where the low point on the driveway is. Frotn the low point of tire drive- way to the road cut, the s1 ope is about 10.75%. Because the plans were drawn about the same as the way it turned out, anti because of the sun exposure and thar the owner had not had a problem wjth getting out last winter, Bruce Trela said it was ok. A condition of apprcival is as iollows: I, That the deve'l oper install a swale drainage under the eave facing east to join vlith the existing swale oringing water off the driveway. The end of the swale should dissipate the drainage so as to speread ir: out over the lawn. Currently the drainage is channeled and not dissipat"ed, causing too large a flow ve1 ocity and undercutting the soil uitderneath the sod.
