Dorn (hereinafter collectively referred to as rrDeclarantrr) are the ovrners of the real property situate in the County of Eagle, State of colorado, described as a portion of Lot 2 and Lot 3, Block 1, Vail Village Third Filing according to the recorded Plat thereof, County of Eagle, State of Colorado as rnore ful1y described on the attached Exhibit rrArr, subject to those exceptions recorded in the Clerk and Recorderrs office, Eagle County, Colorado, affecting such parcel , and as further set forth on the attached Exhibit 'rB'r. (rrl-,ot 3il) 2. Declarant has caused to be constructed on Lot 3 a building consisting of two units, each designed and intended for use and occupancy as a residential dwelling unit, designated herein as rrParcel Arr and rrParcel Brt, respectively, which are sometimes referred to herein separately as rrUnitrr or collectively as nUnitstr. 3. Parcel A contains Unit A and Parcel B contains Unit B. DECI,ARATION Declarant does hereby publish and declare that the- followingterms, covenants, conditions,easements, restrictions, uses, reservations, lirnitations and obligations shall be deemed to run with the land described herein, shall be a burden and a benefit to Declarant, his personal representatives, heirs, successors and assigns and any person acguiring or owning an interest in the real property which is described herein and irnprovements built thereon, their grantees, personal representatives, heirs, successors and assigns. DEFTNITTONS 1-. Unless the context shall expressly provide otherwise, the following terms shall have the following meanings: A. rrThe Propertiesl means all of the real estate legally described on the attached Exhibit t'Att. B. rrlJotrr or rrBuilding Sitert means Parcel A or Parcel B as shown on the Map together with aII appurtenances. c. trDuplextt, ttBuildingrr or rrNew structurgtr means the two dwelling Units constructed upon ttre Parcels. D. xunitrr means either of the two dwellings comprising theItDuplexrr. Unit A means the Unit located on Parcel A, together with the structure or improvements connecting said Unit A to Unit B and which is described as an encroachment on Parcel B pursuant to paragraph 4.8 below. Unit B means the Unit located on Parcel B. E. rrMapfl means the engineering survey of the Properties entitled A Resubdivision of Lot 3 and a part of Lot 2, Block 1-, Vail Village Third Filing, Town of Vail, Eagle County, Colorado by stan Hogfeidt, Colorado P.L.s. No. 26598, depicting and locating specifically Parcels A and B and improvements thereon, such land and improvernents being hereby subnitted to this Declaration. Such Map shall be recorded in the office of the Eagle County Clerk and Recorder prior to the recordation of this Declaration. F. Part of Block 1, Col-orado records Parcel A ResubdivisionThird Filing, 2. DESCRfPTION AND RESERVATION. Every Contract of SaIe, Deed, Lease, Mortgage, Trust Deed, Will or other instrurnent shall legally describe a Unit or real property interest as follovts: rrParcel Arr means, for all purposes hereunder, Parcel A and Lot 2 according to the Plat entitled a Resubdivision of Lot- 2 'Vail Village Third Filing, Town of Vail, Eagle County, recorded in Book _, at Page _, of the County, State of Colorado.of the Clerk and Recorder of Eag1e and Part of I-ct 2, according to the Plat entitled A of Lot 3 and a part of Lot 2' Block L, Vail Village Tovrn of VaiI, Eagle County, Colorado recorded in Book , at Page , of the records of tbe clerk and Recorder of Eagle county, State of Colorado. and a Eagle Page State Parcel B, according to the Plat entitled A part of Lot 2, Block 1, Vail Vitlage Third county, Colorado recorded _, of the records of theof Colorado. ResubdivisionFiling, Townin Book Clerk and Recorder of Eagle 2 of Lot 3 of Vail , -, at County, Every such 'description shall be good and sufficient for all purposes to se}1, convey, transfer, encumber or othenvise affect the Lot and alI appurtenant rights, benefits, and burdens thereto as created by the provisions of this Declaration, and each such description shall- be so con3trued. This provision shall apply to the properties as said term (the Properties) is defined in this Declaration. 3. PROPERTY DIVISION. A. Declarant hereby establishes this plan for the subdivision of the Properties into Two (2) Parcels for ownership in fee sirnple consisting of Parcel A and Parcel B. B. The Properties shaLl be subject to the easements noted on the rnap and those set forth herein. C. In the event Parcel A and Parcel B are owned by the same entities, the doctrine of merger shall not apply. D. The parties, if more than one, having the ownership of each such Unit shall agree among themselves how to share the rights and obligations of such ownershipi provided, however, that if a corporation, partnership, association or other legal entity shall become an owner or the parties, if more than one, have the concurrent ownership of a Unit, then such entity or concurrent owners shall from tine to time designate one individual who shall represent such entity or concurrent ol^/ners in alL matters concerning all rights and obligations pursuant to this Declaration. E. Any such entity or concurrent owners shall give written notice to the other owner designating the individual to act on its or their behalf and such notice shall be effective until revoked in writing by such entity or owners. Any act or omission by such designatea inaiviaual shall be binding on the entity or ottners having designated hin in favor of the other owner or any other person who rnay rely thereon. F. Each Unit shall be considered a separate parcel of real property and shall be separately assessed and taxed. 4. ENCROACHMENTS A. If any portion of inprovernents located on Parcel A or Parcel B now encroaches upon the other parcel as a result of the construction of any Buildinq or other irnprovernent, or if any such encroachment shall occur hereafter as a result of settling or shifting of any building or other improvernent, a valid easenent for the encroachnent and for the naintenance of the same so long as the building stands, shall exist. In the event any building or other improvernent shall be partially or totally destroyed as a result of fire or other casualty or as a result of condemnation or eninent donain proceedings and then rebuilt, encroachments of parts of the building on the other parcel, due to such rebuilding, shaLl be pernitted, so long as such encroachnents are of no greater extent than those previously existing, and valid easements for such encroachnents and the maintenance thereof shall exist so long as the building or other improvements shal1 stand. Such encroachment easement shall not be considered or deterrnined to be an encurnbrance either on Parcel A or Parcel- B for purposes of narketability of title. B. The PIat contains and sets forth an Easement that reflects an existing encroachment of the Unit located on Parcel A onto the adjoining Parcel B. This Easernent ltArt is and shall remain a burden upon the interest and the ownership of Parcel B' and shal1 be appurtenant to and conveyed as a part of Parcel- A without the necessity of additional reference in the conveyance. Easement nArl shall be inseparable from the ownership of Parcel A and may not be separately conveyed, except by amendment to the Plat. The easement shall have a height from the surface of the existing subfloor as more futly set forth on the Plat to the existing roof in that area and shall not extend higher than such existing roof. Duties of support and maintenance of the f]oor, ceiling and adjoining wall between the Units shatl exist as if the floor and ceiling were a Party WaII as defined hereunder. 5. PARTY WALL. The Party Wall shall be the support and structure of the floor, ceiling and adjoining wall between the Units of the area m4rked on the Plat as Easernent A. No person shall have the right to add or detract fron the Party WalI in any manner whatsoever, it being the intention that the Party Wall- sha}l at all times remain in the same position as when erected. The cost of naintaining the Party Wall' and any necessary costs or repairing or rebuilding the Party WalI shall be the obligation of the owners of the Units (individually the rrownerrr or collectively the rrOwnersrr) in each Ownerrs Proportionate Share. Each owner shall have the sole responsibility of naintaining the finished surfaces of the Party WaIl, which surfaces are located within that Ownerrs Unit. Notwithstanding the foregoing, if the Party WalJ. and/or finished surfaces are damaged, or caused to be exposed to the elements as a result of the neqligent acts or omissions of either of the Owners' their fanily, agent or invitee, then the Party l{a]I and/or the finished surfaces shalt be repaired or rebuilt at that Ownerrs expense. In the event the Party wall, the finished surfaces, or any portion ihereof, rnust be rebuilt, it shall be erected in the same location and dimensions, and of substantially siurilar material to the Party wa11 as it presently exists. Mutual reciprocal easements and rights of access are hereby granted to the Owner of each Unit insofar as the Party Wall, as it presently exists, encroaches irn to either Unit an for the purpose of iraking necessary repairs to the Party Wall. The Owner of each Unit sha1l have tne iignl to enter the earty Walt to rnaintain any utility installations locited therein, so long as the Owner of. such Unit restores the Party WaIl to its original condition. 6. IJ\NDSCAPING, SERVICE FACILTTIES, SKI ACCESS A}ID DRIVEWAY ACCESS. A. The ordners frorn tine to time shall individually undertake such landscaping and general outdoor irnprovements on each ownerrs respective plrcel including but not linited to driveway and parking areas as they deem ProPer for the harmonious improvenent of both Units in a conmon theme, each ovtner shall pay all expenses, liabilities and general upkeep responsibilities htith respect to such landscaping and 6utdoor impiovements. ?he owner of one Unit shall not unreasonably darnage the value of the other Unit by shoddy upkeep outside, but both owners shall make all reasonable efforts to preserve a harmonious conmon appearance of the Units. B. In the event an owner at his own expense fails to maintain, preserve, and replace as needed the trees' shrubs and grass l"Plantings") within the property boundaries of his parcel conmensurite with the standards set by the other residences in the area, the other oldner may, after 30 days written notice to the ownert and if within said time-the owner has failed to make a good faith effort to bring his Plantings into substantial conforrnity with his neiqhbors nlaniinqs, the other owner may contract with resPonsible parties to bring- to standard the offending ownerrs Plantings and charge the owner therefore and such cost shal1 be added to and becorne a part of the obligation to ghich such site is subject. The owner heieby grants to the other owner, its agents and assigns, an irrevocable easernent to perforn the aforesaid . c. conmon utility or service connections or lines, common facilities or other equiprnent and property located in or on either of the Parcets but used in conmon with the other unit, if any, shal-I be owned as tenants in conmon of equal undivided one-half interests by the owners of each Unit and, except for any expense or liability caused through the negligence or willful act of any owner, his fanily, agent or invitee, which shall be borne soJ.ely by such owner' all eipenses and liabilities associated or connected with or which result frorn such property shall be shared proportionately with such ownership as set forth in paragraph 8 below. Tfre owner of the Unit on which such property is not located shall have a perpetual easement in and to that part of such other Unit containing such property as is reasonably necessary for purposes of maintenance, repair, and inspection. D. Utility or service connections or lines, facilities or ottrer utility equipment and property located in, on or upon either of the parcels, which are used solely to supply a service or utility to one Unit shall be owned by the orrner of the Unit using such utility or service and all expenses and liabilities for repair and maintenance sha1l be borne solely by the owner of such Unit, who shall have a perpetual easement in and to that part of such other parcel or Unit containing such property as is reasonably necessary for purposes of maintenance, repair and inspection. E. There is hereby created a reciprocal easement and right-of-way for each Owner over, across and through that part of Parcels A and B as may be reasonably necessary for rrski-inrr access to each Unit frorn the White River National Forest. This reciprocal easement shall not, however, hinder either owner from constructing improvements from tirne to tirne on his Parcel . Neither owner, however, shal1 construct a fence, wall or other obstruction along the boundary between Parcel A and Parcel B that would interfere with the reciprocal easement. F. There is trerebv created a non-exclusive easement and right-of-way for the Owner of Parcel B, over, across and through thatpart of Parcel A upon which the driveway is located for the purposes of ingress and egress to Parcel B. The owners shaLl have equal right to the use of such access and no owner shall hinder or permit his invitee to hinder reasonabfe access by the other owner and his invitees to the other ownerrs Parcel . Subject to the preceding paragraph, the owner of Parcel A and his invitees shall have the right to park on Parcel A. The Owner of Parcel B or his invitees shall have no right to park on Parcel A. It is assumed that snowplowing or snolv shoveling will not be required because of a snow nelt systen. The cost of the energy to run the snow melt systern will be separately billed to each Parcel due to the fact that the system is hooked up to two separate gas meters, one to be billed to the Owner of Parcel A and one to be billed to the Owner of Parcel B. tn addition, each owner shall be responsible for the naintenance, repair, inspection and replacement if necessary of the snow melt system (and that portion of the driveway over the snow melt systern) which is connected to his parcel . In the case of Parcel B, this obligation to repair and naintain the snow melt system extends over the northerly eight feet (approxinately) of the driveway over, across, and through Parcel A. The Owner of Parcel B shalL have a perpetual easement in and to that part of Parcel A as is reasonably necessary for purpose of such maintenance, repair and inspection. 7. ALTERATTON. MAINTENANCE AND REPAIRS. A. Both owners shall have the duty of rnaintaining and repairing the Building Exterior and the Building Roof in such a manner as they rnutually and unanimously agree. Each Owner agJrees to authorize and pay his Proportionate Share for aII repair and maintenance necessary in order to preserve a hannonious colunon apPearance of the units. The Building Exterior and Building Roof shall be maintained and repaired conmensurate with the standards set by other residences of cornparable value and quality in the area. The cost of such maintenance and repair shall be shared by each owner on the basis of its Proportionate Share, except if the need for repair is caused by the negligence or willfu1 act of any Owner, his fanily, agtent or invitee and in such event such Owner shall bear the entire cost of maintenance or repair.trBuilding Roofrr shall mean the roof decking, roof support, sheathing, shingles, flashing, siding, fascia boards, and trim. ttBuilding Exteiiorit shal] rnean the exterior walls, decks' patios, exterior stairways, siding, down spouts, trirn, paintr stain, or other finish, but not the windows, or interior of si1ls, sashes or related hardware. B. Each owner shall be solely responsible for maintenance and repair of the inside of his Unit including fixtures and improvements and all utility lines and eguiprnent located therein and serving such unit on1y. In performing such maintenance and repair, or in inprovingor altering his-Unit, no olrner shall do any act or work which impairs the structural soundness of the Party WaIl or which interferes with any easement granted or reserved herein. c. No owner shall nake or suffer any structural or design change (including a color scheme change), either permanent or tenporary and of any type or nature whatsoever to the exterior of his Unit or construct any additional building structure of any type or nature whatsoever upon any part of his parcel without first obtaining the prior written consent thereto frorn the other owner, such consent not to be unreasonably withheld. 8. ALLOCATIoN OF EXPENSES. Except for itens incurred as a for herein, if any owner shall cause any his Parcel or Unit thereon or any labor thereon, the other owner shall not under 7 conmon expense as provided material to be furnished to to be performed therein or any circurnstances be liable for the payment of any expense incurred or for the value of the work done or material furnishedt all such work shall be at the expense of the owner directly or indirectly causing it to be done, and such owner shall be solely responsible to contractors, laborers, materialmen and other persons furnishing labor or materiats to his Unit or any irnprovements therein or thereoni nothing herein contained sha11 authorize.either ostner or any person dealing through, with or under either owner to charge the Unit of the other owner with any mechanicrs lien or other lien or encumbrance whateveri and, on the contrary (and notice is hereby given) the right and power to charge any lien or encurnbrance of any-kind against one owner or against one ownerrs Unit for work done or materials furnished to the other ownerts'Unit is hereby expressly denied. B. Except as. provided for below, if, because of any act or omission of any owner, any mechanicrs or other lien or order for the payment of noney shall be filed against the other ownerts Unit or any improvements therein or thereon or against any other owner (whether or not such lien or order is valid or enforceable as such), the owner who caused or whose act or ornission forms the basis for such lien or order shall at his own cost and expense cause the same to be cancelled and discharged of record or bonded by a surety company reasonably acceptable to such other owner, within 20 days after the date of filing thereof, and further shall indemnify and save the other owner harmless frorn and against any and a1I costsr expenses, claims, losses or damages, including reasonable attorneyrs fees resulting therefrorn. ].0. INSURANCE A. Each owner shall keep his Parcel, including the Unit located thereon, and al} fixtures therein insured against loss or damage by fire and extended coverage perils (includinq vandalism and nalicious mischief) for the maximum replacement val-ue thereof. B. Each' owner shal1 provide and keep in force, for the protection of himself, general public J-iability and property damage insurance against clains for bodily injury or death or property danage occurring in, on or upon, his parcel owned in fee sinple and the irnprovernents thereon, in a lirnit of not less than $5001000.00 in relpect of bodily injury or death to any number of persons arising out of one accident or aisaster, of for damage to property, and if higher Iinits shall at any time be customary to protect against possible tort liability, such higher lirnits shall be carried and each owner shall name the other owner as an additional insured party under such policy. c. Each olrner shatl deliver to the other own'er certificates evidencing all insurance required to be carried under this paragraph, each contiining'agreements by the insurers not to cancel or rnodify the policies without giving the other ovrner written notice of at least 30 days. Each owner shall have the right to inspect and copy all such o or, on behalf of such other owner, expend suAh sum as may be necessary to perform such obligation including, but not linited to' the payment of iny insurance premiums required hereunder or the undertaking of any work required hereunder for repair, restoration or maintenance' and such other otrner strall have an easement in and to that part of such defaulting ownerrs Unit as is reasonably necessary for such repair, restoration or maintenance. B. A11 sums so paid or expended by an oltner, with interest thereon at the rate of 18 percent per year frorn the date of such paynent or expenditure, shall be payable by the owner so failing to perforn (the ltDefaulting Ownertr) upon demand of the other oltner (the ItNon-Defaulting Ownerrt ) . C. All sums so demanded, together with interest thereon and other costs (including without lirnitation reasonable attorneysr fees) incurred in the collection thereof, but unpaid by the Defaulting Owner shall constitute a lien on the Unit of the Defaultinq Owner in favor of the Non-Defaulting Owner prior to all other liens and encurnbrancest except: (i) Iiens for taxes and special assessnents; and, (ii) the lien of any first nortgage or first deed of trust of record encunbering such Unit. The lien shall attach from the date when the unpaid sum shall become due and nay be foreclosed in like manner as a moitgage on real property upon the recording of a notice or claim thereof executed by the Non-Defaulting Owner setting forth the amount of the unpaid indebtedness, the nane of the Defaulting owner, and a description of the Unit. In lieu of such foreclosurer a Non-Defaulting Owner, may at his option, sue the Defaulting Owner for non-payment oi such debt. In any such foreclosure or other action brought by the Non-Defaulting Owner for non-payment of such debt, whether forrnal litigation is commenced or not, the Defaulting Owner shalt be required to pay the costs and expenses of such proceedings or action, inctuding reasonable attorneyrs fees. Each ouner hereby agrees that the lien described in this Paragraph 12 shall be superior to ttre Homestead Exemption provided by the Colorado Revised Statute Annotated Section 38-48-2Ol-, at Sec. (L973r.as amended) and each owner hereby agrees that the acceptance of a deed or other instrument of conveyance in regard to any Unit or Parcel shall signify such Granteers waiver of the Homestead Right in said section of the colorado Statute. D. The lien provided for herein shall be subordinate to the lien of any first rnortgage or deed of trust, including all additional advances thereon. SaLe or transfer of any Unit as the result of court foreclosure of a mortgage, foreclosure through the public trustee, or any proceeding in lieu -of foreclosure, shall extinguish the lien of sulh assessments as to payments thereof which become due prior to such sale or transfer, but shall not relieve any former Defaulting Owner of personal tiability therefor. The mortgagee of such Unit who acquires Litfe by way of foreclosure or the taking of a deed in lieu thereof, 10 shalt not hol,ilever, be Iiable for any past due assessment and shall only becorne liable for future assessments on the date such mortgagee becomes the owner of such Unit. No sale or transfer shall relieve such Unit from tiability for any assessments thereafter becoming due or from the lien provision hereof. In the event of the safe or transfer of a Unit with respect to which sums shatl be unpaid by a defaulting owner, except transfers to a first mortgagee in connection with a foreclosure of its lien or a deed in lieu thereof, the purchaser or other transferee of an interest in such Unit shall bejointly and severally liable with the seller or transferor thereof for any such unpaid sums. E. Upon written request of any ownerr mortgagee' prosPective mortgagee, purchaser or other prospective transferee of a Unit, the owner of the other Unit shall issue a written statement setting forth the amount he is owed under this paragraph, if any, with respect to such Unit. Such statement is binding upon the executing owner in favor of any person who nay rely thereon in good faith. Unless a request for- such staternent shall be complied with within fifteen' days after receipt thereof, all unpaid surns which became due prior to the date of making such reguest shall be subordinated to the lien or other interest of the person requesting such staternent. ]-3. ALL OWNER'S RESPONSIBLE - ULTIMATE CONTROL RESOLUTTON. BOth parcel owners shall be mutually responsib1-e for the administration and management of the obligations created hereunder. In the event any owner believes, based on the standard of the reasonable man, (i) that an impasse on any decision reguired hereunder has been reached improperly or is contrary to the Declaration or (ii) that the other owner is guifty of mis-feasance, mal-feasance, or non-feasance with respect to thi- Declaration then the aggrieved owner may petition the Eagle County District Court for judicial determination of the controversy which decision shall be binding upon both owners. The Court may assess costs and any reasonable attorney fees as may have been incurred by the parties based upon the merits of the case. ]-4. USE RESTRICTIONS. A. Each Unit shall be restricted to a residential dwelling as a permitted use, and such use as rrell as conditional and accessory uses shalt be defined by the Town of VaiI Zoning Restrictions and Covenants for the vail Village sixth Filing. B. No exterior mounted radio, shortwave, television or other type of antenna vthatsoever or tank of any kind, either elevated or buried, or incinerator of any kind whatsoever or outside storage of any personal property shall be permitted or maintained on either Unit or Parcel without the prior written approval of both or'tners. 1L c. Dornesticated animals rnay be kept or maintained in, on or upon either Parcel; provided, however, that such domesticated animals are kept under control at all tines, do not present a nuisance to the other owner and are kept controlled in strict cornpliance with all Townof vail regulations that nay apply to such animals. D. Parking of boats, .trailers, campers, notor homes, ATVs or recreational vehicles on either Parcel is prohibited unless stored in the garage. Parking of an excessive number of automotive vehicles outside the garage by either owner or his family, agent or invitee in such ownerrs Unit, for more than a 48 hour period, is expressly prohibited. E. No rrtime sharingrr, t! interval ownershiprr or similar interest, whereby ownership of a Unit is shared by owners on a time basis, shall be established on either Unit without the prior written approval of both owners and all lienors holding a first nortgage or first deed of trust of record on the property, which approval shall be reflected in a docurnent of record. F. The owners understand and altree that potential development rights (rrDevelopment Rightsrr) may exist under present or future Town of Vail regutations that rnay perrnit expansion of the Units, which Development Rights have not been utilized to date. The Owners ofparcel A and ParceL B shall be deemed to have exclusive ownership of any Development Rights as currently are being utilized by their respective Parcels. No exercise of any Development Rights not utilized to date or Developrnent Rights allowed in the future by the Town of Vail shall be made by one Owner without first obtaining the written consent of the other Owner, which consent shall not be unreasonably withheld. The othbr owner' before giving written consent, shall be entitled to review the development plans and any blueprints or surveys prepared in connection with the developmentplans. The Owner of Parcel A shall have the exclusive right.to the use of 408 of the Developrnent Rights which have not been utilized to date and 4OZ of all future Development Rights allowed by the Town of Vail, except as set forth below. The Ohrner of Parcel B shall have the excLusive iight to the use of 60? of the Development Rights which have not been utilized to date and 608 of all future Development Rights allowed by the Town of Vail , except as set forth below. Under current Town of Vail regulations there exists certain Development Rights because a structure is more than five (5) years old. A portion of such rights (250 sguare feet of rrgross residential floor areatt as defined by the Town of Vail Zoning Ordinance) has been utilized to date. Any remaining rights (up to 250 square feet) obtained under such regulations or'any future trlike-typetr of regulation shall belong solely to the Owner of Parcel B. Thereafter all such rights shall be split on a 5O/5O type of basis. If either Owner exceeds his development rights, without the consent of the other owner, and because of this the other Owner is not allowed to utilize his fuII L2 development rights, the excess developrnent shall be removed by the owner thereof imrnediately upon the demand of the other o!'/ner. l-5. NoTIcE. Each owner shall register its mailing address with the owner and all notices or demands intended to be served upon ovtners shall be sent by certified mai1, postage prepaid, addressed in the name of the owner at such registered urailing address. In the alternative, notices may be delivered if in writing, personally to owners L6. DURATION OF DECLARATION. Each provision contained in this Declaration which is subject to the laws or rules solnetirnes referred to as the rule against 'perpetuities or the rule prohibiting unreasonable restraints on alienation shall continue and remain in fu1I force and effect for thd period of 2L years following ttre death of Gary R. Bossow and Mara R. bossow and their issue, or until this Oeclaration is terminated as hereinafter provided, whichever first occurs.
