R. 89 W. WHEREAS, the Town of Vail is the owner of certain property par#icuiarly described in Exhibit A attached hereto; and WHEREAS, this conveyance will fulfill the obligation of the Town of Vail pursuant to the Exchange Agreement as adopted and approved in Resolution No. 3, Series of 1997 and attached hereto as Exhibit A. NOW, THEREFORE, BE IT ORDAINED BY THE TOWN COUNCIL OF THE TOWN OF VAIL, COLORADO: Section 1 The Town Council hereby approves the sale of property to fulfill its obligation to the United States Government which is more fully set forth in the Exchange Agreement attached hereto as Exhibit A. Section 2 The Town of Vail property to be conveyed is described as follows: ~ ~ Sixth Principal Meridian • T. 5 S.. R. 81 W. Section 3 The Town Manager is hereby authorized and directed to execute such instruments of conveyance as are appropriate to convey fee title from the Town of Vail to the United States of America. Section 4 If any part, section, subsection, sentence, clause or phrase of this ordinance is for any reason held to be invalid, such decision shall not effect the validity of the remaining portions of this ordinance; and the Town Council hereby declares it would have passed this ordinance, and each part, section, subsection, sentence, clause or phrase thereof, regardless of the fact that any one or more parts, sections, subsections, sentences, clauses or phrases be declared invalid. In exchange therefore, the United States of America agrees to convey to the Landowner by Patent issued by the bepartment of the Interior, the real property described in Schedule "$" enclosed hereto and made a part hereof. There will be no need to equalize values pursuant to Section 206{b) of the Federal Land Policy and Management Act of 1.976 {43 U.S.C. 1716) since the values were determined to be equal. The agreed to values for this exchange ;are: Property of the Landowner: $4,502,000 Property of the United States: $4,502,000 First, the Landowner agrees to convey by Warranty Deed in accordance with bepartment of O'ustice standards when requested by the Forest Service, the lands or interest in lands described in schedule °A" to the United States of America and its assigns, together with necessary documents required to convey good title, free from all encumbrances except those set forth in Schedule "A." Second, the Landowner agrees to deliver all necessary documents to the Forest Supervisor, White River National Forest, who will act as esCPow holder, Third, the Landowner agrees to furnish title evidence an the real property described in Schedule "A" in a farm satisfactory to the Office of the General Counsel of the United States Department of Agriculture and pay any escrow expenses incurred herein_ Fourth, the Landowner agrees to de-annex all remaining National Forest System land within the corporate boundary of the Town of Vail witha.n one year of the closing of this land exchange. This paragraph ONLY of this Exchange Agreement sha11 survive closing until the de-annexation has accured and consititues a contractual. obligation an the part of the Town of Vail. When title has been accepted by the Forest Service, the United States of America agrees to convey by patent the real property described in Schedule "B," subject to any encumbrances noted therein. The specific language of the covenant shall be agreed to between the Landowner and Vail Associates, Inc. The Landowner agrees to provide notice of such relocation to the Forest Service to allow consultation, and concurrence as to location, between the parties to a continued right of way to Forest Development Road #71.1. Said relocation of the right of way, and all related road construction costs, shall be at the expense of the Landowner. Provided, that if the Regional Forester determines that the road or any segments thereof, are no longer needed for the purposes reserved, the easement shall be terminated. The termination shall be evidenced by a statement in recordable form furnished by the appropriate Regional Forester to the patentees/grantees or their successors or assigns in interest. 6, Unless otherwise specified herein, the rights-of~way reserved herein may be relocated, at the patentee's/grantee's~eatpense, by mutual agreement between the patentees/grantees, or their successors ar s~ssigns in interest, and the United States or its assigns and the execution of proper legal documents acceptable to the United States. The exchange will allow the Forest Service to resolve encroachments onto the National Forest from about 20 landowners; convey 10 parcels to the Town that are encumbered with special uses; and to acquire lands with significant wildlife and recreation values far the people of the United States. The exchange implements the Town of Vail Landownership Adjustment Analysis and portions of the Town of Vail Comprehensive Open Lands Plan. These documents were prepared by the Holy Cross Ranger District and the Town of Vail to address a variety of management issues along the Town/National Forest interface. In order to achieve an exchange involving Federal and non-Federal lands of equal value, the United States would need to make a cash equalization payment equal to approximately 1.3 percent (1.3~) of the approved appraised value of the Federal lands. In lieu of such payment, the Town has decided to make a donation of a portion of the offered land to equalize the values. Tn summary, the United States will acquire 75.02 acres of non-Federal Land by exchange and 1.29 acres of non-Federal land by donation. Both actions are hereby approved. These trails are easily accessible bath in proximity to the Town and in their design, and provide an arena for residents and visitors to learn more about the natural environment. They will also help reduce the number of people who hike the trails of the Eagles Nest Wilderness from trailheads within the Town. 2. Conveyance of the National Forest parcels to the Town of Vail will resolve approximately 20 encroachments (including driveways, landscaping, lighting, and corneas of houses and other structures}. This will greatly reduce the amount of time and effort that would have had to be spent working with 20 individual land owners to resolve these encroachments. 3. Conveyance of the National Forest parcels will transfer 2 water tanks, a pump station, electrical, gas, water and telephone lines to the Town. This will reduce the number of National Forest special use permits far Town of Vail infrastructure facilities. Additionally, two facilities which are proposed to address public health and safety can be constructed on Town property, rather than on the National Forest: a new water tank in East Vail, and a rockfall containment berm above the Town public works site. Conveyance of many of the selected parcels will begin the process of eliminating National Forest System lands from within the corporate boundaries of the Town of Vail. The Town will de-annex all remaining NFS lands. This will involve the preparation of a 3 mile plan (probably a simple revision of the Town land use plan, since most of the land within a 3 mile radius of the Town of Vail i5 National Forest), review by the Planning Commission, and then approval by the Town Council through two readings of an ordinance. 5. Conveyance of the selected parcels will assist the Town of Vail to meet objectives outlined in the Comprehensive Cpen Lands Plan, to acquix'e or protect "key remaining open lands in Vail that would be valuable for recreation, protecting sensitive environmental resources, extending or connecting trails, providing adequate neighborhood open space, and creating a small amount of contingency land for unforeseen needs {e.g. employee housing, public facilities}. To summarize, the resource values and public objectives served by the non-Federal lands and interests in lands to be acquired by the United States equal or exceed the resource values and public objectives served by the Federal lands to be conveyed to the 'T'own. Tn addition, the intended use of the conveyed Federal lands will not substantially conflict with the established management objectives on adjacent Federal lands. Therefore, the public interest will be well served by this exchange and is consistent with the" requirements of 36 CFR 254.3{b)(2}, SGOPINC3 AN!? PUBLIC INVOLVEMENT The proposed exchange was advertised once a week for four consecutive weeks between December 8, 1995 and December 29, 1995 in the Vail Trail, a newspaper of general circulation in the vicinity of the Federal and non-Federal lands. Three new parcels were advertised for four consecutive weeks between November 29, 1996 and December 20, 1996 in the Vail Trail. Notification letters were sent to the Congressional delegation, appropriate units of government and interested parties on December 5, 1995 and on November i, 199.6. Several articles concerning the exchange appeared in newspapers of general circulation in .Eagle County in December 1995, .7anuary 1996 and ~7anuary 1997. The exchange was the subject of several Vail Town Council meetings, and public neighborhood meetings. During the comment period, many letters and telephone calls were received by the Forest Service and the Town of Vail. Most people were simply requesting clarification or additional information about the exchange. Several Fast Vail homeowners expressed concern about possible development of parcel S1 should the Town acquire the land, and the impact that would have on natural resources. Several homeowners in West Vail likewise objected to the possibility that the Town could develop employee housing on parcels S13 or 514. Residents along Rockledge and Ptarmigan Road (parcels S5 and S10} were notified by both the Forest Service and the Town that land upon which they had encroached would be exchanged to the Town. Several of them expressed concern about the costs they might incur to resolve their encroachments. Most of these concerns related to future uge of the lands once they were acquired by the Town, rather than to the exchange itself.
